動(dòng)物福利捐贈(zèng)管理準(zhǔn)則合同編號(hào)：__________AnimalWelfareDonationManagementGuidelinesBETWEEN:[Donor’sName]Address:_______________________________City:_______________________________Province:_______________________________PostalCode:_______________________________Country:_______________________________Phone:_______________________________AND:[Recipient’sName]Address:_______________________________City:_______________________________Province:_______________________________PostalCode:_______________________________Country:_______________________________Phone:_______________________________ThisAnimalWelfareDonationManagementGuidelines(the"Agreement")ismadeandenteredintoasofthedatefirstabovewritten(the"EffectiveDate").RECITALS:WHEREAS,theDonoriswillingtomakeadonationtotheRecipientforthepurposeofsupportinganimalwelfareinitiatives;WHEREAS,theRecipientisaregisteredcharityornonprofitorganizationwithafocusonanimalwelfareandiswillingtoacceptthedonationfromtheDonor;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:1.DonationAmountandTerms1.1TheDonoragreestodonateanamountof[DonationAmount](the"Donation")totheRecipient.1.2TheDonationshallbemadetheDonortotheRecipientonthetermsandconditionssetforthinthisAgreement.2.PurposeofDonation2.1TheDonoragreesthattheDonationshallbeusedtheRecipientforthepurposeofsupportinganimalwelfareinitiatives,includingbutnotlimitedtothefollowing:(a)Providingcareandshelterforanimalsinneed;(b)Implementingprogramstoimprovethehealthandwellbeingofanimals;(c)Conductingresearchandpromotingeducationonanimalwelfareissues;and(d)Encouragingtheadoptionofanimalsfromsheltersandrescueorganizations.3.UseofDonation3.1TheRecipientagreestousetheDonationinaccordancewiththetermsandconditionsofthisAgreementandtoprovideawrittenreporttotheDonorontheuseoftheDonationwithin[ReportingPeriod].3.2TheRecipientshallprovidetheDonorwithregularupdatesontheprogressandimpactoftheanimalwelfareinitiativessupportedtheDonation.4.RepresentationsandWarranties4.1TheDonorrepresentsandwarrantsthatithastherighttomaketheDonationandthattheDonationisbeingmadeinaccordancewithallapplicablelawsandregulations.4.2TheRecipientrepresentsandwarrantsthatitisaregisteredcharityornonprofitorganizationwithafocusonanimalwelfareandthatitwillusetheDonationinaccordancewiththetermsandconditionsofthisAgreement.5.Indemnification5.1TheDonorshallindemnifyandholdharmlesstheRecipientfromanyandallclaims,demands,actions,suits,proceedings,losses,damages,liabilities,costs,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwiththeDonor'sbreachofthisAgreement.5.2TheRecipientshallindemnifyandholdharmlesstheDonorfromanyandallclaims,demands,actions,suits,proceedings,losses,damages,liabilities,costs,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwiththeRecipient'sbreachofthisAgreement.6.Confidentiality6.1ThepartiesheretoagreetokeepthetermsandconditionsofthisAgreementconfidentialandnottodisclosethesametoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredlaworregulation.7.GoverningLawandDisputeResolution7.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsoftheProvinceof[Province],andthelawsofCanadaapplicabletherein.8.EntireAgreement8.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,ofthe一、附件列表：1.捐贈(zèng)確認(rèn)信2.收據(jù)3.捐贈(zèng)用途明細(xì)表4.捐贈(zèng)協(xié)議執(zhí)行報(bào)告5.動(dòng)物福利項(xiàng)目計(jì)劃書(shū)6.財(cái)務(wù)報(bào)表7.合規(guī)證明文件二、違約行為及認(rèn)定：1.捐贈(zèng)方未按約定時(shí)間、金額捐贈(zèng)：未能在協(xié)議規(guī)定的時(shí)間內(nèi)支付承諾的捐贈(zèng)金額。2.捐贈(zèng)方未按要求使用捐贈(zèng)資金：未按照協(xié)議約定的用途使用捐贈(zèng)資金。3.接收方未按約定使用捐贈(zèng)資金：未按照協(xié)議約定的用途使用捐贈(zèng)資金。4.未按時(shí)提供捐贈(zèng)使用報(bào)告：未能在協(xié)議規(guī)定的時(shí)間內(nèi)提供捐贈(zèng)資金使用情況的報(bào)告。5.違反保密條款：未經(jīng)對(duì)方同意，向第三方泄露協(xié)議內(nèi)容。三、法律名詞及解釋?zhuān)?.捐贈(zèng)：指捐贈(zèng)方向接收方無(wú)償提供資金或物品的行為。2.動(dòng)物福利：指為改善動(dòng)物的生活條件、保障動(dòng)物健康和安全而采取的措施。3.收據(jù)：指接收方向捐贈(zèng)方出具的，證明捐贈(zèng)行為已經(jīng)發(fā)生的憑證。4.非營(yíng)利組織：指以非營(yíng)利為目的，為社會(huì)提供公共利益服務(wù)的組織。5.合規(guī)證明文件：指證明接收方符合相關(guān)法律、法規(guī)要求的文件。四、執(zhí)行中遇到的問(wèn)題及解決辦法：1.捐贈(zèng)方延遲捐贈(zèng)：與捐贈(zèng)方溝通，了解原因，協(xié)商調(diào)整捐贈(zèng)時(shí)間。2.捐贈(zèng)方減少捐贈(zèng)金額：與捐贈(zèng)方溝通，了解原因，協(xié)商調(diào)整捐贈(zèng)金額。3.接收方未按約定使
