PartyAwarrantsthattheProjectshallbecompletedinaccordancewiththeSpecificationsandshallcomplywithallapplicablelawsandregulations.PartyAshallindemnifyPartyBagainstanyclaims,losses,ordamagesarisingfromthefailuretocomplywithsuchwarranties.

7.IntellectualProperty

AllintellectualpropertyrightsinandtotheProject,includingbutnotlimitedtodesigns,specifications,anddrawings,shallvestinPartyA.PartyBshallobtainallnecessarylicensesandpermissionstousesuchintellectualproperty.

8.Termination

EitherpartymayterminatethisContract,inwholeorinpart,uponwrittennoticetotheotherparty,providedthattheterminatingpartyshallbeliableforanydamagescausedbysuchtermination.

9.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce(ICC).

10.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

11.EntireAgreement

7.Client'sRights
