1.AppointmentofAgent

2.Term

3.Exclusivity

4.Compensation

a.ThecommissionshallbecalculatedonamonthlybasisandpaidtotheAgentwithin[NumberofDays]daysoftheendofeachmonth;

5.ObligationsofPrincipal

a.ThePrincipalshallprovidetheAgentwithallnecessaryinformation,materials,andsupportrequiredforthemarketingandsaleofthePrincipal’sproductsorservices;

b.ThePrincipalshallensurethattheproductsorservicesofferedbytheAgentareofhighqualityandmeetthestandardssetforthbythePrincipal;

6.ObligationsofAgent

a.TheAgentshalluseitsbesteffortstomarketandsellthePrincipal’sproductsorserviceswithintheterritoryof[Territory];

b.TheAgentshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsdutiesunderthisAgreement;

7.Confidentiality

ThePrincipalandtheAgentagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtotheminconnectionwiththisAgreement.Suchconfidentialinformationshallinclude,butnotbelimitedto,tradesecrets,customerlists,marketingstrategies,andfinancialinformation.

8.Termination

a.ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeshallbegivenatleast[NumberofDays]dayspriortotheeffectivedateoftermination;

b.ThisAgreementmaybeterminatedbyeitherpartyintheeventofabreachofanymaterialtermorconditionhereofbytheotherparty,uponwrittennoticetothebreachingparty;

9.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

10.EntireAgreement

c.TheThirdPartyshallpromptlynotifythePrincipalofanybreachofanymaterialtermorconditionhereofbytheAgent.

11.EntireAgreement

7.TerminationandConsequences
