2025商務(wù)英語(yǔ)國(guó)際貿(mào)易合同撰寫(xiě)與范本2025BusinessEnglishInternationalTradeContractWritingandTemplatePartI:ScopeoftheContractThiscontractisestablishedtoregulatetheinternationaltraderelationshipbetween(hereinafterreferredtoas"PartyA")and(hereinafterreferredtoas"PartyB").TheagreementhereinappliestothesupplyofcertaingoodsandservicesfromPartyAtoPartyB,inaccordancewiththetermsandconditionsoutlinedbelow.ThiscontractiswritteninEnglishandshallbegovernedbyinternationaltradelawsandregulations.1.1GoodsDescriptionThefollowingitemsareagreeduponforsupply:ProductName:Quantity:Specifications:UnitPrice:TotalValue:1.2PaymentTermsPartyBshallpayPartyAinaccordancewiththeagreedpaymentterms,whichincludebutarenotlimitedto:LetterofCredit(LC)atsightuponsubmissionoffulldocumentation;TelegraphicTransfer(T/T)forimmediatedeliveryorders;IrrevocableStandbyLetterofCredit(ISLGC)assecurityfordeferredpayments.1.3DeliveryTermsThegoodsshallbedeliveredtothedesignatedportorwarehousespecifiedbyPartyB,inaccordancewiththeIncoterms2025rules:.Thedeliverytimelineisestimatedatdaysfromthedateofcontractsigning.PartII:QualityandInspectionToensurethequalityofthegoodsmeetsinternationalstandards,thefollowingprovisionsareestablished:2.1QualityStandardsThegoodssuppliedbyPartyAshallcomplywiththefollowingspecificationsandstandards:InternationalStandard:NationalStandard:Contract-SpecificRequirements:2.2InspectionProcessPartyBreservestherighttoinspectthegoodsattheirdiscretion,eitherbeforeoraftershipment.AnydiscrepanciesinqualityorquantitymustbereportedtoPartyAwithindaysofreceipt.2.3QualityGuaranteePartyAwarrantsthatthegoodsarefreefromdefectsinmaterialandworkmanshipforaperiodofmonthsfromthedateofdelivery.Duringthiswarrantyperiod,anydefectsdiscoveredshallbeaddressedbyrepair,replacement,orrefundatthediscretionofPartyA.PartIII:IntellectualPropertyRightsThetransferofgoodsunderthiscontractdoesnotimplythetransferofintellectualpropertyrights.Alltrademarks,patents,designs,andotherintellectualpropertiesrelatedtothegoodsremainthesolepropertyofPartyA.PartyBagreesnottouse,reproduce,ordistributeanyproprietaryinformationwithoutpriorwrittenconsentfromPartyA.PartIV:ForceMajeureIntheeventthateitherpartyisunabletofulfilltheirobligationsduetocircumstancesbeyondtheircontrol,suchasnaturaldisasters,war,pandemics,orgovernmentalregulations(collectivelyreferredtoas"ForceMajeure"),theaffectedpartyshallpromptlynotifytheotherinwritingandproviderelevantevidence.TheobligationsoftheaffectedpartyshallbesuspendedforaperiodequaltothedurationoftheForceMajeureevent.PartV:DisputeResolutionAnydisputesarisingfromorrelatedtothiscontractshallberesolvedthroughfriendlyconsultationsbetweentheparties.Ifamicableresolutionfails,thedisputeshallbesubmittedto(designatedarbitrationbodyorcourt)forbindingarbitrationinaccordancewiththeirrulesandprocedures.Thearbitrationshalltakeplacein,andthelanguageofproceedingsshallbeEnglish.PartVI:MiscellaneousProvisions6.1GoverningLawThiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof(designatedjurisdiction).Anylegalactionsorproceedingsrelatedtothiscontractshallbeconductedexclusivelywithinthejudicialjurisdictionof.6.2AmendmentsAnyamendmentsormodificationstothiscontractmustbemadeinwritingandsignedbybothparties.Suchamendmentsshallonlybevalidiftheydonotcontravenewiththeoriginaltermsandconditionsagreeduponherein.6.3EntireAgreementThiscontractconstitutestheentireagreementbetweenPartyAandPartyBregardingthesubjectmatterhereof.Anyprioragreements,representations,orunderstandingsaresupersededbythiscontract.6.4CounterpartsThiscontractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butbothofwhichtogethershallconstituteoneandthesameinstrument.PartVII:SignaturesINWITNESSWHEREOF,thepartiesheretohaveexecutedthiscontractasofthedatefirstabovewritten.PartyA:Name:Title:CompanyName:Signature:Date:PartyB:Name:Title:CompanyName:
