3.ThePrincipalshallprovidetheAgentwithallnecessarymarketingmaterials,productinformation,andtechnicalsupportrequiredfortheAgenttoperformitsobligationsunderthisAgreement.

4.ThePrincipalshallpaytheAgentacommissiononaquarterlybasisforthesalesofthePrincipal'sproductsorservicesintheterritory.

5.TheAgentshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsobligationsunderthisAgreement.

TERMANDTERMINATION:

2.TheAgentshallindemnifyandholdthePrincipalharmlessfromandagainstanyclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeAgent'sbreachofthisAgreement.

DISPUTERESOLUTION:

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.

2.IfthePartiesfailtoresolveanydisputesthroughamicablenegotiations,thedisputesshallbesubmittedtoarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.
