1.DescriptionoftheService

PartyBshallprovidethefollowingservicestoPartyA(the"Services"):

2.RightsandObligationsoftheParties

PartyA'sRightsandObligations

Rights:

PartyAhastherighttoreceivetheServicesprovidedbyPartyBinaccordancewiththetermsandconditionsofthisContract.

PartyAhastherighttorequestPartyBtomakereasonableadjustmentstotheServicesincaseofanychangesinPartyA'sbusinessrequirements,providedthatsuchrequestsaremadeinwritingandPartyBagreestosuchadjustments.

Obligations:

PartyAshallprovidePartyBwithallnecessaryinformation,data,andaccesstofacilitiesrequiredfortheperformanceoftheServicesinatimelymanner.

PartyAshallpaytheservicefeestoPartyBinaccordancewiththepaymenttermsspecifiedinthisContract.

PartyAshallcooperatewithPartyBduringtheperformanceoftheServices,includingbutnotlimitedtoprovidingnecessaryassistance,respondingtoPartyB'sinquiries,andparticipatinginrelevantmeetingsanddiscussions.

PartyB'sRightsandObligations

Rights:

PartyBhastherighttoreceivetheservicefeesfromPartyAasagreedinthisContract.

PartyBhastherighttoterminatethisContractincaseofPartyA'smaterialbreachofthisContract.

Obligations:

PartyBshallperformtheServiceswithduediligence,professionalskills,andcare,inaccordancewiththeindustrystandardsandthespecificrequirementssetforthinthisContract.

PartyBshallensurethatalldeliverablesprovidedtoPartyAareaccurate,plete,andinpliancewithrelevantlawsandregulations.

PartyBshallkeepconfidentialallinformationobtainedfromPartyAduringtheperformanceoftheServices,andshallnotdisclosesuchinformationtoanythirdpartywithoutPartyA'spriorwrittenconsent,exceptasrequiredbylaw.

PartyBshallberesponsibleforitsownemployees,agents,andsubcontractorsinvolvedintheperformanceoftheServices,andshallensurethattheyplywithalltermsandconditionsofthisContract.

3.PaymentTerms

PartyAshallpayPartyBaservicefeeof[amount]in[paymentcurrency]fortheServicesprovidedunderthisContract.

Thepaymentshallbemadeinthefollowinginstallments:

4.IntellectualPropertyRights

AnyintellectualpropertyrightscreatedordevelopedbyPartyBinthecourseofprovidingtheServicesshallbelongtoPartyB,unlessotherwiseagreedinwriting.

PartyBshallhavetherighttouseanyintellectualpropertyrightsofitsownfortheperformanceoftheServices,providedthatsuchusedoesnotviolateanythirdpartyrights.

PartyAshallhavetherighttousethedeliverablesprovidedbyPartyBforitsowninternalbusinesspurposesonly,andshallnotsublicense,transfer,orotherwisedistributesuchdeliverablestoanythirdpartywithoutPartyB'spriorwrittenconsent.

5.Confidentiality

EachpartyacknowledgesthatduringtheperformanceofthisContract,itmayhaveaccesstoconfidentialinformationoftheotherparty(the"ConfidentialInformation").

ConfidentialInformationshallinclude,butnotbelimitedto,businesssecrets,technicalinformation,customerlists,financialinformation,andanyotherinformationmarkedasconfidential.

EachpartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

IncaseofadisclosureofConfidentialInformationbyonepartyduetolegalrequirements,thedisclosingpartyshallpromptlynotifytheotherpartyandcooperatewiththeotherpartytotakereasonablemeasurestoprotecttheconfidentialityofsuchinformation.

6.TermandTermination

ThisContractshallmenceontheeffectivedateasspecifiedaboveandshallcontinueuntilthepletionofallServicesandthesettlementofallpaymentshereunder,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

EitherpartymayterminatethisContractupon[numberofdays]days'priorwrittennoticetotheotherpartyincaseofamaterialbreachofthisContractbytheotherparty.

IncaseofterminationofthisContract,PartyAshallpayPartyBfortheServicesalreadyperformeduptothedateofterminationinaccordancewiththepaymenttermsspecifiedinthisContract.PartyBshallreturntoPartyAanyprepaidbutunusedservicefees,ifapplicable.

UponterminationofthisContract,bothpartiesshallcooperatetowinduptheServicesandtoensurethepropertransferofanyrelevantinformationandassets.

7.LiabilityandIndemnification

EachpartyshallbeliableforitsownactsandomissionsinconnectionwiththeperformanceofthisContract,andshallindemnifyandholdtheotherpartyharmlessfromandagainstanylosses,damages,liabilities,claims,andexpenses(includingreasonableattorneys'fees)arisingoutoforinrelationtosuchactsandomissions.

However,neitherpartyshallbeliableforanyindirect,special,consequential,orpunitivedamages,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.

PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyclaims,losses,damages,liabilities,andexpensesarisingoutoforinrelationtoPartyB'sperformanceoftheServices,includingbutnotlimitedtoanyintellectualpropertyinfringementclaimsorthirdpartyclaimsfordamagescausedbyPartyB'sdeliverables.

8.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlyconsultationsbetweentheparties.Ifthepartiesfailtoreachanagreementwithin[numberofdays]daysaftertheinitiationoftheconsultations,thedisputesshallbesubmittedto[arbitrationinstitution/court]forarbitration/litigation.

Incaseofarbitration,thearbitrationshallbeconductedinaccordancewiththearbitrationrulesof[arbitrationinstitution],andthearbitrationawardshallbefinalandbindingonbothparties.

Incaseoflitigation,thedisputesshallbegovernedbythelawsof[jurisdiction],andthecourtof[jurisdiction]shallhaveexclusivejurisdictionoverthedisputes.

9.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

10.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

11.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessinwr
