?ThisDonationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:

I.DescriptionoftheDonationObjectorService

A.DonationObject

TheDonorherebydonatestotheRecipientthefollowingproperty(the"DonatedProperty"):

1.[Descriptionoftangibleproperty,includingquantity,quality,specifications,etc.Forexample,[x]piecesofmedicalequipment,namely[listofequipmentnames],withthebrandof[brandname],modelnumberof[modelnumber],andingoodworkingcondition.]

2.[Ifthereareintangibleassets,suchasintellectualpropertyrights,describethemindetail.Forexample,theexclusiverighttousethepatentedtechnologyof[patentname]foraperiodof[x]yearsstartingfromthedateofsigningthisAgreement.]

B.DonationService

InadditiontotheaboveDonatedProperty,theDonoralsoprovidesthefollowingservicestotheRecipient(the"DonatedServices"):

1.[Descriptionofprofessionalservices,suchasprovidingtrainingcourseson[trainingtopic]for[x]daysby[numberoftrainers]professionaltrainerswithrelevantexperienceandqualifications.]

2.[Anyotherservicesrelevanttothedonation,suchastechnicalconsultingservicesduringtheinstallationandmissioningofthedonatedequipmentforaperiodof[x]weeks.]

II.RightsandObligationsoftheParties

A.RightsandObligationsoftheDonor

1.TheDonorhastherighttorequiretheRecipienttousetheDonatedPropertyandDonatedServicesinaccordancewiththepurposeofthisAgreement.

2.TheDonorshallensurethatithasthelegalrighttodisposeoftheDonatedPropertyandiscapableofprovidingtheDonatedServices.

3.TheDonorshalldelivertheDonatedPropertytotheRecipientinaccordancewiththeagreedtime,place,andmanner.Fortangibleproperty,thedeliveryshallbeapaniedbyrelevantcertificates,manuals,etc.Forintangibleassets,thetransferproceduresshallbepletedinaccordancewiththelaw.

4.TheDonorshallprovidenecessaryassistanceandcooperationtotheRecipientduringtheprocessofusingtheDonatedPropertyandDonatedServices,suchasprovidingtechnicalsupport,answeringquestions,etc.

5.TheDonorreservestherighttomonitortheuseoftheDonatedPropertyandDonatedServicesbytheRecipienttoensurethattheyareusedfortheintendedpurpose.

B.RightsandObligationsoftheRecipient

1.TheRecipienthastherighttoreceivetheDonatedPropertyandenjoytheDonatedServicesinaccordancewiththisAgreement.

2.TheRecipientshallusetheDonatedPropertyandDonatedServicessolelyforthepurposespecifiedinthisAgreement,whichis[descriptionofthepurpose,e.g.,fortheimprovementofmedicaltreatmentconditionsin[specificarea],tosupporteducationprogramsfordisadvantagedchildrenin[region],etc.].

3.TheRecipientshalltakereasonablecareoftheDonatedProperty,keepitingoodcondition,andnotcauseanydamageorlossduetoimproperuseornegligence.Incaseofanydamageorloss,theRecipientshallpromptlynotifytheDonorandtakeappropriatemeasurestominimizethelosses.

4.TheRecipientshallnottransfer,assign,orsublicensetheDonatedPropertyorDonatedServicestoanythirdpartywithoutthepriorwrittenconsentoftheDonor,exceptasotherwisepermittedbylaw.

5.TheRecipientshallprovidetheDonorwithregularreportsontheuseoftheDonatedPropertyandDonatedServices,includingbutnotlimitedtousagestatus,impactassessment,etc.,atleast[reportingfrequency,e.g.,onceaquarter].

III.Consideration

InconsiderationoftheDonor'sdonationoftheDonatedPropertyandprovisionoftheDonatedServices,theRecipientagreestothefollowing:

1.TheRecipientshallexpressitssinceregratitudetotheDonorthroughappropriatechannels,suchasissuingacertificateofappreciation,publiclyacknowledgingtheDonor'scontribution,etc.

2.TheRecipientshallnotmakeanyfalseormisleadingstatementsabouttheDonororthedonation,andshallmaintainthegoodreputationoftheDonor.

IV.Confidentiality

1.EachpartyacknowledgesthatduringtheperformanceofthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinesssecrets,technicalinformation,donor'spersonalinformation,etc.(collectivelyreferredtoas"ConfidentialInformation").

2.EachpartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[confidentialityperiod,e.g.,[x]years].

V.IntellectualPropertyRights

1.ForanyintellectualpropertyrightsrelatedtotheDonatedPropertyorDonatedServices,ifthereareany,thefollowingprovisionsshallapply:

IftheDonatedPropertyincludesintellectualpropertyrights,suchaspatents,trademarks,copyrights,etc.,thetransferofsuchintellectualpropertyrightsshallbesubjecttotherelevantlawsandregulations.TheDonorshallensurethatithastherighttotransfertheintellectualpropertyrightsandshallassisttheRecipientinpletingthenecessarytransferprocedures.

IftheDonatedServicesinvolvethecreationofintellectualpropertyrightsduringtheperformanceprocess,theownershipofsuchintellectualpropertyrightsshallbedeterminedinaccordancewiththefollowingprinciples:

IfthecreationismainlybasedontheRecipient'sresourcesandefforts,theintellectualpropertyrightsshallbelongtotheRecipient.

IfthecreationismainlybasedontheDonor'sresourcesandefforts,theintellectualpropertyrightsshallbelongtotheDonor.

IfthecreationisjointlymadebytheDonorandtheRecipient,theintellectualpropertyrightsshallbejointlyownedbybothparties,andbothpartiesshallhavetherighttouse,license,andtransfertheintellectualpropertyrightsinaccordancewiththelawandthisAgreement.

2.EachpartyshallrespecttheintellectualpropertyrightsoftheotherpartyandshallnotinfringeontheintellectualpropertyrightsoftheotherpartyduringtheperformanceofthisAgreement.

VI.TaxMatters

1.EachpartyshallberesponsibleforpayingitsowntaxesandfeesarisingfromtheexecutionandperformanceofthisAgreementinaccordancewiththerelevanttaxlawsandregulations.

2.Foranytaxesandfeesrelatedtothedonation,suchasgifttax,ietax,etc.,thefollowingprovisionsshallapply:

TheDonorshallberesponsibleforpayinganygifttaxorothertaxesandfeesrequiredbylawforthedonationoftheDonatedPropertyandprovisionoftheDonatedServices,unlessotherwisespecifiedbylaw.

TheRecipientshallcooperatewiththeDonorinprovidingnecessaryinformationanddocumentsfortaxdeclarationandpayment.

VII.TerminationandModification

A.Termination

1.ThisAgreementmaybeterminatedunderthefollowingcircumstances:

Bymutualwrittenagreementofbothparties.

IfonepartymateriallybreachesthisAgreementandfailstocurethebreachwithin[cureperiod,e.g.,[x]days]afterreceivingwrittennoticefromtheotherparty.

IfthepurposeofthisAgreementcannotbeachievedduetoforcemajeureorotherunforeseeable,unavoidable,andinsurmountablecircumstances.

2.IncaseofterminationofthisAgreement,bothpartiesshallcooperatetopletethenecessaryproceduresforthereturn,transfer,ordisposaloftheDonatedPropertyandthesettlementofrelevantmatters.

B.Modification

1.AnymodificationorsupplementtothisAgreementshallbemadeinwritingandsignedbybothparties.

2.ModificationsandsupplementstothisAgreementshallbeeffectiveuponthedateofsignaturebybothparties.

VIII.LiabilityandIndemnification

A.Liability

1.EachpartyshallbeliableforitsownbreachofthisAgreementandshallpensatetheotherpartyforanylossessufferedasaresultofsuchbreach.

2.Ifbothpartiesarejointlyliableforacertainmatter,theyshallbeartheliabilityjointlyandseverally.

B.Indemnification

1.TheDonorshallindemnifyandholdtheRecipientharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingbutnotlimitedtolegalfees,arbitrationfees,etc.)arisingoutoforinconnectionwiththeDonor'sbreachofthisAgreement,thequalityoftheDonatedProperty,ortheprovisionoftheDonatedServices.

2.TheRecipientshallindemnifyandholdtheDonorharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingbutnotlimitedtolegalfees,arbitrationfees,etc.)arisingoutoforinconnectionwiththeRecipient'sbreachofthisAgreement,theimproperuseoftheDonatedProperty,orthefailuretoplywiththerequirementsofthisAgreement.

Ix.DisputeResolution

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweentheparties.Ifthenegotiationfails,eitherpartymaysubmitthedisputeto[arbitrationinstitutionname]forarbitrationinaccordancewiththearbitrationrulesof[arbitrationinstitution].Thearbitrationawardshallbefinalandbindingonbothparties.

2.Intheeventofadispute,thepartiesshallcontinuetoperformtheirrespectiveobligationsunderthi
