I.DescriptionoftheSubjectMatterorServices

1.ProjectOverview

PartyAengagesPartyBtoundertakethe[projectname]engineeringproject.Theprojectinvolves[briefdescriptionoftheoverallprojectscope,suchasconstructionofabuilding,installationofamechanicalsystem,etc.].

2.SpecificScopeofWork

PartyBshallberesponsibleforperformingthefollowingspecificengineeringtasks:

Allrelevanttechnicaldocuments,includingdesigndrawings,operationmanuals,maintenancemanuals,andtestreports.

II.RightsandObligationsoftheParties

A.RightsofPartyA

1.InspectionandSupervision

PartyAhastherighttoinspecttheprogressandqualityoftheprojectatanytime.PartyBshallprovidenecessaryassistanceandinformationforsuchinspections.

2.RequestforModifications

PartyAmayrequestPartyBtomakemodificationstotheprojectscope,design,orscheduleasnecessary.PartyBshallevaluatesuchrequestsand,ifreasonable,implementtheminatimelymanner.

B.RightsofPartyB

1.PaymentforServices

PartyBhastherighttoreceivepaymentinaccordancewiththetermsandconditionsofthisAgreementfortheworkperformedandservicesprovided.

2.UseofResources

PartyBshallhavetherighttousetheresourcesprovidedbyPartyA,subjecttothetermsofthisAgreement,forthepurposeofcarryingouttheengineeringproject.

C.ObligationsofPartyA

1.ProvideNecessaryInformation

PartyAshallprovidePartyBwithallnecessaryinformation,includingprojectrequirements,siteconditions,andrelevantdata,inatimelymannertoenablePartyBtoperformtheworkproperly.

2.MakePayments

PartyAshallmakepaymentstoPartyBinaccordancewiththepaymentschedulespecifiedinthisAgreement.

3.CoordinatewithThirdParties

PartyAshallberesponsibleforcoordinatingwithanythirdpartyentitieswhosecooperationisrequiredforthesmoothprogressoftheproject,suchasobtainingnecessarypermitsorapprovals.

D.ObligationsofPartyB

1.ProfessionalCompetence

PartyBshallperformtheworkwithprofessionalskillsandduediligence,usingqualifiedpersonnelandappropriatematerialsandequipment.

2.CompliancewithLawsandRegulations

PartyBshallplywithallapplicablenationalandlocallaws,regulations,andengineeringstandardsintheperformanceofthework.

3.ProjectSchedule

PartyBshallprepareadetailedprojectscheduleandadheretoit.AnydelaysintheprojectscheduleshallbepromptlynotifiedtoPartyA,alongwiththereasonsandproposedsolutions.

4.QualityAssurance

PartyBshallestablishandimplementaqualityassurancesystemtoensurethattheprojectmeetstherequiredqualitystandards.PartyBshallconductregularqualityinspectionsduringtheconstructionprocessandcorrectanydefectspromptly.

5.SafetyManagement

PartyBshallberesponsibleforsafetymanagementduringtheprojectexecution.PartyBshallimplementsafetymeasurestopreventaccidentsandensurethesafetyofworkersandthesurroundingenvironment.

6.Confidentiality

PartyBshallkeepconfidentialallinformationobtainedfromPartyAduringtheperformanceofthisAgreementandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofPartyA.

III.PaymentTerms

1.TotalContractPrice

Thetotalcontractpriceforthisengineeringprojectis[amountincurrency].

2.PaymentSchedule

AdvancePayment:PartyAshallpay[percentage]ofthetotalcontractpriceasanadvancepaymenttoPartyBwithin[numberofdays]daysafterthesigningofthisAgreement.Theamountoftheadvancepaymentis[amount].

InterimPayments:Basedontheprogressoftheproject,PartyAshallmakeinterimpaymentstoPartyB.PartyBshallsubmitdetailedprogressreportsandpaymentapplicationstoPartyAona[frequency,e.g.,monthly]basis.PartyAshallreviewandapprovetheapplicationswithin[numberofdays]daysandmakepaymentsaccordingly.Theamountofeachinterimpaymentshallbecalculatedbasedonthepercentageofworkpleted,butshallnotexceed[maximumpercentage]ofthetotalcontractpriceateachstage.

FinalPayment:UponpletionoftheprojectandacceptancebyPartyA,PartyBshallsubmitafinalsettlementreporttoPartyA.PartyAshallreviewthereportwithin[numberofdays]days.Iftherearenodisputes,PartyAshallpaytheremaining[percentage]ofthetotalcontractprice(thefinalpaymentamount)toPartyBwithin[numberofdays]days.

IV.DurationoftheProject

1.CommencementDate

Theprojectshallmenceon[startdate],subjecttothefulfillmentofallprestartconditions,includingreceiptoftheadvancepaymentandnecessaryapprovals.

2.CompletionDate

PartyBshallpletetheprojectby[enddate].Anyextensionofthepletiondateshallbesubjecttothewrittenagreementofbothparties.

V.QualityWarranty

1.WarrantyPeriod

PartyBshallprovideaqualitywarrantyperiodof[numberofmonths/years]fromthedateofprojectacceptance.

2.WarrantyObligations

Duringthewarrantyperiod,PartyBshallberesponsibleforrepairingorreplacinganydefectivepartsorponentsoftheprojectatnocosttoPartyA.PartyBshallrespondtoPartyA'swarrantyclaimswithin[numberofdays]daysandpletetherepairorreplacementworkwithinareasonabletimeframe.

VI.IntellectualPropertyRights

1.OwnershipofIntellectualProperty

Allintellectualpropertyrights,includingbutnotlimitedtodesigndrawings,patents,trademarks,andcopyrights,createdorusedintheperformanceofthisprojectshallbeownedbyPartyA,unlessotherwiseagreedinwriting.

2.UseofIntellectualProperty

PartyBshallnotuseanyintellectualpropertyrightsrelatedtothisprojectforanypurposeotherthantheperformanceofthisAgreementwithoutthepriorwrittenconsentofPartyA.

VII.Confidentiality

1.ConfidentialInformationDefined

Confidentialinformationincludesallinformationrelatedtothisproject,includingprojectplans,technicaldata,businesssecrets,andanyotherinformationdisclosedbyeitherpartyduringthenegotiationorperformanceofthisAgreement.

2.ObligationtoKeepConfidential

Bothpartiesshallkeepconfidentialallconfidentialinformationreceivedfromtheotherpartyandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.ThisobligationshallsurvivetheterminationofthisAgreementforaperiodof[numberofyears].

VIII.TerminationoftheAgreement

1.TerminationbyAgreement

ThisAgreementmaybeterminatedbymutualwrittenagreementofbothparties.

2.TerminationforBreach

IfeitherpartymateriallybreachesthisAgreement,thenonbreachingpartyshallhavetherighttoterminatethisAgreementbygivingwrittennoticetothebreachingparty.Thebreachingpartyshallbeliableforanydamagescausedtothenonbreachingpartyasaresultofthebreach.

3.ConsequencesofTermination

UponterminationofthisAgreement,bothpartiesshallfulfilltheirrespectiveobligationsuntiltheterminationiseffective.PartyBshallreturnallmaterialsandinformationrelatedtotheprojecttoPartyA.AnypaymentsmadebyPartyApriortoterminationshallbeadjustedbasedontheworkpleteduptotheterminationdate.

Ix.DisputeResolution

1.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

2.ArbitrationorLitigation

Ifthepartiesareunabletoresolvethedisputethroughnegotiationwithin[numberofdays]days,thedisputeshallberesolvedeitherbyarbitrationorbylitigation,asfollows:
