I.Recitals

2.Dueto[reasonsfortermination,e.g.,mutualagreement,breachofcontract,changeincircumstances,etc.],thepartieshavedecidedtoterminatetheOriginalContractandenterintothisAgreementtogovernthetermsandconditionsofsuchtermination.

II.TerminationoftheOriginalContract

1.TheOriginalContractdated[contractsigningdate]isherebyterminatedeffectiveasof[terminationdate].

2.AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminate,exceptforthoserightsandobligationsthathaveaccruedpriortotheterminationdateandwhichshallcontinuetobeenforceableinaccordancewiththeapplicablelaws.

III.ReturnofConsideration

1.PartyBshallreturntoPartyAallconsiderationreceivedfromPartyAundertheOriginalContractwithin[numberofdays]daysfromthedateofthisAgreement.Suchconsiderationshallinclude,butnotbelimitedto,anygoods,materials,equipment,documents,oranyotheritemsprovidedbyPartyA.

2.PartyAshallreturntoPartyBallconsiderationreceivedfromPartyBundertheOriginalContractwithin[numberofdays]daysfromthedateofthisAgreement.Suchconsiderationshallinclude,butnotbelimitedto,anypaymentsmadebyPartyB,anyservicesrenderedbyPartyB,andanyintellectualpropertyrightstransferredorlicensedbyPartyBtoPartyA.

IV.SettlementofAccounts

1.ThepartiesshallsettlealloutstandingaccountsbetweentheminrelationtotheOriginalContractwithin[numberofdays]daysfromthedateofthisAgreement.

2.PartyAshallpaytoPartyBtheamountof[amount]fortheservicesrenderedbyPartyBuptotheterminationdate,lessanyamountsalreadypaidbyPartyA.

3.PartyBshallpaytoPartyAtheamountof[amount]forthegoodsreceivedbyPartyBfromPartyAuptotheterminationdate,lessanyamountsalreadypaidbyPartyB.

V.Confidentiality

1.EachpartyacknowledgesthatduringthecourseoftheirbusinessrelationshipundertheOriginalContract,ithashadaccesstocertainconfidentialinformationoftheotherparty.

2.EachpartyshallkeepconfidentialandshallnotdisclosetoanythirdpartyanyconfidentialinformationoftheotherpartyreceivedduringthetermoftheOriginalContract,exceptasrequiredbylaworwiththepriorwrittenconsentoftheotherparty.

3.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[numberofyears]years.

VI.IntellectualPropertyRights

1.AllintellectualpropertyrightscreatedoracquiredbyeitherpartyinconnectionwiththeOriginalContractshallremaintheexclusivepropertyofthepartythatcreatedoracquiredsuchrights.

2.Eachpartyshallcooperatewiththeotherpartytoexecutealldocumentsandtakeallactionsreasonablynecessarytoconfirmandprotecttheotherparty'sintellectualpropertyrights.

3.Neitherpartyshallusetheotherparty'sintellectualpropertyrightsinanymannerthatviolatestheotherparty'srightsortheapplicablelaws.

VII.RepresentationsandWarranties

1.Eachpartyrepresentsandwarrantstotheotherpartythat:

Theexecution,delivery,andperformanceofthisAgreementbyitdonotviolateanyapplicablelaws,regulations,orcontractualobligations.

Itwillindemnifyandholdtheotherpartyharmlessfromandagainstanylosses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachoftheforegoingrepresentationsandwarranties.

2.TheforegoingrepresentationsandwarrantiesshallsurvivetheterminationofthisAgreement.

VIII.Indemnification

1.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandalllosses,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwith:

Anyclaim,lawsuit,orproceedingbroughtagainsttheotherpartybyathirdpartyarisingoutoforinconnectionwiththeOriginalContractorthisAgreement.

2.Theindemnifyingpartyshallassumethedefenseofanysuchclaim,lawsuit,orproceedingandshallpayallcostsandexpensesassociatedtherewith.Theindemnifiedpartyshallcooperatewiththeindemnifyingpartyinthedefenseofsuchclaim,lawsuit,orproceeding.

Ix.NonCompete

1.Foraperiodof[numberofyears]yearsfromthedateofterminationofthisAgreement,PartyBshallnotengageinanybusinessactivitiesthatarepetitivewiththebusinessofPartyAin[scopeofbusiness,e.g.,thesameindustry,geographicalarea,etc.].

2.PartyAshallpayPartyBanonpetefeeof[amount]permonthduringthenonpeteperiod.Thefirstpaymentshallbemadewithin[numberofdays]daysfromthedateofterminationofthisAgreement,andsubsequentpaymentsshallbemadeonamonthlybasis.

3.IfPartyBbreachesthenonpeteobligation,itshallbeliabletoPartyAforliquidateddamagesintheamountof[amount],whichshallbepayableimmediatelyuponsuchbreach.PartyBshallalsoberequiredtorefundtoPartyAallnonpetefeesreceivedduringthenonpeteperiod.

x.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country/state/province].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthe[nameofcourt]locatedin[locationofcourt].

xI.EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

xII.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementforTerminationofContractasofthedatefirstabovewritten.
