NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:

1.ScopeofWork

PartyAagreestoprovide[NatureofWorktobeperformedbyPartyA]fortheProject,inaccordancewiththetermsandconditionssetforthinthisContract.

2.Term

3.Payment

4.2PartyBshallnotuse,copy,ordistributeanyintellectualpropertyrightsofPartyAwithoutthepriorwrittenconsentofPartyA.

5.Confidentiality

5.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherpartyinconnectionwiththisContract,exceptasrequiredbylaworwiththepriorwrittenconsentofthedisclosingparty.

5.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.

6.Termination

6.1EitherpartymayterminatethisContract,inwholeorinpart,upon[ReasonforTermination],uponwrittennoticetotheotherparty.

6.2UponterminationofthisContract,PartyAshallbeentitledtoreceivepaymentforworkperformedpriortotheterminationdate.

7.GoverningLawandDisputeResolution

5.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherpartyinconnectionwiththisContract,exceptasrequiredbylaworwiththepriorwrittenconsentofthedisclosingparty.

5.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.

6.PartyA'sRightsandInterests

6.1PartyAshallhavetherighttoterminatethisContract,inwholeorinpart,upon[ReasonforTermination],uponwrittennoticetoPartyBandThirdParty.

6.2PartyAshallhavetherighttorequestmodificationstothescopeofworkofPartyBandThirdParty,providedsuchmodificationsareagreeduponinwritingbytheparties.

7.PartyB'sandThirdParty'sObligationsandLimitations

7.1PartyBandThirdPartyshallperformtheirrespectiveserviceswithduediligenceandinaccordancewiththehigheststandardsofcare.

7.2PartyBandThirdPartyshallnotsubcontractanyoftheirobligationsunderthisContractwithoutthepriorwrittenconsentofPartyA.

7.3PartyBandThirdPartyshallindemnifyandholdharmlessPartyAagainstanyclaims,damages,orlossesarisingoutoftheirfailuretoperformtheirobligationsunderthisContract.

8.Termination

8.1EitherPartyA,PartyB,orThirdPartymayterminatethisContract,inwholeorinpart,upon[ReasonforTermination],uponwrittennoticetotheotherparties.

8.2UponterminationofthisContract,PartyBandThirdPartyshallbeentitledtoreceivepaymentforworkperformedpriortotheterminationdate.

6.PartyB'sRightsandInterests

6.2PartyBshallhavetherighttorequestadditionalcompensationforanyunforeseencircumstancesthatmayariseduringtheperformanceoftheservices,providedsuchcircumstancesarebeyondthecontrolofPartyB.

6.3PartyBshallhavetherighttoreceiveperiodicprogressreportsfromThirdPartyregardingthestatusoftheservices.

7.PartyA'sObligationsandLimitations

7.1PartyAshallensurethattheservicesprovidedbyPartyBandThirdPartyarenotinterruptedordelayedduetoanyactoromissiononthepartofPartyA.

7.2PartyAshallnotunreasonablywithholdapprovalforanychangesrequestedbyPartyBtothescopeofservices,unlesssuchchangeswouldcauseamaterialadverseeffectontheProject.

7.3PartyAshallindemnifyandholdharmlessPartyBagainstanyclaims,damages,orlossesarisingoutofPartyA'sfailuretocomplywithitsobligationsunderthisContract.

8.Termination

8.1EitherPartyA,PartyB,orThirdPartymayterminatethisContract,inwholeorinpart,upon[ReasonforTermination],uponwrittennoticetotheotherparties.
