CONTRACTAGREEMENT

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

I.Recitals

WHEREAS,PartyAisengagedin[PartyAbusinessdescription];

WHEREAS,PartyBisengagedin[PartyBbusinessdescription];

WHEREAS,thepartiesdesiretoenterintoacontracttodefinetheirrightsandobligationswithrespecttothefollowingsubjectmatter.

II.ScopeofWork

PartyAshall[describePartyA'sobligations].PartyBshall[describePartyB'sobligations].ThespecificdetailsoftheworkareattachedheretoasExhibitAandmadeaparthereof.

III.PaymentTerms

PartyBshallpayPartyAthesumof[amount]in[currency].Paymentshallbemadeasfollows:

1.Aninitialpaymentof[initialpaymentamount]shallbemadewithin[numberofdays]daysafterthesigningofthisAgreement.

2.Theremainingbalanceof[remainingbalanceamount]shallbepaiduponthesuccessfulcompletionoftheworkandacceptancebyPartyB,whichshalloccurwithin[numberofdays]daysafterthecompletionofthework.

IV.IntellectualPropertyRights

1.AllintellectualpropertyrightsarisingoutoftheworkperformedunderthisAgreementshallbeownedby[specifytheowner].

2.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromanyclaims,damages,losses,orliabilitiesarisingoutofanyallegedinfringementofintellectualpropertyrightsrelatedtothework.

V.Confidentiality

1.EachpartyacknowledgesthatinthecourseofperformingunderthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherparty."ConfidentialInformation"shallincludebutnotbelimitedtobusinessplans,customerlists,productdesigns,andanyotherinformationdesignatedasconfidentialbythedisclosingparty.

2.ThereceivingpartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty,exceptasrequiredbylaw.

VI.TermandTermination

1.ThisAgreementshallcommenceonthedateofexecutionandshallremaininforceforaperiodof[numberofmonths/years].

2.EitherpartymayterminatethisAgreementupon[numberofdays/months]days'priorwrittennoticetotheotherparty.Intheeventoftermination,PartyAshallbecompensatedfortheworkcompleteduptothedateofterminationinaccordancewiththepaymenttermsherein.

VII.LiabilityandIndemnification

1.EachpartyshallbeliableforitsownactsandomissionsintheperformanceofthisAgreement.

2.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromanyandalllosses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithitsbreachofthisAgreementoritsnegligentorwillfulactsoromissions.

VIII.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[governingjurisdiction].
