2025商務(wù)英語合同中常見且重要的專業(yè)術(shù)語AGREEMENTNO.PARTIESThisAGREEMENT(the"Agreement")ismadeandenteredintoasof(the"EffectiveDate"),byandbetween:("PartyA"),havingitsprincipalplaceofbusinessat,and("PartyB"),havingitsprincipalplaceofbusinessat.RECITALSWHEREAS,PartyAisengagedinthebusinessof;andWHEREAS,PartyBisengagedinthebusinessof;andWHEREAS,thepartiesdesiretocollaborateinthefieldofinaccordancewiththetermsandconditionssetforthherein.NOW,THEREFORE,thepartiesheretoagreeasfollows:1.DEFINITIONSForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:1.1""shallmean.1.2""shallmean.1.3""shallmean.1.4""shallmean.1.5""shallmean.2.SCOPEOFWORK2.1PartyAshallprovidethefollowingservicestoPartyB:.2.2PartyBshallprovidethefollowingservicestoPartyA:.2.3ThescopeofworkshallbesubjecttothetermsandconditionsoutlinedinthisAgreementandanyexhibitsorschedulesattachedhereto.3.TERMANDTERMINATION3.1ThisAgreementshallcommenceontheEffectiveDateandcontinueforatermof(the"Term").3.2EitherpartymayterminatethisAgreementbyprovidingdays'writtennoticeoftermination.3.3Upontermination,thepartiesshallceaseallactivitiesunderthisAgreementandsettlealloutstandingobligations.4.PAYMENTANDINVOICES4.1PartyAshallpayPartyBanamountof(the"Payment")inaccordancewiththeagreedpaymentschedule.4.2Allinvoicesshallbesubmittedtobyandshallbepaidwithindaysofreceipt.4.3Ifanypaymentisnotmadewithinthespecifiedperiod,thedelinquentpartyshallbesubjecttoalatepaymentfeeofpermonth.5.CONFIDENTIALITY5.1EachpartyagreestomaintaintheconfidentialityofallinformationexchangedunderthisAgreement.5.2Confidentialinformationshallinclude,butisnotlimitedto,.5.3TheobligationsunderthisclauseshallsurvivetheterminationofthisAgreement.6.INDEMNIFICATION6.1PartyAagreestoindemnifyandholdharmlessPartyBagainstanyclaims,damages,orexpensesarisingfrom.6.2PartyBagreestoindemnifyandholdharmlessPartyAagainstanyclaims,damages,orexpensesarisingfrom.7.WARRANTIES7.1PartyAwarrantsthattheservicesprovidedunderthisAgreementshallbeperformedinamanner.7.2PartyBwarrantsthatthegoodsandservicesprovidedunderthisAgreementshallbefreefrom.8.REMEDIES8.1IntheeventofabreachofthisAgreement,thenon-breachingpartyshallbeentitledtoseekappropriateremedies,includingbutnotlimitedtoinjunctivereliefanddamages.8.2ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.9.FORCEMAJEURE9.1NeitherpartyshallbeliableforanyfailureordelayinperformanceunderthisAgreementduetoeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtoactsofGod,war,orgovernmentalactions.10.GOVERNINGLAW10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof.10.2AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthrough.11.MISCELLANEOUS11.1ENTIREAGREEMENT:ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings.11.2AMENDMENTS:AnyamendmentstothisAgreementmustbeinwritingandsignedbybothparties.11.3NOTICES:AllnoticesunderthisAgreementshallbeinwritinganddeliveredtotheaddressessetforthinthisAgreement.11.4SEPARABILITY:IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.11.5COUNTERPARTS:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisA
