EngineeringContractAgreement

ThisEngineeringContractAgreement(the“Agreement”)ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas“PartyA”),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas“PartyB”).

I.ScopeofWork

PartyBshallberesponsibleforcarryingoutthefollowingengineeringwork(the“Work”):

II.ProjectSchedule

1.CommencementDate:TheWorkshallcommenceon[commencementdate].

III.PaymentTerms

1.TotalContractPrice:PartyAshallpayPartyBatotalcontractpriceof[currencyandamount](the“ContractPrice”)forthecompletionoftheWorkinaccordancewiththetermsandconditionsofthisAgreement.

2.PaymentSchedule:

-AdvancePayment:PartyAshallpayPartyBanadvancepaymentof[advancepaymentpercentage]oftheContractPricewithin[numberofdays]daysafterthesigningofthisAgreement.

-InterimPayments:PartyBshallsubmitmonthlyprogressreportstoPartyA.Basedontheapprovedprogressreports,PartyAshallpayPartyB[interimpaymentpercentage]ofthevalueofthecompletedworkeachmonthwithin[numberofdays]daysafterreceivingthereport.

-FinalPayment:AfterthesuccessfulcompletionoftheWork,passingallacceptancetestsandreceivingallnecessaryapprovals,PartyAshallpayPartyBtheremainingbalanceoftheContractPricewithin[numberofdays]days.

IV.QualityAssurance

1.PartyBshallperformtheWorkinstrictaccordancewiththerelevantnationalandindustrystandards,aswellasthespecificationsandrequirementsprovidedbyPartyA.

2.PartyBshallberesponsibleforthequalityoftheWorkforaperiodof[warrantyperiod]fromthedateofacceptance.Duringthisperiod,PartyBshallberesponsibleforfreerepairorreplacementofanydefectivepartsorwork.

V.RightsandObligationsofPartyA

1.PartyAshallprovidePartyBwithallnecessaryinformation,drawings,andapprovalsinatimelymannertofacilitatetheprogressoftheWork.

2.PartyAshallmakepaymentstoPartyBinaccordancewiththepaymenttermsofthisAgreement.

3.PartyAhastherighttoinspecttheprogressandqualityoftheWorkatanytimeandrequirePartyBtomakenecessarycorrections.

VI.RightsandObligationsofPartyB

1.PartyBshallorganizeandcarryouttheWorkwithduediligenceandprofessionalskills,andensurethattheWorkiscompletedontime,withinbudget,andinaccordancewiththequalityrequirements.

2.PartyBshallberesponsibleforalllabor,materials,equipment,andotherresourcesrequiredfortheWork.

3.PartyBshallcomplywithallapplicablelaws,regulations,andsafetyrequirementsduringtheperformanceoftheWork.

4.PartyBshallnotsubcontractorassignanypartoftheWorkwithoutthepriorwrittenconsentofPartyA.

VII.IntellectualPropertyRights

1.AllintellectualpropertyrightsarisingfromtheWork,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallbelongtoPartyA.

2.PartyBshallnotuse,disclose,ortransferanyintellectualpropertyrightsrelatedtotheWorkwithoutthepriorwrittenconsentofPartyA.

VIII.Confidentiality

1.BothpartiesshallkeepconfidentialallinformationobtainedfromeachotherduringtheperformanceofthisAgreement,includingbutnotlimitedtobusinesssecrets,technicalinformation,andcustomerinformation.

2.TheconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[confidentialityperiod]years.

IX.LiabilityforBreachofContract

1.IfPartyAfailstomakepaymentsinaccordancewiththepaymenttermsofthisAgreement,PartyAshallpayPartyBliquidateddamagesatarateof[liquidateddamagespercentage]perdayfortheoverdueamount.

2.IfPartyBfailstocompletetheWorkontimeorfailstomeetthequalityrequirements,PartyBshallberesponsibleforcompensatingPartyAforalllossescausedthereby,includingbutnotlimitedtodelaydamages,reworkcosts,andlossofbusinessopportunities.

X.Termination

1.ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherpartyandthefailuretocuresuchbreachwithin[cureperiod]daysafterreceivingthenotice.

2.Intheeventoftermination,PartyBshallstopallWorkimmediatelyandreturnallmaterials,equipment,andinformationprovidedbyPartyA.PartyAshallpayPartyBfortheWorkcompletedandaccepteduptothedateofterminationinaccordancewiththepaymenttermsofthisAgreement.

XI.ForceMajeure

1.NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementduetoforcemajeureevents,includingbutnotlimitedtonaturaldisasters,wars,governmentactions,andstrikes.

2.Thepartyaffectedbyforcemajeureshallnotifytheotherpartyinwritingassoonaspossibleandprovideevidenceoftheforcemajeureevent.TheaffectedpartyshalltakeallreasonablemeasurestominimizetheimpactoftheforcemajeureeventontheperformanceofthisAgreement.

XII.GoverningLawandDisputeResolution

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[go
