2025合同中常見的英語詞匯解析CONTRACTAGREEMENTThisContractAgreement(the"Agreement")isenteredintoasof(the"EffectiveDate"),byandbetween(the"PartyA")and(the"PartyB"),whosecontactinformationisprovidedinExhibitA.ThisAgreementgovernsthetermsandconditionsunderwhichPartyAagreestoprovidegoodsorservicestoPartyB,andPartyBagreestopayforsuchgoodsorservicesinaccordancewiththetermsoutlinedherein.1.DEFINITIONSForthepurposeofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:1.1"Goods"shallmeanthetangibleitemsorproductsprovidedbyPartyAtoPartyB,asdescribedinExhibitB.1.2"Services"shallmeantheprofessionalortechnicalservicesprovidedbyPartyAtoPartyB,including,butnotlimitedto,consulting,design,ormaintenancework,asoutlinedinExhibitC.1.3"PaymentTerms"shallrefertotheconditionsandtimingforpaymentbyPartyBtoPartyA,asdetailedinSection3ofthisAgreement.1.4"ForceMajeure"shallmeananyeventbeyondthereasonablecontrolofeitherParty,includingnaturaldisasters,actsofwar,orgovernmentactions,asdefinedinSection10.1.5"ConfidentialInformation"shallincludeanyproprietaryorsensitiveinformationdisclosedbyeitherPartytotheotherduringthecourseofthisAgreement,asfurtherdescribedinSection11.2.SCOPEOFWORK2.1PartyAagreestoprovidetheGoodsand/orServicesasdetailedinExhibitBandExhibitC.2.2PartyBagreestoaccepttheGoodsandServicesprovidedbyPartyAinaccordancewiththespecificationsandtimelinesoutlinedinthisAgreement.2.3AnymodificationsorvariationstothescopeofworkshallrequirewrittenconsentfrombothParties,asperSection5.3.PAYMENTANDTERMS3.1PartyBshallpayPartyAtheamountspecifiedinExhibitD,inaccordancewiththePaymentTermsoutlinedinthisAgreement.3.2InvoicesshallbesubmittedbyPartyAtoPartyBwithindaysofthecompletionoftheServicesordeliveryoftheGoods.3.3PaymentshallbemadebyPartyBwithindaysofthedateoftheinvoice,viathemethodspecifiedinExhibitE.3.4Latepaymentsshallincurapenaltyof%permonth,asoutlinedinExhibitF.3.5PartyAshallissuerefundsoradjustmentsonlyinaccordancewiththetermssetforthinExhibitG.4.DELIVERYANDACCEPTANCE4.1PartyAagreestodelivertheGoodsand/orprovidetheServiceswithinthetimelinesspecifiedinExhibitBandExhibitC.4.2PartyBshallinspecttheGoodsandServiceswithindaysofdeliveryorcompletion,asoutlinedinExhibitH.4.3AnydiscrepanciesordefectsshallbereportedbyPartyBtoPartyAwithindaysofdeliveryorcompletion.4.4PartyAshallrectifyanydefectsordiscrepanciesatnoadditionalcosttoPartyB,withindaysofreceivingwrittennoticefromPartyB.5.MODIFICATIONSANDAMENDMENTS5.1AnyamendmentstothisAgreementshallrequirewrittenconsentfrombothParties,asoutlinedinExhibitI.5.2AnyadditionaltermsorconditionsagreeduponbybothPartiesshallbeincorporatedintothisAgreementasExhibitsorAppendices.5.3AnyvariationstothescopeofworkordeliverablesshallbesubjecttopriorwrittenagreementbetweentheParties.6.WARRANTYANDLIABILITY6.1PartyAwarrantsthattheGoodsandServicesprovidedunderthisAgreementshallconformtothespecificationsoutlinedinExhibitBandExhibitC.6.2PartyAshallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingfromtheprovisionoftheGoodsorServices,exceptasexplicitlyoutlinedinthisAgreement.6.3PartyBagreestousetheGoodsandServicesinaccordancewiththeirintendedpurpose,asdescribedinExhibitJ.6.4NeitherPartyshallberesponsibleforanyclaimsordamagesresultingfromthemisuseorimproperhandlingoftheGoodsorServicesbytheotherParty.7.TERMINATION7.1EitherPartymayterminatethisAgreementwithwrittennoticetotheotherParty,asoutlinedinExhibitK.7.2Intheeventoftermination,PartyAshallbeentitledtoreceivepaymentforanycompletedworkordeliveredGoods,asperthetermsoutlinedinthisAgreement.7.3IntheeventofabreachofthisAgreementbyeitherParty,thenon-breachingPartyshallbeentitledtoterminatethisAgreementimmediately,withoutpriornotice,asperthetermsoutlinedinExhibitL.8.DISPUTERESOLUTION8.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughmediationorarbitration,asoutlinedinExhibitM.8.2ThejurisdictionforanylegalproceedingsunderthisAgreementshallbeasspecifiedinExhibitN.9.GOVERNINGLAW9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof.9.2AnylegalactionsorproceedingsunderthisAgreementshallbeconductedinthecourtsof.10.FORCEMAJEURE10.1IntheeventofaForceMajeure,eitherPartymaysuspendordelaytheperformanceoftheirobligationsunderthisAgreement,withoutincurringliability,asperthetermsoutlinedinExhibitO.10.2EitherPartyshallnotifytheotherPartyoftheoccurrenceofaForceMajeureeventwithindaysofbecomingawareofit.11.CONFIDENTIALITY11.1BothPartiesagreetomaintaintheconfidentialityofallConfidentialInformationdisclosedduringthetermofthisAgreement,asoutlinedinExhibitP.11.2ConfidentialInformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.11.3ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodofyears.12.ENTIREAGREEMENT12.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,orrepresentations,whetheroralorwritten,regardingthesubjectmatterofthisAgreement,asoutlinedinExhibitQ.12.2AnyExhibitsorAppendicesattachedtothisAgreementshallformanintegralpartofit.13.NOTICES13.1Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritinganddeliveredtotherespectiveaddressesofthePartiesassetforthinExhibitA.13.2Noticesshallbedeemedtohavebeenreceivedontheearlierofthedateofdeliveryorthedatewhenthesameisdepositedwithareputablecourierservice,asoutlinedinExhibitR.14.SEVERABILITY14.1IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallcontinueinfullforceandeffect,asoutlinedinExhibitS.15.INDEPENDENTCONT
