esupervisionandinspectionofPartyA,andshallpromptlyrectifyanyreasonableopinionsandsuggestionsputforwardbyPartyA.5.PartyBshallberesponsibleforthesafetymanagementoftheprojectandbearthesafetyresponsibilityduringtheimplementationoftheprojecttoensurethesafeandsmoothprogressoftheproject.五、項目驗收1.項目完成后，乙方應(yīng)提前[X]個工作日向甲方提交驗收申請報告及相關(guān)驗收資料。2.甲方在收到乙方驗收申請報告及相關(guān)資料后[X]個工作日內(nèi)組織驗收。驗收標(biāo)準(zhǔn)按照招標(biāo)文件、中標(biāo)文件及國家相關(guān)標(biāo)準(zhǔn)執(zhí)行。3.如驗收合格，雙方簽署驗收合格報告；如驗收不合格，乙方應(yīng)按照甲方要求進(jìn)行整改，直至驗收合格，由此產(chǎn)生的費用由乙方承擔(dān)。5.ProjectAcceptance1.Afterthecompletionoftheproject,PartyBshallsubmitanacceptanceapplicationreportandrelevantacceptancematerialstoPartyA[X]workingdaysinadvance.2.PartyAshallorganizetheacceptancewithin[X]workingdaysafterreceivingPartyB'sacceptanceapplicationreportandrelevantmaterials.Theacceptancecriteriashallbeimplementedinaccordancewiththetenderdocuments,winningbiddocumentsandrelevantnationalstandards.3.Iftheacceptanceisqualified,bothpartiesshallsigntheacceptancequalificationreport;iftheacceptanceisunqualified,PartyBshallrectifyaccordingtoPartyA'srequirementsuntiltheacceptanceisqualified.TheexpensesarisingtherefromshallbebornebyPartyB.六、違約責(zé)任1.若甲方未按照本協(xié)議約定支付合同價款，每逾期一日，應(yīng)按照未支付金額的[X]%向乙方支付違約金；逾期超過[X]日的，乙方有權(quán)解除本協(xié)議，并要求甲方支付已完工程價款及相應(yīng)的違約金。2.若乙方未按照本協(xié)議約定的時間、質(zhì)量標(biāo)準(zhǔn)完成項目，每逾期一日，應(yīng)按照合同總價款的[X]%向甲方支付違約金；如因乙方原因?qū)е马椖繜o法通過驗收或給甲方造成損失的，乙方應(yīng)承擔(dān)全部賠償責(zé)任。3.雙方違反本協(xié)議約定的其他條款，應(yīng)承擔(dān)相應(yīng)的違約責(zé)任，賠償對方因此遭受的全部損失。6.LiabilityforBreachofContract1.IfPartyAfailstopaythecontractpriceinaccordancewiththisagreement,itshallpayPartyBaliquidateddamagesof[X]%oftheunpaidamountforeachoverdueday;iftheoverdueperiodexceeds[X]days,PartyBhastherighttoterminatethisagreementandrequirePartyAtopaythecompletedprojectpriceandthecorrespondingliquidateddamages.2.IfPartyBfailstocompletetheprojectinaccordancewiththetimeandqualitystandardsagreedinthisagreement,itshallpayPartyAaliquidateddamagesof[X]%ofthetotalcontractpriceforeachoverdueday;iftheprojectfailstopasstheacceptanceinspectionorcauseslossestoPartyAduetoPartyB'sreasons,PartyBshallbearallcompensationresponsibilities.3.Ifeitherpartyviolatesotherprovisionsofthisagreement,itshallbearthecorrespondingliabilityforbreachofcontractandcompensatetheotherpartyforalllossessufferedthereby.七、保密條款雙方應(yīng)對在履行本協(xié)議過程中知悉的對方商業(yè)秘密、技術(shù)秘密及其他機(jī)密信息予以保密，未經(jīng)對方書面同意，不得向任何第三方披露或使用。本條款的保密期限為自本協(xié)議生效之日起[X]年。7.ConfidentialityClauseBothpartiesshallkeepconfidentialthebusinesssecrets,technicalsecretsandotherconfidentialinformationoftheotherpartyknownduringtheperformanceofthisagreement.Withoutthewrittenconsentoftheotherparty,neitherpartyshalldiscloseorusesuchinformationtoanythirdparty.Theconfidentialityperiodofthisclauseshallbe[X]yearsfromtheeffectivedateofthisagreement.八、爭議解決如雙方在本協(xié)議履行過程中發(fā)生爭議，應(yīng)首先通過友好協(xié)商解決；協(xié)商不成的，任何一方均有權(quán)向有管轄權(quán)的人民法院提起訴訟。8.DisputeResolutionIfanydisputesarisebetweenthetwopartiesduringtheperformanceofthisagreement,theyshallfirstattempttoresolvethedisputesthroughfriendlyconsultations;iftheconsultationsfail,eitherpartyhastherighttofilealawsuitwiththepeople'scourthavingjurisdiction.九、其他條款1.本協(xié)
