CONTRACTAGREEMENT

ThisCONTRACTAGREEMENT(the"Agreement")ismadeandenteredintoasof[date](the"EffectiveDate")byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

I.RECITALS

WHEREAS,PartyAisengagedin[PartyAbusinessbriefdescription];

WHEREAS,PartyBisengagedin[PartyBbusinessbriefdescription];

WHEREAS,thepartiesdesiretoenterintothisAgreementtodefinetheirrightsandobligationswithrespecttothefollowingmatters.

II.SCOPEOFSERVICES

PartyBshallprovidethefollowingservicestoPartyA:[Describeindetailtheservicestobeprovided,includingspecifictasks,deliverables,andtimelines].PartyAshallcooperatefullywithPartyBandprovideallnecessaryinformationandaccesstoenablePartyBtoperformtheserviceseffectively.

III.PAYMENT

1.Fees:InconsiderationfortheservicesprovidedbyPartyB,PartyAshallpayPartyBthefollowingfees:[Statetheamountofthefees,currency,andpaymentschedule].

2.PaymentTerms:PaymentsshallbemadebyPartyAtoPartyBwithin[numberofdays]daysafterreceiptofavalidinvoicefromPartyB.PartyBshallsubmitinvoicesinaccordancewiththepaymentschedulespecifiedabove.

IV.CONFIDENTIALITY

1.ConfidentialInformationDefined:Eachparty(the"DisclosingParty")maydisclosetotheotherparty(the"ReceivingParty")certainconfidentialinformation,whichincludesbutisnotlimitedtobusinessplans,customerlists,technicaldata,andfinancialinformation.

2.ObligationsoftheReceivingParty:TheReceivingPartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.TheReceivingPartyshallusetheConfidentialInformationonlyforthepurposesofthisAgreement.

V.INTELLECTUALPROPERTY

1.Ownership:AnyintellectualpropertyrightscreatedordevelopedinthecourseofperformingtheservicesunderthisAgreementshallbeownedby[Specifythepartythatshallowntheintellectualpropertyrights].

2.Licenses:Eachpartyherebygrantstotheotherpartyanon-exclusive,royalty-freelicensetousetheintellectualpropertyrightsnecessaryfortheperformanceofthisAgreement.

VI.WARRANTIESANDREPRESENTATIONS

1.PartyAWarranties:PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.PartyAfurtherwarrantsthattheinformationprovidedtoPartyBisaccurateandcomplete.

2.PartyBWarranties:PartyBrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformtheservicesdescribedherein.PartyBfurtherwarrantsthattheserviceswillbeperformedinaprofessionalandworkmanlikemanner.

VII.INDEMNIFICATION

1.PartyAIndemnification:PartyAshallindemnify,defend,andholdPartyBharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpensesarisingoutoforinconnectionwithPartyA'sbreachofthisAgreementoritsnegligenceorwillfulmisconduct.

2.PartyBIndemnification:PartyBshallindemnify,defend,andholdPartyAharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpensesarisingoutoforinconnectionwithPartyB'sbreachofthisAgreementoritsfailuretoperformtheservicesinaccordancewiththetermshereof.

VIII.TERMANDTERMINATION

1.Term:ThisAgreementshallcommenceontheEffectiveDateandshallremaininforceforaperiodof[numberofmonths/years](the"Term").

2.Termination:EitherpartymayterminatethisAgreementupon[numberofdays/months]writtennoticetotheotherparty.Intheeventoftermination,PartyBshallbeentitledtoreceivepaymentforservicesrendereduptothedateofterminationinaccordancewiththepaymenttermsofthisAgreement.

IX.GOVERNINGLAW

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Governingjurisdiction].

X.DISPUTERESOLUTION

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweentheparties.Ifthenegotiationfails,thepartiesagreetosubmitthedisputeto[Arbitrationinstitution/Court]forresolution.
