五、保密條款

b.保密期限

①theconfidentialityobligationswillremainineffectforaperiodoffiveyearsfromthedateofterminationoftheproject

c.違約責(zé)任

①anybreachoftheconfidentialityobligationswillresultinimmediateterminationoftheprojectandthepaymentofdamagestotheinjuredparty

六、爭議解決

a.爭議解決方式

①anydisputesarisingfromthisagreementwillberesolvedthroughfriendlynegotiations

②ifnegotiationsfail,thedisputewillbesubmittedtoarbitrationinaccordancewiththerulesoftherelevantarbitrationinstitution

b.仲裁機構(gòu)

①thearbitrationwillbeconductedbytheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)

七、其他條款

a.不可抗力

②forcemajeureincludesnaturaldisasters,war,governmentregulations,andotherunforeseeableeventsbeyondthecontroloftheparties
