correctionsiftheydonotmeetthestandards.ToclaimcompensationfromPartyBincaseofPartyB'sbreachofcontract.ObligationsTopaythePriceinaccordancewiththepaymenttermsofthiscontract.ToprovideallnecessaryassistanceandcooperationtoPartyBduringtheproduction,delivery,andserviceprovidingprocess,suchasprovidingrelevantinformationandaccesstothedesignatedlocation.2.RightsandObligationsofPartyBRightsToreceivethePricefromPartyAinaccordancewiththepaymenttermsofthiscontract.ToclaimcompensationfromPartyAincaseofPartyA'sbreachofcontract.ObligationsToproduceanddelivertheGoodsorprovidetheservicesinaccordancewiththecontractrequirements.ToprovideallnecessarydocumentsandinformationrelatedtotheGoodsorservices,suchasqualitycertificates,inspectionreports,andoperationmanuals.ToberesponsibleforthequalityandperformanceoftheGoodsorservicesduringthewarrantyperiod.VI.Warranty1.WarrantyPeriodPartyBshallprovideawarrantyfortheGoodsorservicesforaperiodof[NumberofMonths/Years]fromthedateofacceptancebyPartyA.Duringthewarrantyperiod,PartyBshallberesponsibleforrepairingorreplacinganydefectiveGoodsorprovidingfreeservicestocorrectanydefectsintheservices.2.WarrantyScopeThewarrantycoversalldefectsinmaterials,workmanship,andperformanceoftheGoodsorservices.However,thewarrantydoesnotcoverdamagescausedbyimproperuse,misuse,orunauthorizedmodificationoftheGoodsorservicesbyPartyA.VII.LiabilityforBreachofContract1.LiabilityofPartyAIfPartyAfailstopaythePriceinaccordancewiththepaymenttermsofthiscontract,PartyAshallpayPartyBalatepaymentpenaltyof[Percentage]%oftheoverdueamountforeachdayofdelay.Inaddition,PartyBhastherighttosuspendthedeliveryoftheGoodsortheprovisionofservicesuntilPartyAmakesthepayment.2.LiabilityofPartyBIfPartyBfailstodelivertheGoodsorprovidetheservicesinaccordancewiththecontractrequirements,PartyBshallpayPartyAaliquidateddamagesof[Percentage]%ofthetotalPriceforeachdayofdelay.Ifthedelayexceeds[NumberofDays],PartyAhastherighttoterminatethecontractandclaimcompensationforalllossessufferedasaresultofPartyB'sbreachofcontract.VIII.ForceMajeure1.DefinitionofForceMajeureForcemajeurereferstoanyeventthatisbeyondthereasonablecontrolofeitherparty,suchasnaturaldisasters(earthquakes,floods,typhoons,etc.),wars,riots,strikes,andgovernmentregulations.2.NotificationandReliefIncaseofforcemajeureevents,theaffectedpartyshallnotifytheotherpartyinwritingwithin[NumberofDays]daysaftertheoccurrenceoftheeventandproviderelevantofficialcertificatesordocuments.Theaffectedpartyshallbeexemptedfromliabilityfornonperformanceordelayedperformanceofitsobligationsunderthiscontracttotheextentcausedbytheforcemajeureevent.However,theaffectedpartyshalltakeallreasonablemeasurestominimizetheimpactoftheforcemajeureevent.IX.ConfidentialityBothpartiesshallkeepconfidentialallinformationobtainedfromtheotherpartyduringtheperformanceofthiscontract,includingbusinesssecrets,technicalinformation,andcustomerinformation.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclosesuchinformationtoanythirdparty.Thisconfidentialityobligationshallsurvivetheterminationofthiscontractforaperiodof[NumberofYears].X.DisputeResolution1.NegotiationIncaseofanydisputesarisingfromthiscontract,bothpartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiationwithin[NumberofDays]daysaftertheoccurrenceofthedisputes.2.ArbitrationorLitigationIfthenegotiationfails,thedisputesshallberesolvedthrougharbitrationorlitigationinaccordancewiththefollowingprovisions:Arbitration:Thepartiesagreetosubmitthedisputesto[ArbitrationInstitution]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallb
