II.Background

PartyAisthelegalownerofacertainpieceofland(hereinafterreferredtoas"theLand")andwishestocontractouttheLandtoPartyBforspecificagricultural/otherpurposesinaccordancewiththerelevantlawsandregulationsofthePeople'sRepublicofChina,especiallyinlinewiththeprovisionsoftheCivilCodeofthePeople'sRepublicofChina.PartyBhastheintentionandabilitytocontracttheLandandcarryouttheagreeduponoperations.

III.DescriptionoftheLand

A.Location

TheLandislocatedat[DetailedgeographicallocationoftheLand,includingprovince,city,district,andspecificaddress].

B.Area

IV.TermoftheContract

A.CommencementDate

B.Renewal

PartyBshallhavetherightoffirstrefusaltorenewthiscontractuponitsexpiration.PartyBshallsubmitawrittenapplicationforrenewaltoPartyAnolaterthan[X]daysbeforetheexpirationofthecontract.IfPartyAintendstorenewthecontract,bothpartiesshallnegotiateandconcludeanewcontractbasedonthethenprevailingmarketconditionsandrelevantlaws.

V.RightsandObligationsofPartyA

A.Rights

1.ReceiptofContractFees:PartyAhastherighttoreceivethecontractfeesfromPartyBinaccordancewiththetermsofthisAgreement.

2.Supervision:PartyAhastherighttosupervisePartyB'suseoftheLandtoensurethatPartyBusestheLandincompliancewiththeprovisionsofthisAgreementandrelevantlawsandregulations.

3.ReversionoftheLand:Attheendofthecontractterm,PartyAhastherighttotakebacktheLandinaccordancewiththeagreeduponconditions.

B.Obligations

1.TransferofRighttoUse:PartyAshall,within[X]daysafterthesigningofthisAgreement,transfertherighttousetheLandtoPartyBandprovidePartyBwithallnecessarydocumentsandinformationrelatedtotheLand.

2.GuaranteeofTitle:PartyAwarrantsthatithasthelegalrighttocontractouttheLandandthattherearenodisputesorencumbrancesovertheLand'sownershiporrighttouse.

3.Assistance:PartyAshallprovidenecessaryassistancetoPartyBinhandlingrelevantadministrativeproceduresrelatedtotheuseoftheLand,suchasobtainingpermitsforagriculturalproductionorconstructionontheLand(ifapplicable).

VI.RightsandObligationsofPartyB

A.Rights

1.UseoftheLand:PartyBhastherighttousetheLandfortheagreeduponpurposesduringthetermofthisAgreement.PartyBcanengagein[Specifythepermitteduses,suchasagriculturalcultivation,livestockbreeding,orforestry]ontheLand.

2.InvestmentandImprovement:PartyBhastherighttomakeinvestmentsandimprovementsontheLand,suchasbuildingirrigationfacilities,greenhouses,orstoragefacilities,subjecttothepriorwrittenconsentofPartyAandcompliancewithrelevantlawsandregulations.

3.IncomefromtheLand:PartyBhastherighttoobtainalltheincomegeneratedfromtheuseoftheLand,includingthesaleofagriculturalproducts,forestproducts,orotherproductsderivedfromtheLand.

B.Obligations

1.PaymentofContractFees:PartyBshallpaythecontractfeestoPartyAinaccordancewiththepaymentschedulespecifiedinthisAgreement.

2.CompliancewithLawsandRegulations:PartyBshallusetheLandinstrictcompliancewithallrelevantlaws,regulations,andpolicies,includingenvironmentalprotectionlaws,landmanagementlaws,andagriculturalproductionregulations.

3.MaintenanceoftheLand:PartyBshallberesponsibleforthemaintenanceandprotectionoftheLand.PartyBshallnotengageinanyactivitiesthatmaycausedamagetotheLand,suchasoverexploitation,soilpollution,ordeforestation.

4.ReturnoftheLand:Attheendofthecontractterm,PartyBshallreturntheLandtoPartyAinaconditionthatisconsistentwiththenormalwearandtearoftheLandduringthecontractterm.PartyBshallremoveallitsselfbuiltfacilitiesontheLand,unlessotherwiseagreedbybothparties.

VII.ContractFeesandPaymentMethod

A.ContractFees

ThetotalcontractfeesfortheentiretermofthisAgreementshallbe[TotalAmountinChineseandfigures].Thecontractfeesshallbepaidin[Numberofinstallments]installments.

B.PaymentSchedule

VIII.LiabilityforBreachofContract

A.LiabilityofPartyA

1.IfPartyAfailstotransfertherighttousetheLandtoPartyBontimeorbreachesanyofitsotherobligationsunderthisAgreement,PartyAshallpayPartyBliquidateddamagesintheamountof[X]%ofthetotalcontractfees.Inaddition,PartyBshallhavetherighttoterminatethisAgreementandclaimcompensationforallitslossescausedbyPartyA'sbreach.

2.IfPartyA'sactofcontractingouttheLandisfoundtobeillegalortherearedisputesovertheLand'sownershiporrighttouse,PartyAshallberesponsibleforresolvingthedisputesandcompensatingPartyBforallitslosses,includingbutnotlimitedtotheinvestmentmadebyPartyBontheLand,lostprofits,andlegalfees.

B.LiabilityofPartyB

1.IfPartyBfailstopaythecontractfeesontime,PartyBshallpayPartyAoverdueinterestatarateof[X]%perannumontheoverdueamount.IfPartyBfailstopaythecontractfeesformorethan[X]days,PartyAshallhavetherighttoterminatethisAgreementandrequirePartyBtopaytheoutstandingcontractfees,overdueinterest,andliquidateddamagesintheamountof[X]%ofthetotalcontractfees.

2.IfPartyBusestheLandinviolationoftheprovisionsofthisAgreementorrelevantlawsandregulations,PartyAhastherighttorequirePartyBtocorrectitsbehaviorwithinaspecifiedtimelimit.IfPartyBfailstocorrectitsbehavior,PartyAshallhavetherighttoterminatethisAgreementandclaimcompensationforallitslossescausedbyPartyB'sillegaluseoftheLand.

IX.Confidentiality

BothpartiesshallkeepconfidentialallinformationobtainedfromeachotherduringtheperformanceofthisAgreement,includingbutnotlimitedtothebusinesssecrets,technicalinformation,andlandrelatedinformation.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclosesuchinformationtoanythirdparty.

X.TransferofRightsandObligations

A.PartyA

PartyAshallnottransferitsrightsandobligationsunderthisAgreementtoanythirdpartywithoutthepriorwrittenconsentofPartyB.

B.PartyB

PartyBshallnottransferitsrightsandobligationsunderthisAgreementtoanythirdpartywithoutthepriorwrittenconsentofPartyA.IfPartyBwishestotransferitsrightsandobligations,PartyBshallsubmitawrittenapplicationtoPartyA,andPartyAshallreviewanddecidewhethertoconsentwithin[X]daysafterreceivingtheapplication.

XI.ForceMajeure

A.Definition

Forcemajeurereferstounforeseeable,unavoidable,andinsurmountableobjectivecircumstances,suchasnaturaldisasters(earthquakes,floods,typhoons,etc.),wars,andgovernmentimposedemergencymeasures.

B.Consequences

IfeitherpartyisunabletoperformitsobligationsunderthisAgreementduetoforcemajeure,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandproviderelevantproofwithin[X]days.Theaffectedpartyshallbeexemptedfromliabilityfornonperformanceordelayedperformanceofitsobligationstotheextentcausedbyforcemajeure.However,theaffectedpartyshallmakeallreasonableeffortstominimizethelossescausedbyforcemajeure.

XII.DisputeResolution

A.Negotiation

IntheeventofanydisputesarisingfromtheperformanceofthisAgreement,bothpartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiation.

B.ArbitrationorLitigation

Ifthenegotiationfails,bothpartiesagreetoresolvethedisputesthrough[Arbitration/Litigation].Ifthepartieschoosearbitration,thearbitrationshallbeconductedinaccordancewiththearbitrationrulesof[ArbitrationInstitution].Ifthepartieschooselitigation,thecaseshallbeunderthejurisdictionofthe[Nameofthecourt]wheretheLandislocated.

XIII.Miscellaneous

A.AmendmentsandSupplements

AnyamendmentsorsupplementstothisAgreementshallbemadeinwritingandsignedbybothparties.TheamendmentsandsupplementsshallbeanintegralpartofthisAgreementandhavethesamelegaleffect
