2025年船舶租賃合同英文版范本2025ThisLeaseAgreement("Agreement")ismadeandenteredintoasof[StartDate],byandbetween[Lessor'sFullLegalName],havingitsprincipalplaceofbusinessat[Lessor'sAddress]("Lessor"),and[Lessee'sFullLegalName],havingitsprincipalplaceofbusinessat[Lessee'sAddress]("Lessee").WHEREAS,Lessoristheownerofthevessel[VesselName](the"Vessel"),asmoreparticularlydescribedherein;andWHEREAS,LesseedesirestoleasetheVesselfromLessorforthetermhereinprovided;andWHEREAS,LessordesirestoleasetheVesseltoLesseeonthetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:1.VesselDescriptionTheVesselhereindescribed:VesselName:[VesselName]IMONumber:[IMONumber]船籍港:[PortofRegistry]船旗國:[FlagState]船型:[VesselType]建造年份:[YearofConstruction]注冊(cè)噸位:[GrossTonnage]凱氏噸位:[NetTonnage]主機(jī)功率:[MainEnginePower]航速:[ServiceSpeed]燃料類型:[FuelType]2.TermThetermofthisLeaseAgreementshallcommenceon[StartDate]("StartDate")andshallcontinueforaperiodof[Number][Months/Years]("LeaseTerm"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.TheLeaseTermmaybeextendedbymutualwrittenagreementoftheparties.3.BasisofLeaseThisLeaseAgreementisatimecharterpartybasedonthetermsandconditionsofthe[VesselType]TimeCharterPartyForm[FormNumber]dated[Date](the"CharterParty"),asamendedbytheSchedulehereto(the"Schedule").4.CharterPartyLesseeshallhavetherighttousetheVesselforthepurposeof[CharterPartyPurpose]duringtheLeaseTerminaccordancewiththetermsandconditionsoftheCharterParty.TheVesselshallbeequippedwith[ListofEquipment]andshallbekeptinafitandproperconditionfortheagreedpurpose.5.Rent/CharterFeeLesseeshallpayLessoradailycharterhireof[Amount][Currency]perday,calculatedbasedontheCharterParty.Paymentshallbemadeonthe[Day]dayofeachmonthfollowingtheendofeachcalendarmonthinwhichtheVesselhasbeenchartered,toLessorat[Lessor'sBankAddress].Latepaymentofrentshallattractadefaultinterestattherateof[InterestRate]%perannumontheoverdueamount.6.ExpensesAllrunningexpenses,includingbutnotlimitedtosalariesandwagesofthemaster,officers,andcrew,provisions,fuel,lubricatingoils,stores,portdues,pilotage,towage,insurance,andrepairs,shallbefortheaccountofLessee.Lessorshallberesponsibleforcapitalexpenses,includingbutnotlimitedtoclassificationsurveys,dry-docking,andcapitalrepairs.7.InsurancesLessorshallprocureandmaintainontheVessel,atLessor'sexpense,insuranceoftheVesselanditscargoinaccordancewiththerequirementsoftheCharterParty.LesseeshallprocureandmaintainontheVessel,atLessee'sexpense,suchotherinsuranceasmayberequiredbytheCharterPartyorbyapplicablelaw.8.ManningLessorshallprovidetheVesselwithaqualifiedmaster,officers,andcrew,andshallberesponsiblefortheiremploymentanddiscipline.LesseeshallhavetherighttoinspectthecrewandtomakerecommendationstoLessorregardingtheirconduct.9.SafetyandEnvironmentalProtectionBothLessorandLesseeagreetocomplywithallapplicablelawsandregulationsrelatingtosafetyandenvironmentalprotection.Eachpartyshallberesponsibleforanyloss,damage,orclaimarisingfromitsbreachofsuchlawsandregulations.10.GoverningLawandDisputeResolutionThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw].AnydisputearisingoutoforinconnectionwiththisAgreementshallbefinallysettledbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution]in[City,Country]("Arbitration").TheTribunalshallconsistof[Number]arbitrator(s).11.NoticesAllnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost,ortransmittedbyemailtotheaddressessetforthhereinortosuchotheraddressaseitherpartymaydesignateinwriting.12.AmendmentsandWaiversNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.13.EntireAgreementThisAgreement,includingtheCharterPartyandtheSchedule,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiations,whetheroralorwritten.14.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyaforcemajeureevent,asdefinedintheCharterParty.15.TerminationThisAgreementmaybeterminatedbyeitherpartyupon[Number]days'writtennoticeiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstoremedysuchbreachwithin[Number]daysofreceivingwrittennoticethereof.Intheeventoftermination,LesseeshallpayLessorallrentandexpensesduebutunpaiduptothedateoftermination.16.SeizureandDeliveryofShipIntheeventofamaterialbreachofthisAgreementbyLessee,Lessorshallhavetheright
