reofandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.12.SeverabilityIfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,suchprovisionshallbeseveredfromtheremainderofthisAgreement,andtheremainingprovisionsshallcontinuetobevalidandenforceable.13.WaiverThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.14.AssignmentNeitherPartyshallassignortransferitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty.15.NoticesAllnoticesrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentviaarecognizedovernightcourierservice,withallsuchnoticestobeaddressedtotherespectivePartyattheaddresssetforthbelowortosuchotheraddressaseitherPartymayfromtimetotime指定inwriting.16.Signa
