2025常規(guī)商品進(jìn)口合同范本（含英文）2025RegularCommoditiesImportContract范本ContractNo.:Date:ThisContractismadeandenteredintoonthisdayof2025,byandbetweenthefollowingparties:1.PARTIESTOTHECONTRACTExporter(PartyA):Name:Address:City,State,ZIPCode:Country:ContactPerson:Email:Phone:Importer(PartyB):Name:Address:City,State,ZIPCode:Country:ContactPerson:Email:Phone:**witnessingthemutualdesiretoestablishamutuallybeneficialbusinessrelationship,thepartiesheretoagreeasfollows:**2.SCOPEOFSUPPLY2.1PartyAagreestosupplytoPartyBthefollowingcommoditiesinaccordancewiththespecificationsandquantitiesoutlinedinExhibitAattachedhereto:CommodityName:Quantity:UnitofMeasurement:TotalValue:(inwords:)Currency:2.2TheproductssuppliedunderthiscontractshallmeettheagreedqualitystandardsasdetailedinExhibitB,whichformsanintegralpartofthiscontract.3.DELIVERY3.1DeliveryofthegoodsshallbemadeattheloadingportnamedinExhibitC.TheexactdateofdeliveryshallbedeterminedbyPartyA,butPartyAshallendeavortocomplywiththeagreedtimelinespecifiedinExhibitC.3.2PartyBshallprovidePartyAwithallnecessaryinstructionsanddocumentsrequiredforthesmoothexecutionoftheshipment,includingbutnotlimitedtothedestinationport,finalconsigneedetails,andanyspecialhandlinginstructions.3.3PartyAshallensurethatthegoodsareproperlypackedandlabeledinaccordancewithinternationalstandardsandtherequirementsspecifiedinExhibitC.3.4Anydelayindeliveryduetounforeseencircumstances,includingbutnotlimitedtonaturaldisasters,actsofwar,governmentrestrictions,orstrikes,shallbeimmediatelycommunicatedtoPartyB,andPartyAshallmakereasonableeffortstomitigatetheeffectsofsuchdelays.4.PAYMENT4.1ThetotalamounttobepaidbyPartyBforthegoodsshallbeasspecifiedinExhibitA.4.2PaymentshallbemadeinaccordancewiththetermsoutlinedinExhibitD,whichincludestheacceptedmethodsofpayment,currency,anddeadlines.4.3Failuretomaketimelypaymentmayresultinpenalties,asspecifiedinExhibitD.5.INSURANCE5.1PartyAshallarrangefortheinsuranceofthegoodsfromtheloadingporttothedestinationportasperthetermsoutlinedinExhibitE.5.2PartyBmayopttoarrangetheirowninsurancecoverage,providedtheynotifyPartyAinwritingatleastdayspriortotheshipmentdate.6.QUALITYCONTROLANDINSPECTION6.1PartyAshallensurethatallgoodsmeetthequalitystandardsagreeduponinExhibitB.PartyBreservestherighttoconductapre-shipmentinspectionatPartyA’spremisesorattheloadingport,providedthatwrittennoticeisgivenatleastdayspriortotheshipmentdate.6.2Intheeventthatthegoodsdonotmeettheagreedqualitystandards,PartyBshallhavetherighttorejecttheshipmentorrequestareplacementorrepairatPartyA’sexpense.7.WARRANTIESANDREPRESENTATIONS7.1PartyAwarrantsthat:a.Thegoodsarefreefromdefects,andconformtotheagreedspecificationsandqualitystandards.b.Thegoodsarelegallyentitledtobeexported,andallnecessaryexportclearanceshavebeenobtained.c.Thegoodsarenotsubjecttoanyliens,encumbrances,orclaimsbythirdparties.7.2PartyBwarrantsthat:a.Ithastheauthoritytoenterintothiscontract.b.Itwillprovideallnecessaryassistanceanddocumentationrequiredfortheimportationofthegoodsintothedestinationcountry.c.Itwillcomplywithallapplicableimportregulationsandclearances.8.TERMINATION8.1Eitherpartymayterminatethiscontractwithimmediateeffectiftheotherpartybreachesanyofitsobligationsunderthiscontract,providedthatthebreachingpartyisgivendaystocurethebreach,unlessthebreachisincapableofremedy.8.2Upontermination,allrightsandobligationsofbothpartiesshallcease,andPartyAshalleitherarrangeforthereturnofthegoodsatPartyB’sexpenseor,atPartyA’sdiscretion,canceltheshipment.9.LIABILITYANDINDEMNITY9.1PartyAshallbeliableforanylossesordamagesarisingdirectlyfromtheirfailuretofulfilltheirobligationsunderthiscontract,includingbutnotlimitedtodelaysindelivery,defectsinthegoods,ornon-compliancewithagreedspecifications.9.2PartyBshallbeliableforanylossesordamagesarisingfromtheirfailuretofulfilltheirobligationsunderthiscontract,includingbutnotlimitedtodelaysinpayment,failuretoproviderequireddocumentation,ornon-compliancewithimportregulations.9.3Bothpartiesagreetoindemnifyandholdharmlesstheotherpartyagainstanyclaims,losses,damages,costs,orexpensesarisingoutoforinconnectionwiththebreachofthiscontractbytheotherparty.10.DISPUTERESOLUTION10.1Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthrough友好協(xié)商withindaysofthedisputearising.10.2Ifthedisputecannotberesolvedthrough協(xié)商,itshallbesubmittedtothejurisdictionofthecourt,whichshallhaveexclusivejurisdictionoverthematter.11.MISCELLANEOUS11.1Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthiscontractshallbeinwritingandshallbedeemedtohavebeendulygivenwhen:a.Deliveredpersonally;b.Sentbyregisteredorcertifiedmail,returnreceiptrequested;c.Sentbyemailwithconfirmationofreceipt.11.2Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings,whetherwr
