能源效率合同協(xié)議ThisEnergyEfficiencyContractAgreement(the"Agreement")ismadeandenteredintoasof[EffectiveDate],byandbetween[ClientName],havingitsprincipalplaceofbusinessat[ClientAddress]("Client"),and[ESCOName],havingitsprincipalplaceofbusinessat[ESCOAddress]("ESCO").RECITALSWHEREAS,Clientdesirestoreduceitsenergyconsumptionandachieveenergyefficiencyimprovementsatitsfacilitylocatedat[ProjectAddress]("theFacility");andWHEREAS,ESCOhastheexpertise,resources,anddesiretodesign,finance,implement,operate,andmaintainenergyefficiencymeasuresattheFacilitytoachievetheintendedenergysavings;andWHEREAS,thepartieswishtoenterintothisAgreementforthepurposeofestablishingthetermsandconditionsunderwhichESCOshallprovideenergyefficiencyservicesattheFacilityandClientshallpayfortheservicesbasedontheenergysavingsachieved.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesagreeasfollows:1.PROJECTDESCRIPTIONANDSCOPEOFWORK1.1ProjectDescription.ThesubjectmatterofthisAgreementistheimplementationofenergyefficiencymeasures("Project")attheFacility.TheProjectshallinclude,butnotbelimitedto,[Detailedlistofspecificenergyefficiencymeasures,e.g.,installationofhigh-efficiencylightingthroughoutthefacility,optimizationofthebuildingmanagementsystem,replacementofexistingHVACequipmentwithhigh-efficiencyunits,implementationofacomprehensiveenergymanagementprogram].TheProjectshallbelocatedat[ProjectAddress]andshallservetheenergyneedsofClient'soperationsatsuchFacility.1.2ScopeofWork.ESCOshallperformthefollowingservicesrelatedtotheProject("ScopeofWork"):a.ConductadetailedenergyauditandfeasibilitystudyoftheFacilitytoidentifypotentialenergysavingsopportunities.b.Developacomprehensiveprojectdesignfortheselectedenergyefficiencymeasures,includingengineeringdesign,equipmentspecification,andprojectmanagementplan.c.SecurenecessarypermitsandapprovalsfortheProject.d.Procure,install,test,andcommissionallequipmentandsystemsrequiredfortheProjectinaccordancewiththeprojectdesign.e.Provideprojectfinancing,ifapplicable,inaccordancewiththetermsofaseparatefinancingagreementbetweenESCOanditslender(s).f.OperateandmaintaintheenergyefficiencymeasuresinstalledunderthisAgreementforaperiodof[Number]years("OperationandMaintenancePeriod")toensureoptimalperformance.g.Monitor,measure,andverifytheenergysavingsachievedbytheProjectonaregularbasisinaccordancewiththeMethodologysetforthinSection4.h.PrepareandsubmitperiodicreportstoClientregardingtheProject'sperformance,includingenergysavings,costs,andfinancials.i.EnsurethatallworkperformedunderthisAgreementcomplieswithallapplicablelaws,regulations,andstandards.2.ENERGYSAVINGSMEASUREMENTANDVERIFICATION(M&V)2.1Methodology.Themeasurementandverificationofenergysavings("M&V")shallbeconductedinaccordancewiththeprinciplesandproceduressetforthinthe[SpecifyStandard,e.g.,ASHRAEStandard90.1-2019]andthedetailedM&VPlanattachedheretoasExhibitA("M&VPlan").TheM&VPlanshalldefinethebaselineperiod,theenergysavingsmeasuresincludedintheanalysis,thedatasourcesandmonitoringmethods,andthecalculationproceduresfordeterminingtheannualenergysavings.2.2BaselineDetermination.ThebaselineenergyconsumptionfortheFacilityshallbedeterminedbasedonhistoricalenergyconsumptiondatafromtheperiod[SpecifyDateRange]priortothestartoftheProject,asadjustedfor[Specifyanyrelevantfactors,e.g.,changesinfacilityoperation,changesinweatherpatterns],inaccordancewiththeM&VPlan.2.3MonitoringPlan.ESCOshalldevelopandimplementacomprehensivemonitoringplanthatoutlinesthespecificmonitoringpoints,monitoringequipment,monitoringfrequency,datacollectionmethods,anddatastorageproceduresrequiredtoaccuratelymeasuretheenergyconsumptionoftheFacilityandtheenergyefficiencymeasuresimplementedunderthisAgreement.ThemonitoringplanshallbesubmittedtoClientforreviewandapprovalpriortothestartofdatacollection.2.4VerificationProcedure.TheenergysavingsdeterminedbyESCOshallbeverifiedbyanindependentthird-partyauditorselectedby[Specifywhoselects,e.g.,ESCO]("Verifier").TheVerifiershallbequalifiedandexperiencedintheperformanceverificationofenergyefficiencyprojects.TheverificationshallbeconductedannuallyduringtheOperationandMaintenancePeriodandupontheconclusionoftheAgreement.TheVerifiershallissueareportconfirmingtheverifiedenergysavingsforeachreportingperiod.2.5Reporting.ESCOshallprovideClientwithregularreportsdetailingtheenergyconsumptiondata,calculatedenergysavings,andverificationresults.ThefrequencyandformatofthereportsshallbespecifiedintheM&VPlan.3.FINANCINGMECHANISM3.1Model.ThisAgreementisstructuredasan[SpecifyContractModel,e.g.,EnergySavingsPerformanceContract(ESPC)].Underthismodel,ESCOshallinvestintheProjectandfinancethecoststhrough[Specifyfinancingmethod,e.g.,project-specificdebtfinancing].ClientshallpayESCOashareoftheverifiedenergysavingsachievedbytheProjectoverthetermoftheAgreement.3.2InitialInvestment.ESCOshallbeartheinitialcapitalcostoftheProject,whichshallbeestimatedat[Amount]anddetailedintheProjectProposalsubmittedbyESCOtoClient.3.3OperationalandMaintenanceCosts.ESCOshallberesponsibleforthecostsassociatedwiththeoperationandmaintenanceoftheenergyefficiencymeasuresinstalledunderthisAgreementduringtheOperationandMaintenancePeriod.Thesecostsshallbeestimatedat[Amount]peryearandshallbedeductedfromtheenergysavingsbeforeanypaymentismadetoESCOunderSection4.ClientshallberesponsibleforanycostsassociatedwiththenormaloperationofitsFacilitythatarenotdirectlyrelatedtotheProject.3.4BenefitSharing.TheverifiedenergysavingsshallbesharedbetweenESCOandClientaccordingtothefollowingschedule:a.Forthefirst[Number]yearsoftheAgreement,ClientshallpayESCO[Percentage]%oftheverifiedannualenergysavings.b.Fortheyearsfollowingtheinitial[Number]years,ClientshallpayESCO[Percentage]%oftheverifiedannualenergysavings.Theamountofeachpaymentshallbecalculatedbasedontheenergysavingsverifiedfortheprecedingyearandshallbedue[Number,e.g.,30]daysaftertheendofeachcalendaryear.3.5IncentivesandSubsidies.Anyfinancialincentives,subsidies,orgrantsreceivedbyESCOorClientfromthirdpartiesrelatedtotheProjectshallbe[Specifyhowhandled,e.g.,歸ESCO所有，但需向客戶披露金額，或雙方按比例分享].4.TERMANDTERMINATION4.1Term.ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforatermof[Number]years("Term"),unlessterminatedearlierinaccordancewiththeprovisionsofthisSection4.TheTermshallendonthedatespecifiedasthe"CompletionDate"intheM&VPlan.4.2Termination.ThisAgreementmaybeterminatedbyeitherpartyupon[Number,e.g.,60]dayswrittennoticetotheotherpartyiftheotherpartycommitsanymaterialbreachofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.Upontermination,ESCOshall:a.ContinuetooperateandmaintaintheProjectinaccordancewiththetermsofthisAgreementfortheremainderoftheOperationandMaintenancePeriod.b.SubmittoClientallfinalreports,includingthefinalverifiedenergysavingsreportandafinalaccountingofallpaymentsmadeunderthisAgreement.c.ReceivefromClientallpaymentsdueunderthisAgreementuptothedateoftermination.4.3TerminationforConvenience.ClientmayterminatethisAgreementatanytimeupon[Number,e.g.,90]dayswrittennoticetoESCO.Insuchevent,ESCOshall:a.ContinuetooperateandmaintaintheProjectforaperiodof[Number,e.g.,60]daysfollowingtheterminationnotice.b.SubmittoClientafinalreportdetailingtheverifiedenergysavingsduringtheoperationalperiodandafinalaccountingofallpaymentsmadeunderthisAgreement.c.ReceivefromClientallpaymentsdueunderthisAgreementuptothedateoftermination,plus[Specifyanyadditionalamount,e.g.,apaymentfortheremainingoperationalperiod].4.4SurvivalofProvisions.NotwithstandingtheterminationorexpirationofthisAgreement,thefollowingprovisionsshallsurviveandremaininfullforceandeffect:a.Sections2(M&V),3(FinancingMechanism),5(RiskAllocation),6(Insurance),7(IntellectualProperty),8(Confidentiality),9(GoverningLawandDisputeResolution),10(Notices),11(Amendments),12(EntireAgreement),13(Severability),14(Assignment),15(Counterparts),and16(EffectiveDate).b.AnyobligationsofESCOtooperateandmaintaintheProject,andofClienttomakepayments,thathavenotyetbeenfullyperformedorpaid.5.RISKALLOCATION5.1TechnicalRisk.ESCOshallbeartheriskofnotachievingtheprojectedenergysavingsduetotechnicalreasons,excepttotheextentthatsuchfailureiscausedbyClient'smaterialbreachorbyeventsbeyondthereasonablecontrolofESCO.5.2MarketRisk.ESCOshallbeartheriskassociatedwithfluctuationsinenergyprices,excepttotheextentthatsuchfluctuationsaredirectlycausedbychangesingovernmentpoliciesorregulationsthatwerenotreasonablyforeseeableatthetimeofenteringintothisAgreement.5.3PolicyRisk.ESCOshallbeartheriskassociatedwithchangesingovernmentincentives,subsidies,orregulationsthatmayimpacttheProject'seconomics.5.4FinancingRisk.ESCOshallbeartheriskassociatedwiththeavailabilityoffinancingfortheProject.However,ClientagreesthatitshallnotbeliableforanydefaultorinsolvencyofESCO'slender(s).6.INSURANCE6.1ESCOshallmaintainduringtheTermofthisAgreementcomprehensiveinsurancecoverage,includingbutnotlimitedtoliabilityinsuranceandpropertyinsurance,inamountsreasonablysufficienttocoveritsobligationsunderthisAgreement.TheinsurancepoliciesshallnameClientasanadditionalinsuredinconnectionwiththeProject.7.INTELLECTUALPROPERTY7.1AllintellectualpropertyrightsintheProjectdesign,plans,specifications,anddocumentationdevelopedbyESCOshallbeownedbyESCO.Clientshallhaveanirrevocable,royalty-freelicensetousesuchintellectualpropertysolelyforthepurposeofoperatingtheenergyefficiencymeasuresinstalledunderthisAgreement.8.CONFIDENTIALITY8.1Eachpartyshallholdtheotherparty'sConfidentialInformationinstrictconfidenceandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty."ConfidentialInformation"shallmeananynon-publicinformation,includingbutnotlimitedtotechnicaldata,financialinformation,andbusinessstrategies,disclosedbyapartytotheotherpartyinconnectionwiththisAgreement.9.GOVERNINGLAWANDDISPUTERESOLUTION9.1GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[StateName],withoutregardtoitsconflictoflawsprinciples.9.2DisputeResolution.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallberesolvedby[Specifymethod,e.g.,arbitration]beforethe[Specify仲裁機構(gòu),e.g.,InternationalChamberofCommerce(ICC)InternationalCourtofArbitration]pursuanttothe[SpecifyRules,e.g.,ICCRulesofArbitration]forthetimebeinginforce.Theseatofthearbitrationshallbe[SpecifyCity,Country].The仲裁裁決shallbefinalandbindinguponbothpartiesandshallbeenforceableinanycourthavingjurisdictionthereof.10.NOTICES10.1Allnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyreputableovernightcourier,orsentbyregisteredorcertifiedmail,postageprepaid,returnreceiptrequested,totheaddressessetforthbelowortosuchotheraddressaseitherpartymaydesignateinwriting.10.2AddressforClient:[ClientName],Attn:[ContactPerson],[ClientAddress]10.3AddressforESCO:[ESCOName],Attn:[ContactPerson],[ESCOAddress]11.AMENDMENTS11.1Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofbothparties.12.ENTIREAGREEMENT12.1ThisAgreement,includingtheexhibitsattachedhereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweenthepartieshereto.13.SEVERABILITY13.1IfanyprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,suchprovisionshallbeeliminatedor
