船舶配件分銷合同英文范本2025ThisDistributionAgreement("Agreement")ismadeandenteredintoasof[EffectiveDate]byandbetween[SupplierName],acompanyorganizedandexistingunderthelawsof[SupplierJurisdiction]("Supplier"),and[DistributorName],acompanyorganizedandexistingunderthelawsof[DistributorJurisdiction]("Distributor").1.DefinitionsInthisAgreement,thefollowingtermsshallhavethemeaningsascribedtothem:1.1"DistributionAgreement"meansthisAgreementdatedasoftheEffectiveDate.1.2"MarineParts"meansthespecificcomponentsandaccessorieslistedinExhibitAattachedhereto,whichareusedinthemaintenance,repair,andoperationofmarinevessels.ThelistinExhibitAisincorporatedbyreferenceintothisAgreement.1.3"Territory"means[SpecifyTerritory,e.g.,allofEuropeexcludingtheUnitedKingdom].1.4"MinimumPurchaseQuantity"meanstheminimumnumberofunitsofMarineParts,asspecifiedinExhibitBattachedhereto,thattheDistributormustpurchasefromtheSupplierduringeachcalendarquarter.1.5"Term"meanstheperiodcommencingontheEffectiveDateandendingon[TerminationDateorprovideconditionsfortermination].1.6"ConfidentialInformation"meansanyandallnon-publicinformation,whetheroralorwritten,disclosedbyonepartytotheother,includingbutnotlimitedtotechnicaldata,businessplans,customerlists,pricinginformation,andmarketingstrategies.2.ScopeofAgreement2.1GrantofRights.SubjecttothetermsandconditionsofthisAgreement,theSupplierherebygrantstotheDistributoranon-exclusive,revocablerightandlicensetomarket,distribute,sell,andsupplyMarinePartstocustomerslocatedwithintheTerritory.2.2DistributionRights.TheDistributorshallhavetherighttoselltheMarinePartsthroughitsownchannelsofdistribution,includingbutnotlimitedtodirectsales,onlineplatforms,andretailoutlets.TheDistributorshallnotsub-licenseitsrightsunderthisAgreement.2.3Supplier'sObligations.TheSupplier'sobligationsunderthisAgreementshallinclude,butnotbelimitedto:a.SupplyofParts.TheSuppliershallprovidetheMarinePartstotheDistributorinaccordancewiththespecificationssetforthinExhibitAandinagoodworkingconditionconsistentwithindustrystandards.b.Pricing.ThepricefortheMarinePartsshallbeassetforthinExhibitB,andtheSuppliershalloffertheDistributora[Specifypercentage,e.g.,5%]discountonthelistpriceforpurchasesinexcessof[Specifyquantity].c.MarketingandPromotion.TheSuppliershallprovidetheDistributorwith[Specifynumber,e.g.,two]setsofmarketingmaterialsforeachMarinePart,includingproductbrochuresandtechnicalspecifications,upontheDistributor'swrittenrequest.3.TermandTermination3.1Term.ThisAgreementshallcommenceontheEffectiveDateandcontinueforatermof[Specifyduration,e.g.,three]years(the"Term"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.3.2Termination.ThisAgreementmaybeterminatedbyeitherpartyupon[Specifynumber,e.g.,ninety(90)]days'writtennoticetotheotherpartyif:a.TheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[Specifynumber,e.g.,thirty(30)]daysafterreceiptofwrittennoticefromthenon-breachingparty.b.Theotherpartybecomesinsolvent,filesforbankruptcy,orundergoesliquidation.c.MutualAgreement.ThepartiesmaymutuallyagreetoterminatethisAgreementatanytime.3.3Notice.AllnoticesrequiredunderthisAgreementshallbegivenbywrittencorrespondencedeliveredpersonally,sentbyregisteredorcertifiedmail,ortransmittedbyemailtotheaddressessetforthbelow.3.4Post-Termination.UponterminationorexpirationofthisAgreement,theDistributorshall:a.CeasealldistributionactivitiesrelatedtotheMarineParts.b.ReturnallConfidentialInformationandallunsoldMarinePartstotheSupplier.c.ContinuetopayforallMarinePartsorderedanddeliveredpriortotheterminationdate.4.PricingandPayment4.1Pricing.ThepriceoftheMarinePartsshallbeassetforthinExhibitB.TheSuppliershallprovidetheDistributorwitha[Specifypercentage,e.g.,5%]discountonthelistpriceforpurchasesinexcessof[Specifyquantity].4.2PaymentTerms.TheDistributorshallpayfortheMarinePartswithin[Specifynumber,e.g.,thirty(30)]daysafterthedateofreceiptoftheSupplier'sinvoice.Allpaymentsshallbemadein[Specifycurrency,e.g.,UnitedStatesDollars]andshallbepayabletotheSupplieratitsaddresssetforthbelow.4.3LatePayment.IftheDistributorfailstopaytheSupplieranyamountdueunderthisAgreementwithinthespecifiedperiod,theDistributorshallpaytotheSupplieralatefeeequalto[Specifypercentage,e.g.,one(1)]percentpermonthontheoutstandingamount.5.QualityAssuranceandWarranties5.1QualityStandards.TheMarinePartsshallconformtotheapplicablequalitystandardsandspecificationsassetforthinExhibitA.5.2Warranties.TheSuppliershallprovidetotheDistributoralimitedwarranty,inaccordancewiththetermssetforthinExhibitC,regardingthequalityandperformanceoftheMarineParts.5.3ReturnsandReplacements.TheDistributormayreturnanyMarinePartsthataredefectiveordonotconformtothespecificationssetforthinExhibitAtotheSupplierwithin[Specifynumber,e.g.,one(1)]yearofthedateofdelivery,providedtheDistributorpaysthecostofreturnshipping.TheSuppliershallreplacethedefectivepartsorrefundthepurchasepricetotheDistributor.6.IntellectualProperty6.1Ownership.AllintellectualpropertyrightsinandtotheMarinePartsandthetrademarksoftheSupplierremaintheexclusivepropertyoftheSupplier.6.2Licenses.TheSuppliergrantstotheDistributoranon-exclusive,royalty-freelicensetousetheSupplier'strademarkssolelyinconnectionwiththemarketinganddistributionoftheMarinePartswithintheTerritory.7.Confidentiality7.1Obligations.EachpartyshallholdtheConfidentialInformationoftheotherpartyinthestrictestconfidenceandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.7.2PermittedDisclosures.Theobligationsofconfidentialityshallnotapplytoinformationthat:(a)isorbecomespubliclyknownwithoutbreachofthisAgreement,(b)isalreadyinthepossessionofthereceivingpartyatthetimeofdisclosure,(c)isobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality,or(d)isindependentlydevelopedbythereceivingpartywithoutuseoftheotherparty'sConfidentialInformation.7.3Duration.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[Specifynumber,e.g.,two(2)]yearsafterterminationorexpiration.8.LiabilityandIndemnification8.1LimitationofLiability.ThetotalliabilityofeachpartyunderthisAgreementshallbelimitedtotheamountpaidbytheDistributortotheSupplierduringthetwelve(12)monthspriortothedateoftheclaim.Eachpartyshallnotbeliableforanyindirect,incidental,consequential,special,orpunitivedamages.8.2Indemnification.TheDistributorshallindemnifyandholdharmlesstheSupplierfromandagainstanyandallclaims,losses,damages,andexpensesarisingoutoforresultingfromtheDistributor'sbreachofthisAgreement.TheSuppliershallindemnifyandholdharmlesstheDistributorfromandagainstanyandallclaims,losses,damages,andexpensesarisingoutoforresultingfromtheSupplier'sbreachofthisAgreement.9.DisputeResolution9.1GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,EnglandandWales].9.2DisputeResolution.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreementshallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationbetweentheparties.Ifthedisputecannotberesolvedthroughnegotiationwithin[Specifynumber,e.g.,thirty(30)]days,thepartiesshallmutuallyagreetosubmitthedisputeto[Specifymethod,e.g.,arbitrationundertherulesoftheInternationalChamberofCommerce]in[Specifylocation].10.Miscellaneous10.1Assignment.NeitherpartymayassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.10.2Amendments.ThisAgreementmayonlybeamendedinwritinga
