2025年跨境電商品牌推廣合同協(xié)議PartiesThisContractisenteredintoandmadeeffectiveasof[StartDate],2025(the“EffectiveDate”),byandbetween[BrandName](the“Client”),withitsregisteredaddressat[ClientAddress]andrepresentedby[ClientRepresentativeName],Title[ClientRepresentativeTitle](collectivelyreferredtoasthe“PartyA”),and[AgencyName](the“Agency”),withitsregisteredaddressat[AgencyAddress]andrepresentedby[AgencyRepresentativeName],Title[AgencyRepresentativeTitle](collectivelyreferredtoasthe“PartyB”).DefinitionsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningssetforthbelow:1.“Brand”referstotheClient’s[Brieflydescribethebrand,e.g.,e-commercebrandsellingfashionapparel]operatingunderthename[BrandName]andtargetingthe[Specifytargetmarket,e.g.,NorthAmericanandEuropean]marketsthroughvariouse-commerceplatformsanddigitalchannels.2.“PromotionServices”referstothecomprehensivemarketingandpromotionactivitiestobeprovidedbyPartyBtopromotetheClient’sBrand,includingbutnotlimitedtomarketresearch,strategydevelopment,campaignmanagement,contentcreation,advertisingplacement,socialmediaengagement,performancetracking,andreporting,asdetailedintheScopeofWork.3.“Platforms”referstothespecifice-commerceplatforms(suchasAmazon,eBay,Etsy,Shopify,etc.),digitalmarketingchannels(suchasFacebook,Instagram,TikTok,GoogleAds,YouTube,etc.),andothermediachannelsasmutuallyagreeduponintheScopeofWork.4.“KeyPerformanceIndicators(KPIs)”referstothespecificmetricsagreeduponbybothPartiestomeasurethesuccessofthePromotionServices,includingbutnotlimitedtowebsitetraffic,conversionrate,customeracquisitioncost,returnonadspend(ROAS),brandmentions,andsalesrevenue.5.“ServiceFee”referstothecompensationpayablebytheClienttotheAgencyforprovidingthePromotionServices,asspecifiedintheFeeandPaymentTerms.6.“SuccessFee”referstoanyadditionalfeepayablebytheClienttotheAgencyupontheachievementofpre-agreedperformancemilestonesoroverallsuccesscriteria,asdefinedinthisContract.7.“Campaign”referstoadefinedsetofPromotionServicesexecutedwithinaspecifictimeframetoachieveparticularobjectives.8.“ConfidentialInformation”referstoanynon-publicinformation,includingbutnotlimitedtobusinessstrategies,financialdata,customerlists,technicalinformation,andproprietaryknowledgedisclosedbyonePartytotheotherduringthetermofthisContract.9.“Term”referstothedurationofthisContract,asspecifiedintheTermandCommencementclause.10.“EffectiveMarketingMaterial”referstoallcreativecontent,advertisements,copy,graphics,videos,andothermaterialsdevelopedbyPartyBfortheClient’sPromotionServices,subjecttointellectualpropertyownershipasstatedherein.ScopeofWork1.PartyBshallprovidePromotionServicestoPartyAaimedatincreasingtheonlinepresence,brandawareness,customerengagement,andsalesrevenueoftheClient’sBrandinthetargetmarketsspecifiedinthisContract.2.ThespecificPromotionServicesshallinclude,butnotbelimitedto:a.ComprehensivemarketandcompetitoranalysistoidentifyopportunitiesandthreatsfortheClient’sBrand.b.DevelopmentofatailoreddigitalmarketingstrategyalignedwiththeClient’sbusinessobjectivesandtargetaudience.c.Creationandoptimizationofadvertisingcampaignsacrosstheagreed-uponPlatforms,includingkeywordresearch,adcopywriting,image/videoproduction,andA/Btesting.d.ManagementofpaidadvertisingbudgetsonplatformssuchasGoogleAds,FacebookAds,InstagramAds,andTikTokAds,aimingfortheagreed-uponROAS.e.Contentcreationandcuration,includingproductdescriptions,blogposts,socialmediaupdates,andinfluencercollaborations(KOL/KOCoutreach,management,andcoordination),toengagethetargetaudienceanddrivetrafficandconversions.f.Implementationandmanagementofsocialmediamarketingcampaignstoincreasebrandvisibility,engagement,andfollowercount.g.PerformancetrackingandmonitoringofallPromotionServicesusingappropriateanalyticstools.h.Regularreportingoncampaignperformanceagainsttheagreed-uponKPIs,providinginsights,analysis,andrecommendationsforoptimization.i.Ongoingoptimizationofcampaignsbasedonperformancedataandmarketfeedbacktoimproveefficiencyandeffectiveness.j.Compliancewithallrelevantplatformpoliciesandlegalregulationspertainingtoadvertisingandmarketinginthetargetmarkets.3.PartyAshallprovidePartyBwithallnecessaryinformation,productmaterials,brandingguidelines,andaccesstorelevantsystems(e.g.,e-commerceplatformadminaccess)toenablePartyBtoperformthePromotionServiceseffectively.PartyAshallreviewandapprovePartyB’skeystrategies,creativematerials,andbudgetspriortoexecution,subjecttotheagreed-uponprocedures.TermandCommencement1.ThisContractshallcommenceontheEffectiveDateandshallcontinueforaperiodoftwelve(12)months(“Term”),unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.TheTermshallendon[EndDate],2026.2.UponexpirationoftheTerm,thisContractshallautomaticallyrenewforsuccessivetwelve(12)monthperiods(eacha“RenewalTerm”),unlesseitherPartyprovideswrittennoticeofitsintentionnottorenewatleast[Number,e.g.,60]dayspriortotheendofthecurrentTerm.ThetermsandconditionsofeachRenewalTermshallbethesameasthoseoftheinitialTerm,exceptasmodifiedbymutualwrittenagreement.FeesandPaymentTerms1.InconsiderationforthePromotionServicesprovidedbyPartyB,PartyAshallpayPartyBaServiceFeeof[Specifyamountorcalculationmethod,e.g.,USD5,000(FiveThousandUnitedStatesDollars)permonth,orapercentageofadspendplusafixedmonthlyretainerofUSD3,000(ThreeThousandUnitedStatesDollars)].2.TheServiceFeeshallbepayablebyPartyAtoPartyBona[Specifyfrequency,e.g.,monthly]basis.Paymentsshallbemadewithin[Number,e.g.,15]daysaftertheendofeachmonth/cycleforwhichtheServiceFeeisdue.3.PaymentshallbemadetothefollowingaccountinformationprovidedbyPartyB:a.AccountName:[AgencyAccountName]b.BankName:[AgencyBankName]c.AccountNumber:[AgencyAccountNumber]d.RoutingNumber:[AgencyRoutingNumber]e.BankAddress:[AgencyBankAddress]4.PartyBshallissueaninvoicedetailingtheServiceFeedueforeachpaymentperiod,includingadetailedbreakdownofworkperformedandcharges,ifapplicable,atleast[Number,e.g.,10]dayspriortothepaymentduedate.5.PartyAshallpayallamountsdueunderthisContractpromptlyandwithoutsetoff,counterclaim,ordeduction.6.Allpaymentsshallbemadein[Specifycurrency,e.g.,UnitedStatesDollars(USD)].7.IfaSuccessFeeisapplicableandtriggered,itshallbedueandpayablebyPartyAtoPartyBwithin[Number,e.g.,30]daysafterPartyBprovideswrittennotificationofhavingachievedthepre-agreedsuccesscriteria,subjecttofinalperformanceverificationbyPartyAwithin[Number,e.g.,15]days.TheamountoftheSuccessFeeshallbe[Specifyamountorcalculationmethod].DeliverablesandReporting1.PartyBshallprovidePartyAwiththefollowingdeliverablesonaregularbasis:a.Weeklyperformancereportsdetailingcampaignactivities,keymetrics(KPIs),andperformanceagainsttargets.b.Monthlycomprehensivereportsincludingdetailedanalytics,performanceanalysis,insights,recommendationsforoptimization,andbudgetreconciliation.c.AllcreativeassetsusedinthePromotionServicesuponrequest.d.Accesstoanalyticsdashboards,whereapplicable.2.Thereportsshallbeprovidedvia[Specifymethod,e.g.,email,designatedonlineportal]nolaterthan[Number,e.g.,5]daysaftertheendofeachreportingperiod.3.PartyBshallparticipateinregularmeetings(minimum[Number,e.g.,oncepermonth])via[Specifymethod,e.g.,videoconference]orasmutuallyagreeduponbybothPartiestodiscusscampaignprogress,performance,andstrategyadjustments.4.PartyBshallmaintainaccuraterecordsofallPromotionServices,expenditures,andperformancedataandshallmaketheserecordsavailabletoPartyAuponreasonablerequestforthedurationoftheTermandforaperiodof[Number,e.g.,two(2)]yearsthereafter.PerformanceMetricsandSuccessCriteria1.ThefollowingKPIsshallbeusedtomeasuretheperformanceofthePromotionServices:a.OverallCampaignROAS:[Specifytarget,e.g.,achieveaminimumROASof3:1acrossallpaidcampaigns].b.WebsiteTraffic:[Specifytarget,e.g.,increaseorganicandpaidwebsitetrafficbyatleast25%comparedtothebaselineperiod].c.ConversionRate:[Specifytarget,e.g.,improvetheconversionrateonthee-commerceplatformbyatleast10%].d.CustomerAcquisitionCost(CAC):[Specifytarget,e.g.,maintainaCACbelowUSD20fornewcustomersacquiredthroughpromotionchannels].e.SocialMediaEngagementRate:[Specifytarget,e.g.,achieveanaverageengagementrateof2%onFacebookandInstagramcampaigns].f.SalesRevenue:[Specifytarget,e.g.,generateatleastUSD500,000(FiveHundredThousandUnitedStatesDollars)innetsalesrevenuefrompromotedproducts].g.BrandMentions:[Specifytarget,e.g.,increaseonlinebrandmentionsbyatleast30%].2.“Success”shallbedefinedastheachievementofatleast[Number,e.g.,75%]oftheagreed-uponprimaryKPIs(e.g.,ROAS,ConversionRate,SalesRevenue)foratleasttwo(2)consecutivemonthsduringtheTerm.AchievementofSuccessshalltriggerthepaymentoftheapplicableSuccessFee,subjecttofinalverificationbyPartyA.BudgetAllocationandReporting1.PartyAshallallocateatotalannualmarketingbudgetof[Specifyamount]forthePromotionServicesunderthisContract.2.PartyBshallproposeadetailedbudgetallocationplanforthePromotionServicesacrossvariousPlatformsandactivitiesatthebeginningoftheTerm.PartyAshallreviewandapprovetheproposedbudgetplanwithin[Number,e.g.,14]days.PartyBshallexecutecampaignsbasedontheapprovedbudget.3.PartyAshallprovidePartyBwithnecessarybudgetapprovalsforsignificantcampaignspendorbudgetadjustmentsinadvance,asmutuallyagreed.4.PartyBshallprovidedetailedreportingonbudgetusagewithineachreportingperiod,comparingactualspendagainsttheapprovedbudget.OwnershipandConfidentiality1.AllEffectiveMarketingMaterialscreatedspecificallyfortheClient’sBrandduringtheTermofthisContractshallbetheexclusivepropertyofPartyA.PartyBshallhavetherighttousesuchmaterialssolelyforthepurposeofperformingitsobligationsunderthisContractandshallnotreproduce,distribute,ordisclosethemtoanythirdpartywithoutthepriorwrittenconsentofPartyA.2.PartyBshallownallpre-existingintellectualpropertyrights,includingbutnotlimitedtoitstrademarks,tradesecrets,andproprietarytechnologies,andshallhavetherighttocontinueusingsuchpre-existingintellectualpropertyforitsownbusinesspurposes.3.BothPartiesagreetokeepconfidentialallConfidentialInformationdisclosedbytheotherPartyduringthetermofthisContractandforaperiodof[Number,e.g.,five(5)]yearsthereafter.EachPartyshalluseConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisContractandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaworasnecessarytoenforcethisContract.4.UponterminationofthisContract,PartyBshallpromptlyreturnordestroyallcopiesofConfidentialInformationandallmaterialscontainingsuchConfidentialInformationbelongingtoPartyA.LiabilityandIndemnification1.NeitherPartyshallbeliabletotheotherPartyforanyindirect,incidental,special,consequential,orpunitivedamages,includinglossofprofits,data,orgoodwill,arisingoutoforinconnectionwiththisContract,regardlessofwhethersuchdamagesareforeseeable.2.PartyBshallberesponsibleforitsactsandomissionsperformedinrelianceontherepresentationsandwarrantiesmadebyPartyA,andPartyAshallberesponsibleforitsactsandomissionsperformedinrelianceontherepresentationsandwarrantiesmadebyPartyB.3.EachPartyshallindemnifyandholdharmlesstheotherPartyfromandagainstanyandallclaims,losses,liabilities,damages,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromtheindemnifyingParty’sbreachofthisContractoritsviolationofanythird-partyrights.4.InnoeventshallthetotalliabilityofeitherPartyunderthisContractexceed[Specifylimit,e.g.,thetotalServiceFeepaidbyPartyAtoPartyBduringtheTermofthisContract].Termination1.ThisContractmaybeterminatedbyeitherPartyupon[Number,e.g.,60]days’writtennoticetotheotherPartyiftheotherParty:a.materiallybreachesanytermorconditionofthisContractandfailstocuresuchbreachwithin[Number,e.g.,30]daysofreceivingwrittennoticethereoffromthenon-breachingParty.b.becomesinsolvent,filesforbankruptcy,orceasestodobusiness.c.isunabletoperformitsobligationsunderthisContractduetoforcemajeureeventsasdefinedherein.d.engagesinanyactivitythatisillegalorviolatesthelawsorregulationsofanyjurisdiction.2.UponterminationorexpirationofthisContract,PartyBshall:a.ImmediatelyceaseallPromotionServicesandactivitiesunderthisContract.b.FurnishPartyAwithafinalreportdetailingallactivitiesperformedandexpensesincurredduringtheterm.c.ReturnallConfidentialInformationandmaterialsbelongingtoPartyA.d.ProvidePartyAwithaccesstoanalyticsdataforaperiodof[Number,e.g.,30]daysfollowingterminationtoensureasmoothtransition.3.PartyAshallpayPartyBforallServiceFeesandotheramountsduebutunpaidasoftheterminationdate.AllrightsandobligationsofthePartiesshallsurviveterminationofthisContract,includingconfidentiality,indemnification,andnon-conveyanceprovisions.GoverningLawandDisputeResolution1.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[SpecifyState,e.g.,California]withoutregardtoitsconflictoflawsprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapplytothisContract.2.Anydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedamicablythroughgoodfaithnegotiationsbetweenauthorizedrepresentativesoftheParties.3.Ifthedisputecannotbesettledthroughnegotiationwithin[Number,e.g.,30]daysfromtheinitiationofnegotiations,thedisputeshallbesubmittedto[Specifymethod,e.g.,theInternationalChamberofCommerce(ICC)ArbitrationCourt]forarbitration.ThearbitrationshallbeconductedinaccordancewiththeArbitrationRulesofthe[Specifyinstitution]effectiveatthetimeofthesubmissionandshallbeheldin[Specifylocation,e.g.,City,State/Country]inthelanguageof[Specifylanguage,e.g.,English].TheTribunalshallconsistof[Specifynumber,e.g.,one(1)orthree(3)]arbitratorsasappointedinaccordancewiththesaidRules.ThedecisionofthearbitraltribunalshallbefinalandbindinguponbothPartiesandshallbeenforceableinanycourtoflawhavingjurisdictionthereof.Miscellaneous1.ThisContract,includinganyattachmentsorexhibits,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatte
