人工智能2025年語音識別技術授權協(xié)議合同ThisAgreementismadeandenteredintoasof[InsertEffectiveDate],byandbetween[Licensor'sFullLegalName],withitsprincipalplaceofbusinessat[Licensor'sAddress]("Licensor"),and[Licensee'sFullLegalName],withitsprincipalplaceofbusinessat[Licensee'sAddress]("Licensee").RECITALSWHEREAS,LicensorownsorcontrolscertainproprietaryArtificialIntelligence(AI)voicerecognitiontechnology(the"Technology"),includingrelatedintellectualpropertyrights;WHEREAS,LicenseedesirestoobtainalicensetousetheTechnologyforspecificpurposes;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:1.GRANTOFLICENSE1.1授權范圍.LicensorherebygrantstoLicenseea[Choose:Exclusive/Non-exclusive/Sole]license,inperpetuityorforatermof[Number]yearsfrom[InsertStartDate](the"LicenseTerm"),tousetheTechnologyasmoreparticularlydescribedinExhibitA(attachedheretoandincorporatedbyreferenceinitsentirety),solelyforthepurposeofdeveloping,manufacturing,marketing,selling,andsupporting[Describespecificproduct(s)orservice(s)wheretheTechnologywillbeused](the"LicensedProducts"or"Products")within[Specifygeographicterritory](the"Territory").1.2授權對象.ThelicensegrantedhereinislimitedtotheTechnologyasdescribedinExhibitA,includingthesourcecode,objectcode,documentation,andanyassociatedmaterialsprovidedbyLicensorinconnectionwiththeinitialdeliveryandduringtheLicenseTerm.ThelicenseislimitedtothespecificversionsoftheTechnologyprovidedbyLicensorduringtheLicenseTerm.1.3禁止性使用.LicenseeshallnotusetheTechnologyforanypurposeotherthanthosespecifiedinSection1.1,andspecificallyshallnotusetheTechnologyforanyofthefollowing:(a)anyactivitythatisillegalunderapplicablelaw;(b)developmentofProductsthatdirectlycompetewithProductsdevelopedbyLicensor;(c)reverseengineering,decompiling,disassembling,orattemptingtoascertainthesourcecodeorunderlyingalgorithmsoftheTechnology;(d)renting,leasing,orsub-licensingtheTechnologytoanythirdparty;(e)usingtheTechnologyforanymilitaryordefenseapplications;2.INTELLECTUALPROPERTYRIGHTS2.1所有權.Allright,title,andinterestinandtotheTechnology,includingallassociatedintellectualpropertyrights(suchaspatents,copyrights,tradesecrets,andknow-how),remainexclusivelyownedbyLicensororitsaffiliates.LicenseeacknowledgesthattheTechnologyisprotectedbyintellectualpropertylawsinvariousjurisdictions.2.2專利承諾.Licensorrepresentsandwarrantsthat,tothebestofitsknowledgeandbelief,atthetimeofgrantofthelicense,theTechnologyasprovideddoesnotinfringeormisappropriatetheintellectualpropertyrightsofanythirdparty.LicensoragreestodefendandindemnifyLicenseeagainstanythird-partyclaimsallegingthattheTechnologyinfringesormisappropriatessuchthird-partyintellectualpropertyrights,providedLicenseepromptlynotifiesLicensorofanysuchclaimandcooperatesreasonablyinthedefense.2.3改進權與歸屬.LicenseemaymodifytheTechnologyforitsowninternaluseandforthepurposeofdevelopingtheLicensedProducts.AnymodificationsmadebyLicenseeshallbeownedbyLicenseesolelyforitsowninternaluse.However,ifLicenseedevelopsanymodificationsthatenhancetheoriginalTechnologyandwishestocommercializesuchenhancements,Licensorshallhavetheright,atLicensor'soption,toparticipateinthecommercializationorobtainrightsunderaseparateagreement.ModificationsshallnotbedistributedorusedbyLicenseeoutsideitsowninternalusewithoutLicensor'spriorwrittenconsent.3.PAYMENTTERMS3.1授權費.Inconsiderationforthelicensegrantedherein,LicenseeshallpayLicensora[Describepaymentstructure:e.g.,fixedfeeof$XXXXperyear,milestonepayments,percentageofrevenue](the"RoyaltyFee").Paymentsshallbedue[Specifypaymentschedule:e.g.,inadvanceonthe1stdayofeachmonthduringtheLicenseTerm]andmadepayabletoLicensorattheaddresssetforthabove.3.2稅費.AllpaymentssetforthinthisAgreementshallbenetofallapplicabletaxes,fees,andduties,whichshallbethesoleresponsibilityofLicensee.4.SUPPORTANDMAINTENANCE4.1技術支持.LicensorshallprovidetechnicalsupportfortheTechnologyinaccordancewiththetermssetforthinExhibitB(attachedheretoandincorporatedbyreferenceinitsentirety).Supportshallbelimitedto[Describesupportchannelsandavailability:e.g.,emailsupportduringbusinesshours].4.2維護升級.Duringtheinitial[Number,e.g.,12]monthsoftheLicenseTerm,Licensorshallprovide[Describeinitialmaintenance:e.g.,bugfixesrelatedtotheinitialdeliveryoftheTechnology]freeofcharge.LicensorshallprovideminorupdatesandmaintenancereleasesduringtheLicenseTermforafeeof[Specifyfeeformaintenance/updates],payableupondelivery.Majorversionupgradesshallbeprovidedonaseparatefeebasis,subjecttopriorwrittenagreementbetweentheparties.5.CONFIDENTIALITY5.1Eachpartyshallholdthetechnicalandbusinessinformationdisclosedbytheotherparty(the"ConfidentialInformation")instrictconfidenceandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty,exceptasrequiredbylaworregulation.5.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[Number,e.g.,5]yearsaftertheterminationorexpirationdate.6.TERMANDTERMINATION6.1合同期限.ThisAgreementshallcommenceon[InsertStartDate]andcontinueineffectforthedurationoftheLicenseTermunlessterminatedearlierinaccordancewiththeprovisionsofthisSection6.6.2終止條件.EitherpartymayterminatethisAgreementupon[Number,e.g.,30]days'priorwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.LicensormayterminatethisAgreementimmediatelywithoutnoticeifLicenseeusestheTechnologyforanypurposeotherthanthosepermittedunderSection1.1.6.3終止后果.UponterminationorexpirationofthisAgreement,LicenseeshallimmediatelyceasealluseoftheTechnologyandshall:(a)destroyallcopiesoftheTechnology(includingsourcecode,objectcode,documentation,andanymodifications);(b)returnallcopiesoftheTechnologytoLicensor;and(c)provideawrittencertificateofdestructiontoLicensor.AllrightsandlicensesgrantedunderthisAgreementshallautomaticallyterminateuponterminationorexpiration,exceptforrightsandlicensesalreadyincurredorforwhichpaymenthasalreadybeenmade,asprovidedherein.7.LIABILITYANDINDEMNIFICATION7.1責任限制.Licensor'stotalliabilityunderthisAgreementshallbelimitedtotheaggregateamountpaidbyLicenseehereunderduringthetwelve(12)monthspriortothedateoftheclaim.INNOEVENTSHALLLICENSORBELIABLEFORANYINDIRECT,CONSEQUENTIAL,SPECIAL,INCIDENTAL,ORPUNITIVEDAMAGES,WHETHERCAUSEDBYTORT(INCLUDINGNEGLIGENCE),BREACHOFCONTRACT,OROTHERWISE.7.2相互賠償.Eachpartyagreestoindemnifyandholdharmlesstheotherpartyfromandagainstanyandallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromthebreachofanyrepresentation,warranty,orobligationmadeunderthisAgreementbytheindemnifyingparty.8.GOVERNINGLAWANDDISPUTERESOLUTION8.1適用法律.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State],withoutregardtoitsconflictoflawsprinciples.Thepartiesherebyirrevocablyconsenttotheexclusivejurisdictionofthestateandfederalcourtslocatedin[County,[State]]foranydisputearisingoutoforinconnectionwiththisAgreement.8.2爭議解決.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orvalidity,shallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,AmericanArbitrationAssociation]accordingtoitsthen-existingrules,andconductedin[SpecifyLocation,e.g.,NewYork,NY].The仲裁awardshallbefinalandbindingonbothparties.9.MISCELLANEOUS9.1完整協(xié)議.ThisAgreement,includingExhibitsattachedhereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.9.2修訂.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessmadeinwritingandsignedbyauthorizedrepresentativesofbothparties.9.3通知.Allnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemeddeliveredwhendeliveredpersonally,sentbyreputableovernightcourier,orsentbyrecognizedelectronicmail(providedaconfirmedreceiptis
