1.Product,Quantity,andQuality

1.1TheSellershallsupply[SpecifyEnergyProduct,e.g.,electricity,naturalgas(TNG)]("Energy")totheBuyer.

1.2TheEnergyshallcomplywiththeapplicableGermanstandardsandregulations,specifically[Listrelevantstandards,e.g.,DINVDEstandardsforelectricity,ENstandardforgasquality],asmaybeupdatedfromtimetotime.

1.3ThequantityofEnergysuppliedshallbebasedontheconsumptionmeasuredatthemeteringpointlocatedat[SpecifyMeteringPointLocationandOwnership,e.g.,Buyer'spremises,Seller'ssubstation]("MeteringPoint").

1.4Thesupplyismetered[SpecifyMeteringMethod,e.g.,viasmartmeter,basedonsystemdataatMeteringPoint].Themeteringdatashallberecordedandtransmitted[SpecifyDataTransmissionMethodandFrequency].

1.5Thecontractperiodisforatotalof[SpecifyContractTerm,e.g.,one(1)year]commencingon[StartDate,e.g.,January1,2025]andendingon[EndDate,e.g.,December31,2025].

2.PriceandFees

2.1ThepricefortheEnergysuppliedunderthisContractshallbe[Chooseone:FixedorFloating].

[IfFixed]Afixedpriceof[SpecifyFixedPriceAmountandCurrency,e.g.,€0.15perkWh(orequivalentunit)]shallapplyfortheentirecontractperiod.ThepriceshallincludeallcostsassociatedwiththesupplyoftheEnergy,includingbutnotlimitedtothecostofenergyproduction,transport,andanyapplicableleviesuptothedateofthisContract.

[IfFloating]Afloatingpriceshallapply,calculatedbasedon[SpecifyBenchmark,e.g.,theaveragedailyspotpriceforelectricityatthe[SpecifyBenchmarkArea,e.g.,EEXSpotMarket]forthecorrespondingmonth]plusafixedmarginof[SpecifyMarginAmountandCurrency].Thepriceshallbeadjustedmonthlybasedonthe[SpecifyCalculationBasis]publishedonthe[SpecifyPublicationDate]ofeachmonth.Thepriceshallbeadjustedonthefirstdayofeachcalendarmonthfortheprecedingmonth.Thefirstpriceadjustmentshallbeeffectivefrom[EffectiveDateofFirstAdjustment].

2.2Theagreedpriceis[SpecifyCurrency,e.g.,Euros(EUR)].

2.3AlltaxesandleviesdirectlyattributabletothesupplyoftheEnergy,includingbutnotlimitedto[Listspecifictaxes/levies,e.g.,EEG-Umlage(ifapplicableunderprevailingregulations),Netzentgelte(gridfees),Umweltausgleichsma?nahmen(environmentalcompensationmeasures),andregularVAT],shallbeincludedinthecontractpriceunlessotherwiseexplicitlystated.TheapplicableVATrateshallbe[SpecifyVATRate]asperGermanlawatthetimeofsupply.

3.DeliveryandAcceptance

3.1DeliveryshallbemadeattheMeteringPointlocatedat[RepeatMeteringPointLocation].

3.2Forthedurationofthecontract,theSellershallensurethecontinuoussupplyofEnergytotheBuyerattheMeteringPoint,inaccordancewiththeagreedquantityandqualitystandards,subjecttotheavailabilityoftheenergysourceandthegridinfrastructure.

3.3TheBuyershallberesponsiblefortheinstallation,maintenance,andreadingofthemeteringdevicesattheMeteringPoint.TheBuyershallreceivetheEnergysuppliedandshallberesponsibleforitssafeandcompliantusefromtheMeteringPointonwards.

3.4AcceptanceoftheEnergyisevidencedbythemeteringdatarecordedandconfirmedbytheBuyer[SpecifyConfirmationMethod,e.g.,byacknowledgingthemonthlystatement].

4.PaymentTerms

4.1Paymentsshallbemadein[SpecifyCurrency,e.g.,Euros(EUR)].

4.2Settlementsshallbebasedonthemonthlymeteringdata.TheSellershallprovideamonthlyinvoicesummarizingtheEnergyconsumed,theapplicableprice,andallcharges/levies.Theinvoiceshallbeissuedwithin[SpecifyNumber,e.g.,10]daysaftertheendofeachmonthandshallbepayablewithin[SpecifyNumber,e.g.,30]daysfromthedateofinvoice.

4.3Paymentsshallbemadebybanktransfertothefollowingaccount:

4.4IftheBuyerfailstopayaninvoiceontime,interestshallaccrueontheoutstandingamountatarateof[SpecifyInterestRate,e.g.,5%]perannumabovethereferencerate[SpecifyReferenceRate,e.g.,EURIBOR3-month]aspublishedonthepaymentduedate.

4.5TheSellershallbeentitledtosuspendthesupplyofEnergywithimmediateeffectiftheBuyerisindefaultofanypaymentdueunderthisContractforaperiodofmorethan[SpecifyNumber,e.g.,30]days.

5.LiabilityforBreachofContract

5.1IftheSellerfailstosupplytheEnergyinaccordancewiththequantitiesandqualityspecifiedinthisContract,theSellershallbeliabletocompensatetheBuyerforanyresultinglosses,butnotexceedingthecostsincurredbytheBuyerforprocuringequivalentEnergyfromanothersourceatthemarketpriceprevailingatthetimeofthebreach.TheSellershallalsobeliableforanyadditionalcostsdirectlyresultingfromthefailure.

5.2IftheEnergysupplieddoesnotmeettheagreedqualitystandards,theBuyershallhavetherighttorejectthenon-conformingEnergyandrequiretheSellertorectifythefailurewithoutdelay,oralternatively,todeductthecorrespondingvaluefromtheamountsdueunderthisContract.

5.3TheSeller'stotalliabilitytotheBuyerforanybreachofthisContractshallnotexceed[SpecifyLimit,e.g.,thetotalvalueoftheEnergysuppliedunderthisContractduringtheprecedingcalendarmonth].

5.4TheBuyer'stotalliabilitytotheSellerforanybreachofthisContractshallbelimitedtothetotalpricepaidbytheBuyerunderthisContractduringtheprecedingcalendarmonth.

5.5Neitherpartyshallbeliableforanyindirect,incidental,consequential,special,orpunitivedamagesarisingoutoforinconnectionwiththisContract.

6.ContractTermandTermination

6.1ThisContractshallcommenceon[StartDate,e.g.,January1,2025]andshallcontinueforthedurationspecifiedinSection1.4,unlessterminatedearlierinaccordancewiththeprovisionsofthisSection.

6.2ThisContractmaybeterminatedbyeitherPartywith[SpecifyNoticePeriod,e.g.,three(3)months]writtennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisContractandfailstoremedysuchbreachwithin[SpecifyNumber,e.g.,30]daysofreceivingwrittennoticefromthenon-breachingParty.

6.3ThisContractmayalsobeterminatedbyeitherPartyimmediatelyintheeventofbankruptcy,insolvency,orliquidationoftheotherParty.

6.4Intheeventoftermination,anypendingpaymentsshallbesettledbasedonthemeteringdataavailableuptotheeffectivedateoftermination.Thepartiesshalleachbeentitledtorecoveranyprepaymentsmadebythemtotheotherparty.

7.ForceMajeure

7.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure,definedaseventsbeyondthereasonablecontroloftheaffectedparty,including,butnotlimitedto,actsofGod,war,terrorism,riots,civilcommotion,strikes,lockouts,governmentactionsorregulations,andpandemics.

7.2TheaffectedpartyshallpromptlynotifytheotherpartyofanyForceMajeureeventandshalltakeallreasonablestepstomitigateitseffects.TheobligationtoperformunderthisContractshallbesuspendedduringtheperiodofForceMajeure.IftheForceMajeureeventcontinuesformorethan[SpecifyNumber,e.g.,90]days,eitherpartymayterminatethisContractwithoutfurtherliability.

8.Confidentiality

8.1BothpartiesagreetokeepconfidentialallinformationdisclosedbytheotherpartyinconnectionwiththisContract,includingbutnotlimitedtothetermsofthisContract,pricinginformation,technicaldata,andcustomerlists.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisContract.

9.DisputeResolution

9.1AnydisputearisingoutoforinconnectionwiththisContractshallfirstbeattemptedtobesettledamicablythroughgoodfaithnegotiationsbetweentherepresentativesoftheparties.

9.2Ifthedisputecannotbesettledthroughnegotiationwithin[SpecifyNumber,e.g.,30]daysfromthedateofthelastcommunicationonthesubject,thedisputeshallbesubmittedtofinalandbindingarbitrationbeforethe[SpecifyArbitrationInstitution,e.g.,InternationalChamberofCommerce(ICC)]Institute.Thearbitrationshallbeheldin[SpecifyCity,e.g.,Frankfurt]inaccordancewiththe[SpecifyArbitrationRules,e.g.,ICCRulesofArbitration]effectiveatthetimeofsubmission.

9.3Thelanguageofthearbitrationshallbe[SpecifyLanguage,e.g.,German].

10.ApplicableLawandJurisdiction

10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheFederalRepublicofGermany,withoutregardtoitsconflictoflawsprinciples.

10.2[IfArbitrationClauseischosen]Theplaceofarbitrationshallbe[SpecifyCity,e.g.,Frankfurt],Germany.TheTribunalshallbecomposedof[SpecifyNumber,e.g.,one(1)orthree(3)]arbitratorsasprovidedforinthe[SpecifyArbitrationRules].

11.Notices

11.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost(oraserviceequivalenttoregisteredpost),sentbyrecognizedovernightcourier,orsentbyemail(providedaconfirmationofreceiptisobtained).

11.2AllnoticesunderthisContractshallbeaddressedtothepartiesattheaddressessetforthbeloworatsuchotheraddressoraddressesaseitherpartymaydesignatebynoticetotheotherpartyinwriting.

12.EntireAgreement
