2025年船舶建造合同英文版范本解讀ThisStandardContractforShipConstruction(the"Contract")isenteredintoasof[InsertDate],byandbetween[Shipowner'sFullLegalName]("Shipowner"),havingitsprincipalplaceofbusinessat[Shipowner'sAddress],and[Shipbuilder'sFullLegalName]("Shipbuilder"),havingitsprincipalplaceofbusinessat[Shipbuilder'sAddress].1.DefinitionsandInterpretationInthisContract,unlessthecontextotherwiserequires:1.1"Vessel"meansthe[SpecifyVesselType,e.g.,ContainerShip]tobeconstructedunderthisContract,tobeknownas[SpecifyVesselName,ifknown],andhavingthespecificationssetforthinScheduleAattachedheretoasanexhibit.1.2"Contract"meansthisContracttogetherwithallschedules,exhibits,andamendmentstheretowhichmaybeexecutedbythePartiesfromtimetotime.1.3"Completion"meansthestateinwhichtheVesselhasbeenconstructedinaccordancewiththeSpecifications,hassuccessfullycompletedtheSeaTrialasdefinedherein,andtheShipbuilderhasobtainedtherelevantclasscertificatefortheVesselfrom[NameofClassificationSociety].1.4"Lay-downDate"means[InsertDateorDescriptionofEventTriggeringLay-down].1.5"DeliveryDate"meansthedateonwhichtheVesselisdeliveredtotheShipownerattheDeliveryPointasspecifiedinClause4.3.1.6"Specifications"meansthetechnicalspecifications,drawings,calculations,andotherdocumentsdefiningtheVessel'sdesign,equipment,andperformancerequirementssetforthinScheduleA.1.7"ScheduleA"referstotheScheduleofSpecificationsattachedheretoasanexhibit.1.8"WorkingDay"meansanydayotherthanaSaturday,Sunday,orpublicholidayapplicabletothePartiesattheplacewheretherelevantworkisbeingperformed.1.9"GoverningLaw"means[SpecifyJurisdiction,e.g.,thelawsoftheUnitedKingdom]asamendedfromtimetotime.1.10"Arbitration"meansthedisputeresolutionprocedureconductedundertheRulesof[SpecifyArbitrationInstitution,e.g.,theLondonMaritimeArbitratorsAssociation]asinforceatthedateofinstitution.2.Construction2.1TheShipbuildershallconstructtheVesselinaccordancewiththeSpecificationssetforthinScheduleA.2.2TheShipbuildershallprovideaWorkProgrammedetailingtheintendedconstructionschedule,subjecttothetermsofthisContract.TheShipownershallreviewtheWorkProgrammeandshallnotbeliableforanydelayscausedbyapprovedvariationstotheWorkProgramme.2.3TheShipbuildershallbearallcostsandrisksassociatedwiththedesignandconstructionoftheVessel,unlessotherwisespecifiedinthisContract.3.InspectionandSurvey3.1TheShipbuildershallberesponsibleforallinspectionandsurveycostsincurredduringtheconstructionperiod,exceptforthesurveysrequiredbytheClassificationSocietyandagreedinadvance.3.2TheClassificationSocietyshallconductinspectionsandsurveysatitsownexpenseattheShipbuilder'ssite.TheresultsoftheseinspectionsandsurveysshallbedeemedsatisfactoryunlessnotifiedinwritingbytheClassificationSocietywithin[Number,e.g.,14]daysofthesurvey.TheShipbuildershallcorrectanydeficiencieswithinareasonabletimeasdirectedbytheClassificationSociety.3.3TheShipownershallhavetherighttoappointitsownrepresentativestoinspectandsurveytheVesselatanystageofconstruction.TheShipbuildershallprovidereasonableaccessandcooperation,butshallnotbeliableforanydelaysorcostsincurredbytheShipowner'srepresentatives.3.4AllinspectionreportsshallbesubmittedtotheotherPartywithin[Number,e.g.,10]daysofcompletionoftheinspection.Disagreementsarisingfrominspectionreportsshallberesolvedthroughnegotiation.Ifunresolved,themattermaybesubmittedtotheArbitration.4.Delivery4.1TheDeliveryPointshallbe[SpecifyDeliveryPoint,e.g.,theShipbuilder'syardatPortX].4.2TheVesselshallbedeemeddeliveredtotheShipownerwhenitisreadyfordelivery,locatedattheDeliveryPoint,andtheShipbuilderhasgivenwrittennoticeofreadinesstotheShipowner.4.3TheShipownershallberesponsibleforallcostsandrisksoftheVesselfromthemomentofdeliveryunderthisClause4.2.4.4TitletotheVesselshallpasstotheShipownerupontheearlierof:(a)thedateofDeliveryasdefinedinClause4.2;and(b)thefullpaymentbytheShipownertotheShipbuilderunderthisContract.5.ContractPriceandPayment5.1TheContractPricefortheVesselis[SpecifyAmountinWordsandFigures]([SpecifyCurrency,e.g.,USD])(the"ContractPrice").5.2TheContractPriceshallbesubjecttoanescalationclausebasedonthe[SpecifyIndex,e.g.,PlattsHotRollingPlateIndexforChina]publishedby[SpecifyPublisher]onthe[SpecifyDay,e.g.,firstbusinessday]ofeachmonthduringtheconstructionperiod,withadjustmentseffectivefromthebeginningofthemonthfollowingthepublicationdateoftheindex.TheescalationshallbecalculatedbytheShipbuilderandconfirmedinwritingtotheShipownerwithin[Number,e.g.,30]daysoftheendofeachmonth.Theadjustmentshallbesubjecttomutualagreement;ifnotagreedwithin[Number,e.g.,60]days,themattershallbesubmittedtotheArbitration.5.3TheShipownershallpaytheContractPriceinaccordancewiththefollowingschedule:(a)Adepositof10%oftheContractPriceshallbepaidbytheShipownertotheShipbuilderwithin[Number,e.g.,30]daysafterthedateofthisContract.(b)Theremaining90%shallbepaidbytheShipownertotheShipbuilderin[Number,e.g.,three]equalmonthlyinstallmentscommencingonthe[SpecifyDate]aftertheDeliveryDate,subjecttotheVesselbeingdeliveredandtherelevantclasscertificatebeingissued.(c)Eachinstallmentshallbedueandpayableonthe[SpecifyDate,e.g.,10th]dayofthemonthfollowingthemonthinwhichthecorrespondingworkwascompleted,ascertifiedbytheClassificationSociety.5.4Paymentshallbemadeby[SpecifyMethod,e.g.,banktransfer]tothebankaccountoftheShipbuilderspecifiedbelow:AccountName:[Shipbuilder'sBankAccountName]Bank:[Shipbuilder'sBankName]Address:[Shipbuilder'sBankAddress]BIC/SWIFTCode:[Shipbuilder'sBIC/SWIFTCode]IBAN:[Shipbuilder'sIBAN,ifapplicable]5.5TheShipbuildershallprovideacertificateofpaymentforeachinstallmentreceived.IftheShipownerfailstomakeapaymentwhendue,theShipownershallpayinterestontheoverdueamountatarateof[SpecifyRate,e.g.,LIBORplus[Number]%]perannum,calculateddailyfromtheduedateuntilthedateofpayment.6.Completion6.1CompletionshallbedeemedtohavebeenachievedwhentheVesselhassuccessfullycompletedtheSeaTrialasdefinedhereinandtheShipbuilderhasobtainedtherelevantclasscertificatefortheVesselfromtheClassificationSociety.6.2TheSeaTrialshallbeconductedattheDeliveryPointunderthesupervisionoftheClassificationSocietyandtheShipowner'srepresentatives.TheVesselshallsatisfytheperformancestandardsspecifiedinScheduleA.TheSeaTrialreportissuedbytheClassificationSocietyshallbefinalandbindingforthepurposeofdeterminingCompletion.6.3TheShipbuildershallberesponsibleforallcostsassociatedwiththeSeaTrial.TheShipownershallbearthecostsofitsrepresentativesparticipatingintheSeaTrial.7.Acceptance7.1UponCompletion,theShipbuildershallgivewrittennoticetotheShipowner.7.2TheShipownershallhaveaperiodof[Number,e.g.,60]daysfromthedateoftheShipbuilder'snoticetoinspecttheVesselandperformnecessarytrialrunsatitsownexpense.TheShipownershallnotifytheShipbuilderinwritingwithin[Number,e.g.,30]daysoftheendofthisinspectionperiodeitheracceptingtheVesselorspecifying,indetail,anydefectsornon-conformitiesthatmustberectified.7.3IftheShipownerdoesnotnotifytheShipbuilderofdefectswithintheperiodspecifiedinClause7.2,theVesselshallbedeemedaccepted.IftheShipownernotifiestheShipbuilderofdefects,theShipbuildershallrectifythedefectswithinareasonabletimeasagreedwiththeShipowner.IfthePartiescannotagreeontherectificationperiod,themattershallbesubmittedtotheArbitration.7.4AcceptanceoftheVesseldoesnotreleasetheShipbuilderfromitswarrantiesorliabilitiesunderthisContract.8.Warranties8.1TheShipbuilderwarrantsthattheVesselshallbeconstructedinaccordancewiththeSpecificationsandallapplicablelawsandregulations.8.2TheShipbuilderwarrantsthattheVesselandallitsequipmentshallbefreefromdefectsinmaterialsandworkmanshipfortheperiodsspecifiedinScheduleA:(a)[Number,e.g.,7]yearsforthehullandsuperstructure;and(b)fortheequipment,theperiodprovidedbytherespectivemanufacturers,commencingfromthedateofdeliveryoftheequipmenttotheShipbuilderandsubjecttotheShipbuilder'scompliancewithallinstructionsandmaintenancerequirements.8.3Thewarrantiesshallbeexclusiveandinlieuofallotherwarranties,expressorimplied,includingwarrantiesofmerchantabilityandfitnessforaparticularpurpose.8.4TheShipbuildershallbeliableforanylossordamagecausedbymaterialdefectsintheVesseloritsequipmentduringthewarrantyperiod.TheShipbuilder'sliabilityshallbelimitedtothecostofrectificationorreplacementofthedefectiveparts.8.5TheShipownershallpromptlynotifytheShipbuilderinwritingofanydefectsdiscoveredwithinthewarrantyperiod.Failuretogivesuchnotificationshallnotaffectthevalidityofthewarranty.9.ForceMajeure9.1NeitherPartyshallbeliableforanyfailuretoperformitsobligationsunderthisContractifsuchfailureiscausedbyaForceMajeureEvent.9.2"ForceMajeureEvent"meansanyeventbeyondthereasonablecontroloftheaffectedParty,includingbutnotlimitedtoactsofGod,war,terrorism,riots,strikes,civilcommotion,governmentactionorregulation,fire,flood,storm,earthquake,epidemic,orothersimilarevents.9.3ThePartyaffectedbyaForceMajeureEventshallpromptlynotifytheotherPartyinwritingoftheeventandtakeallreasonablemeasurestomitigatetheeffectsthereof.9.4TheaffectedPartyshallnotbeliableforanydelaysorfailuresinperformancecausedbytheForceMajeureEvent,butshallberequiredtocontinueitseffortstoperformitsobligationsoncetheeventhasceased.ThedurationoftheForceMajeureEventshallbedeterminedbytheaffectedPartyinitssolediscretion.10.IntellectualProperty10.1Alldesigns,drawings,specifications,andothertechnicaldocumentscreatedbytheShipbuilderinconnectionwiththeconstructionoftheVesselshallremainthepropertyoftheShipbuilder.10.2TheShipownershallbegrantedanon-exclusive,royalty-freelicensetousesuchdocumentssolelyforthepurposeofoperatingtheVesselconstructedunderthisContract.10.3TheShipbuildershallnotuseanyproprietaryinformationorintellectualpropertyoftheShipownerexceptasnecessaryfortheperformanceofthisContract.11.Confidentiality11.1EachPartyshallkeepconfidentialallinformationdisclosedbytheotherPartyinconnectionwiththisContract,includingbutnotlimitedtotheSpecifications,costdata,andbusinessinformation.11.2Theconfidentialityobligationshallnotapplytoinformationthat:(a)isorbecomespubliclyknownwithoutbreachofthisContract;(b)isalreadyinthepossessionofthereceivingPartyatthetimeofdisclosure;(c)isobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality;or(d)isrequiredbylaworcourtordertobedisclosed.11.3ThereceivingPartyshallnotdiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasnecessaryinconnectionwiththeperformanceofthisContractorasrequiredbylaw.11.4ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisContractforaperiodof[Number,e.g.,five]yearsaftertheterminationorexpirationdate.12.Liability12.1Tothefullestextentpermittedbylaw,eachPartyshallbeliabletotheotherPartyonlyfordirectdamagesresultingfromitsbreachofthisContract.EachPartyshallnotbeliableforindirect,consequential,special,orpunitivedamages.12.2ThetotalliabilityofeachPartyunderthisContractshallnotexceedtheContractPrice.13.Notices13.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygiven:(a)whendeliveredpersonally;or(b)onebusinessdayafterdepositwithareputableovernightcourierservice;or(c)threebusinessdaysaftermailingbyregisteredorcertifiedmail,returnreceiptrequested,postageprepaid.13.2NoticesshallbeaddressedtothePartiesattheaddressessetforthbeloworatsuchotheraddressasaPartymaydesignatebynoticetotheotherParty.14.Amendments14.1NoamendmentormodificationofthisContractshallbevalidunlessitisinwritingandsignedbyauthorizedrepresentativesofbothParties.15.Assignment15.1NeitherPartymayassignanyofitsrightsorobligationsunderthisContract,inwholeorinpart,withoutthepriorwrittenconsentoftheotherParty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.16.Severability16.1IfanyprovisionofthisContractisheldbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,theremainingprovisionsofthisContractshallremaininfullforceandeffect.17.EntireAgreement17.1ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.18.GoverningLawandArbitration18.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction].18.2Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisContract,includinganyquestionregardingitsexistence,validity,ortermination,shallbereferredtoandfinallyresolvedbyArbitrationinaccordancewiththeRulesof[SpecifyArbitrationInstitution]asinforc
