中英文雙語OEM合作合同范本引言本合同（以下簡稱“合同”）由委托方（BrandOwner）（甲方）與受托方（Manufacturer）（乙方）于____年____月____日在____（地點）簽署，旨在明確雙方就[具體產(chǎn)品名稱/類別]的委托生產(chǎn)（OriginalEquipmentManufacturing,OEM）合作中的權利、義務及責任，保障合作合法合規(guī)、公平有序開展。第一條定義（Article1Definitions）1.1術語解釋在本合同中，除非上下文另有明確解釋，下列術語具有以下含義：（1）委托方（BrandOwner）：指委托乙方生產(chǎn)產(chǎn)品的品牌持有方，即本合同甲方。（2）受托方（Manufacturer）：指接受甲方委托，按約定生產(chǎn)產(chǎn)品的制造企業(yè)，即本合同乙方。（3）產(chǎn)品（Products）：指乙方根據(jù)本合同約定，為甲方生產(chǎn)的[具體產(chǎn)品名稱/類別]。（4）質量標準（QualityStandard）：指雙方確認的產(chǎn)品生產(chǎn)、檢驗所遵循的技術規(guī)范、行業(yè)標準或另行約定的標準（以雙方簽字確認的《質量技術協(xié)議》為準）。Article1.1InterpretationofTermsInthisContract,unlessotherwiseclearlyinterpretedbythecontext,thefollowingtermsshallhavethefollowingmeanings:(3)"Products":referstothe[specificproductname/category]producedbyPartyBforPartyAinaccordancewiththisContract.(4)"QualityStandard":referstothetechnicalspecifications,industrystandardsorotherstandards(subjecttothesigned"QualityandTechnicalAgreement"bybothparties)followedforproductproductionandinspection.第二條合作內容（Article2CooperationContent）2.1委托生產(chǎn)范圍甲方委托乙方按照本合同及《質量技術協(xié)議》的要求，生產(chǎn)“產(chǎn)品”（具體規(guī)格、型號、數(shù)量以雙方另行簽署的《訂單確認書》為準）；乙方接受委托，在其生產(chǎn)場所內完成產(chǎn)品的設計轉化（如適用）、原材料采購（或按甲方指定采購）、生產(chǎn)制造、質量檢驗、包裝及交付等工作。Article2.1ScopeofOEMProduction第三條雙方權利與義務（Article3RightsandObligationsofBothParties）3.1委托方（甲方）的權利與義務權利：（1）監(jiān)督產(chǎn)品生產(chǎn)進度、質量，對不符合質量標準的產(chǎn)品提出整改或返工要求；（2）要求乙方按約定交付產(chǎn)品，并提供生產(chǎn)過程的必要記錄（如檢驗報告、生產(chǎn)批次記錄等）。義務：（1）向乙方提供合法有效的品牌授權文件、產(chǎn)品技術資料（含設計圖紙、工藝要求等）；（2）按本合同約定向乙方支付費用；（3）及時確認乙方提交的生產(chǎn)方案、原材料樣品等關鍵事項，避免延誤生產(chǎn)。3.2受托方（乙方）的權利與義務權利：（1）要求甲方按約定提供技術資料、品牌授權及費用支付；（2）在甲方逾期付款或提供資料嚴重延誤時，暫停生產(chǎn)并書面通知甲方。義務：（1）嚴格按照質量標準及《訂單確認書》要求組織生產(chǎn)，確保產(chǎn)品質量合格；（2）對生產(chǎn)過程中知悉的甲方商業(yè)秘密、技術信息承擔保密義務（詳見第六條）；（3）按約定的時間、地點及包裝要求交付產(chǎn)品，承擔交付前的產(chǎn)品風險。Article3.1RightsandObligationsofBrandOwner(PartyA)Rights:(1)Superviseproductproductionprogressandquality,andrequestrectificationorreworkforproductsthatdonotmeetthequalitystandards;(2)RequirePartyBtodeliverproductsasagreedandprovidenecessaryproductionrecords(suchasinspectionreports,productionbatchrecords,etc.).Obligations:(1)ProvidePartyBwithlegallyvalidbrandauthorizationdocumentsandproducttechnicalmaterials(includingdesigndrawings,processrequirements,etc.);(2)PayfeestoPartyBinaccordancewiththisContract;(3)TimelyconfirmkeymatterssubmittedbyPartyB(suchasproductionplans,rawmaterialsamples,etc.)toavoidproductiondelays.Article3.2RightsandObligationsofManufacturer(PartyB)Rights:(1)RequirePartyAtoprovidetechnicalmaterials,brandauthorization,andfeepaymentasagreed;(2)SuspendproductionandnotifyPartyAinwritingifPartyAdelayspaymentorseriouslydelaysprovidingmaterials.Obligations:(1)Strictlyorganizeproductioninaccordancewithqualitystandardsandthe"OrderConfirmation"toensureproductqualityisqualified;(2)UndertaketheobligationofconfidentialityforPartyA’stradesecretsandtechnicalinformationknownduringproduction(seeArticle6fordetails);(3)Deliverproductsinaccordancewiththeagreedtime,place,andpackagingrequirements,andbearproductrisksbeforedelivery.第四條費用及支付（Article4FeesandPayment）4.1費用構成產(chǎn)品生產(chǎn)費用包括但不限于：原材料費、生產(chǎn)加工費、包裝費、檢驗費、乙方合理利潤及稅費（具體金額以《訂單確認書》為準）。4.2支付方式與時間甲方應在《訂單確認書》簽署后[X]個工作日內，向乙方支付訂單總金額的[X]%作為預付款；乙方完成生產(chǎn)并通知甲方驗收合格后[X]個工作日內，甲方支付訂單總金額的[X]%；剩余訂單總金額的[X]%作為質保金，在產(chǎn)品無質量問題交付滿[X]個月后[X]個工作日內支付。Productproductionfeesincludebutarenotlimitedto:rawmaterialfees,productionprocessingfees,packagingfees,inspectionfees,PartyB’sreasonableprofit,andtaxes(specificamountsshallbesubjecttothe"OrderConfirmation").Article4.2PaymentMethodandTimePartyAshallpay[X]%ofthetotalorderamounttoPartyBasaprepaymentwithin[X]workingdaysafterthe"OrderConfirmation"issigned;Theremaining[X]%ofthetotalorderamountshallbeusedasaqualityassurancedeposit,whichshallbepaidwithin[X]workingdaysaftertheproductsaredeliveredwithoutqualityproblemsfor[X]months.第五條知識產(chǎn)權（Article5IntellectualPropertyRights）5.1商標與專利歸屬甲方提供的商標、專利（含申請中專利）的知識產(chǎn)權歸甲方所有，乙方僅有權在本合同約定的生產(chǎn)范圍內使用，不得用于其他產(chǎn)品或向第三方授權。5.2技術成果歸屬甲方提供的技術資料（含設計圖紙、工藝方案）的知識產(chǎn)權歸甲方所有；乙方在生產(chǎn)過程中形成的創(chuàng)新技術（如工藝改進、設備優(yōu)化等），知識產(chǎn)權歸乙方所有，但甲方在同等條件下享有優(yōu)先受讓權；產(chǎn)品的整體知識產(chǎn)權（含外觀設計、產(chǎn)品標識）歸甲方所有，乙方不得擅自申請專利或注冊商標。Article5.1OwnershipofTrademarksandPatentsTheintellectualpropertyrightsoftrademarksandpatents(includingpendingpatents)providedbyPartyAshallbeownedbyPartyA.PartyBshallonlyhavetherighttousethemwithintheproductionscopeagreedinthisContract,andshallnotusethemforotherproductsorauthorizethemtothirdparties.Article5.2OwnershipofTechnicalAchievementsTheintellectualpropertyrightsoftechnicalmaterials(includingdesigndrawings,processplans)providedbyPartyAshallbeownedbyPartyA;Theinnovativetechnologies(suchasprocessimprovement,equipmentoptimization,etc.)formedbyPartyBduringproductionshallbeownedbyPartyB,butPartyAshallhavetheprioritytoacquirethemunderthesameconditions;Theoverallintellectualpropertyrightsoftheproducts(includingappearancedesign,productlogo)shallbeownedbyPartyA,andPartyBshallnotapplyforpatentsorregistertrademarkswithoutauthorization.第六條保密條款（Article6Confidentiality）6.1保密信息范圍雙方在合作中知悉的對方商業(yè)秘密、技術信息、客戶資料、合同條款等（包括但不限于生產(chǎn)工藝、成本結構、銷售渠道等），均屬于保密信息。6.2保密期限與義務保密期限為合同生效之日起至合同終止后[X]年；雙方應對保密信息承擔保密義務，未經(jīng)對方書面同意，不得向任何第三方披露（法律法規(guī)要求或司法機關強制披露除外）。6.3違約責任若一方違反保密義務，應向對方支付違約金[X]元（或訂單金額的[X]%），并賠償對方因此遭受的全部損失。Article6.1ScopeofConfidentialInformationThetradesecrets,technicalinformation,customerdata,contractterms,etc.(includingbutnotlimitedtoproductionprocesses,coststructures,saleschannels,etc.)ofeachotherknownduringthecooperationshallberegardedasconfidentialinformation.Article6.2ConfidentialityPeriodandObligationsTheconfidentialityperiodshallbefromtheeffectivedateoftheContractto[X]yearsaftertheContractisterminated;Bothpartiesshallundertaketheobligationofconfidentialityforconfidentialinformation.Withoutthewrittenconsentoftheotherparty,theyshallnotdiscloseittoanythirdparty(exceptfordisclosurerequiredbylawsandregulationsormandatorydisclosurebyjudicialorgans).Article6.3LiabilityforBreach第七條違約責任（Article7LiabilityforBreach）7.1委托方違約若甲方逾期付款，每逾期一日應按未付金額的[X]%向乙方支付違約金；逾期超過[X]日的，乙方有權暫停生產(chǎn)或解除合同，并要求甲方賠償損失。若甲方提供的技術資料、品牌授權存在瑕疵，導致乙方生產(chǎn)延誤或遭受損失，甲方應賠償乙方的直接損失。7.2受托方違約若乙方逾期交貨，每逾期一日應按訂單金額的[X]%向甲方支付違約金；逾期超過[X]日的，甲方有權解除合同，并要求乙方返還已付款項、賠償損失。若乙方生產(chǎn)的產(chǎn)品質量不符合標準，應無償返工或更換；經(jīng)兩次返工仍不合格的，甲方有權解除合同，乙方應退還已收款項并賠償損失。Article7.1BreachbyBrandOwnerArticle7.2BreachbyManufacturer第八條爭議解決（Article8DisputeResolution）因本合同引起的或與本合同有關的爭議，雙方應首先友好協(xié)商解決；協(xié)商不成的，任何一方均有權向甲方住所地有管轄權的人民法院提起訴訟（或提交[仲裁機構名稱]仲裁，仲裁裁決為終局裁決，對雙方均有約束力）。Article8DisputeResolutionAnydisputearisingfromorinconnectionwiththisContractshallfirstberesolvedthroughfriendlynegotiationbetweenbothparties;ifthenegotiationfails,eitherpartyhastherighttofilealawsuitwiththepeople'scourtwithjurisdictionattheplaceofPartyA'sdomicile(orsubmititto[ArbitrationInstitutionName]forarbitration.Thearbitrationawardshallbefinalandbindingonbothparties).第九條其他條款（Article9Miscellaneous）9.1合同生效與終止本合同自雙方簽字（或蓋章）之日起生效，有效期至____年____月____日；合同期滿前[X]個月，雙方可協(xié)商續(xù)簽。9.2合同修改與補充本合同的修改、補充應以書面形式作出，并由雙方簽字（或蓋章）確認，與本合同具有同等法律效力。9.3份數(shù)與效力本合同一式[X]份，甲乙雙方各執(zhí)[X]份，具有同等法律效力。Article9.1ContractEntryintoForceandTerminationThisContractshallenterintoforceasofthedateofsignature(orseal)bybothpartiesandshallbevaliduntil____(year)__
