1.Recitals

3.TermofLease

3.1RenewalOption

4.3PaymentMethod

Paymentsshallbemadeby[PaymentMethod,e.g.,banktransfer]totheLessor’sdesignatedaccount(detailsinExhibitB).

4.4LatePayment

Overdueamounts(after[GracePeriod]oftheduedate)shallaccrueinterestat[InterestRate]permonth(orthemaximumlawfulrate,whicheverislower).

5.ObligationsoftheLessor

5.1QuietEnjoyment

TheLessorcovenantstheLessee’squietenjoymentofthePremisesduringtheTerm,freefrominterferencebytheLessororthirdpartiesclaimingthroughtheLessor.

5.2StructuralMaintenance

TheLessorshallmaintainthePremises’structuralintegrity(roof,walls,foundation)andrepairdamagefromnormalwear,tear,oreventsbeyondtheLessee’scontrol(subjecttotheLessee’sinsurance).

6.ObligationsoftheLessee

6.1ProperUseandCare

TheLesseeshallusethePremisescarefully,lawfully,andnotalter/improveitwithouttheLessor’spriorwrittenconsent(exceptminor,reversiblechangesforthePermittedUse).

6.2Insurance

6.3Subletting

TheLesseeshallnotsublet,assign,ortransferitsinterestintheLeasewithouttheLessor’spriorwrittenconsent(notunreasonablywithheld).

6.4Indemnification

TheLesseeshallindemnifytheLessoragainstclaims,damages,losses,orexpensesarisingfromitsuseofthePremises,breachofthisAgreement,oracts/omissionsofitsemployees/agents/contractors.

7.RepairsandMaintenance

7.1Lessee’sResponsibilities

TheLesseeshallmaintainthePremises’interior(flooring,interiorwalls,Lessee-installedequipment)andrepairdamagefromitsnegligence/intentionalacts.

7.2Lessor’sResponsibilities

8.DefaultandTermination

8.1EventsofDefault

An"EventofDefault"occursif:

TheLesseefailstopayRent/AdditionalChargeswithin[NoticePeriod]afterwrittennotice;

TheLesseebreachesamaterialtermandfailstocureitwithin[CurePeriod]afterwrittennotice;

8.2RemediesUponDefault

Upondefault,theLessormay:

TerminatetheLease,repossessthePremises,anddemandunpaidRent/damages;or

Enforcerights(e.g.,injunctiverelief,damages)withoutterminatingtheLease.

9.GoverningLawandDisputeResolution

9.1GoverningLaw

ThisAgreementisgovernedbythelawsof[Jurisdiction,e.g.,theStateofNewYork,USA],withoutconflictoflawsprinciples.

9.2DisputeResolution

Disputesshallberesolvedbyarbitrationin[ArbitrationVenue,e.g.,Singapore]undertherulesof[ArbitrationInstitution,e.g.,SIAC].Theawardisfinalandbinding.

10.Miscellaneous

10.1EntireAgreement

ThisAgreement(withExhibits)supersedesallprioragreements/understandings,oralorwritten.

10.2Amendments

NoamendmentiseffectiveunlessinwritingandsignedbybothParties.

10.3Severability

Ifanyprovisionisinvalid/unenforceable,itisstruck,andremainingprovisionsareenforced.

10.4Notices

Noticesshallbeinwritinganddeliveredby[DeliveryMethod,e.g.,registeredmail,email]totheaddressesinthepreambleorasdesignated.
