船舶配件加工定制合同2025年英文版ThisContractismadeandenteredintoasof[Date],byandbetween[Manufacturer'sCompanyName],havingitsprincipalplaceofbusinessat[Manufacturer'sAddress]("Manufacturer"),and[Customer'sCompanyName],havingitsprincipalplaceofbusinessat[Customer'sAddress]("Customer").RecitalsWHEREAS,Customerdesirestoprocurecertaincustom-manufacturedsparepartsforuseonitsvessel(s),andWHEREAS,ManufacturerisableandwillingtomanufactureandsupplysuchsparepartstoCustomerunderthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:1.ScopeofWorkManufacturershallmanufactureandsupply("Goods")thefollowingsparepartsforCustomer'sdesignatedvessel(s),asfurtherdetailedintheattachedSchedule(ifany)orasspecifiedbyCustomerinwriting:1.1.Description:TheGoodsshallconsistof[Providedetaileddescriptionofeachpart.Includespecificpartnumbers(ifapplicable),fulltechnicaldescription(dimensions,materials,dimensions,tolerances,finishes),referencetodrawings(e.g.,DrawingNo.XXX),referencetospecificationsorstandards(e.g.,ISO12345,ASTM6789,orspecificclassificationsocietystandardlikeABSSectionX,ClassY),andanyothernecessarytechnicaldetails.DescribeanycustomizationrequirementsbasedonCustomer'sspecificationsordrawingsprovided.]1.2.Quantity:Approximately[Specifyquantity]unitsoftheGoods,subjecttomutualagreementonanyadjustmentsnecessarytocompletetherequirementsfortheintendedvesselapplication.Customershallprovidefinalconfirmationofrequiredquantitiesinwritingatleast[Specifynumber,e.g.,30]dayspriortothestartofproductionfornon-standarditems.1.3.Materials:AllmaterialsusedshallconformtothespecificationsindicatedforeachitemintheScopeofWorkorasotherwisemutuallyagreeduponinwritingbybothparties.Materialcertificates(e.g.,MillTestReports)shallbeprovideduponCustomer'swrittenrequestandatManufacturer'sexpenseforeachshipment,uponsuccessfulcompletionoftheGoods.1.4.Packaging:TheGoodsshallbepackedinamannersuitableforsafeseatransport,protectingagainstdamageandcorrosion,asmutuallyagreeduponorasdirectedbyCustomerinwriting.2.PriceandPaymentTerms2.1.UnitPrice:TheunitpriceforeachitemofGoodshallbe[Specifycurrency,e.g.,USD][Specifyamount]perunit,assetforthintheattachedSchedule(ifany)orasmutuallyagreeduponinwriting.2.2.TotalContractValue:TheestimatedtotalvalueoftheGoodsunderthisContractis[Specifycurrency][Specifyamount].Thisisanestimateandthefinalamountpayableshallbebasedontheactualquantitiesconfirmedanddelivered.2.3.PaymentSchedule:a.Anon-refundabledepositof[Specifypercentage,e.g.,30]%oftheestimatedtotalContractValue,amountingto[Specifycurrency][Specifyamount],shallbepaidbyCustomertoManufacturerwithin[Specifynumber,e.g.,15]daysofthesigningofthisContract.b.Theremainingbalance,representing[Specifypercentage,e.g.,70]%oftheestimatedtotalContractValue,shallbepaidbyCustomertoManufactureruponthedeliveryoftheGoods,subjecttosuccessfulinspectionandacceptancebyCustomer.2.4.MethodofPayment:Allpaymentsshallbemadebybanktransfertothefollowingaccount:*AccountName:[Manufacturer'sBankAccountName]*Bank:[Manufacturer'sBankName]*Address:[Manufacturer'sBankAddress]*SWIFT/BICCode:[Manufacturer'sSWIFTCode]*IBAN:[Manufacturer'sIBAN(ifapplicable)]AllbankingchargesincurredinmakingpaymentsunderthisContractshallbefortheaccountofthepayingparty.2.5.Currency:Allpricesandpaymentsshallbedenominatedinandmadepayablein[Specifycurrency].3.ManufacturingProcessandQualityAssurance3.1.ManufacturershallmanufacturetheGoodsusingstandardmanufacturingpracticesandprocedures,ensuringallcomponentsconformtothespecifications,drawings,andapplicablestandardsreferencedinSection1.3.2.Manufacturershallimplementandmaintainanqualitymanagementsystemcompliantwith[Specifyrelevantstandard,e.g.,ISO9001]toensurethequalityandreliabilityoftheGoods.3.3.Manufacturershallconductroutinequalitycontrolchecksatcriticalstagesofthemanufacturingprocess.4.DeliveryTerms4.1.Incoterms?Rule:ThedeliveryoftheGoodsunderthisContractshallbegovernedbythetermsofthe[SpecifyapplicableIncoterms?version,e.g.,Incoterms?2020]rules,specificallythe[Specifyrule,e.g.,FOB]term.4.2.Port/PlaceofShipment/Loading:TheGoodsshallbeshippedfrom[SpecifyPort/PlaceofShipment]to[SpecifyPort/PlaceofDestination].4.3.ArrivalDate:ManufacturershalluseitsreasonablebesteffortstocompletethemanufactureandshipmentoftheGoodsby[Specifyestimatedcompletion/shipmentdate].ActualarrivalatthePortofDestinationissubjecttofactorsbeyondManufacturer'scontrol,includingcarrierschedulesandtransittimes.4.4.ShippingCosts:UnderthechosenIncoterms?term([Specifyrule]),[Specifywhichparty,e.g.,Manufacturer]isresponsibleforarrangingandpayingforthecarriageoftheGoodstothePortofDestination[orasdefinedbytheIncoterms?rule].4.5.Insurance:[Specifywhichparty,e.g.,Customer]shallarrangeandprocureinsurancecoveragefortheGoodsfromthetimetheyleaveManufacturer'spremisesuntilfinaldeliverytothePortofDestination.Thelevelofcoverageshallbe[Specifyminimumpercentage,e.g.,110%]oftheinvoicevalue,asper[Specifyinsurancetype,e.g.,ICC(A)Conditions].CustomershallprovideevidenceofsuchinsurancetoManufactureruponrequest.4.6.CustomsClearance:UnderthechosenIncoterms?term([Specifyrule]),[Specifywhichparty,e.g.,Customer]isresponsibleforallcustomsclearanceprocedures,documentation,andpaymentofdutiesandtaxesrequiredfortheimportationoftheGoodsintothedestinationcountry/region.5.Acceptance5.1.CustomershallhavetherighttoinspecttheGoodsuponarrivalatthePortofDestinationwithin[Specifynumber,e.g.,15]daysfromthedateofarrival.5.2.CustomershallnotifyManufacturerinwritingwithin[Specifynumber,e.g.,3]daysofarrivalifanyGoodsaremissingorvisiblydamagedduringtransit.Notificationbeyondthisperiodmayvoidanyclaimforsuchissues.5.3.Customershallconductafinalacceptancetest/inspectionoftheGoodswithin[Specifynumber,e.g.,30]daysfromthedateofarrivalatthePortofDestinationtoverifyconformitywiththespecificationssetforthinSection1andthisContract.5.4.AcceptanceshallbedeemedeffectiveupontheexpirationoftheacceptanceperiodunlessCustomerprovideswrittennoticeofnon-conformity,supportedbydetailedinspectionreports,toManufacturerwithintheacceptanceperiod.Rejectionshallnotbepermittedsolelyonthebasisofminordeviationsorminorsurfaceimperfectionsunlessexplicitlyagreeduponinwriting.5.5.Intheeventofrejection,CustomershallbearallcostsandrisksassociatedwiththereturnoftheGoodstoManufacturer.ManufacturershallrefundthecorrespondingpurchasepriceuponreceiptandverificationofthereturnedGoods.6.Warranty6.1.ManufacturerwarrantsthattheGoodsshallbefreefrommaterialdefectsinmaterialsandworkmanshipforaperiodof[Specifyduration,e.g.,12]monthsfromthedateoffinalacceptancebyCustomer.6.2.Thiswarrantydoesnotapplytodefectsresultingfromimproperinstallation,use,storage,orhandlingbyCustomer,orfromdamageoccurringafterdelivery.6.3.CustomershallpromptlynotifyManufacturerinwritingofanyallegedwarrantyclaimswithin[Specifynumber,e.g.,15]daysofdiscoveringamaterialdefect.6.4.Uponnotification,Manufacturershall,atitsoptionandexpense,repairorreplacethedefectiveGoodstoconformtothespecificationsofthisContract.Ifrepairorreplacementisnotfeasible,Manufacturermay,atitsdiscretion,refundthepurchasepriceofthedefectiveGoods.7.IntellectualProperty7.1.Alldesigns,drawings,specifications,andtechnicaldataprovidedbyCustomertoManufacturerunderthisContractremaintheexclusivepropertyofCustomer.7.2.Manufacturershallnotuse,reproduce,disclose,orlicensetoanythirdpartyanyintellectualpropertyofCustomerwithoutCustomer'spriorwrittenconsent.7.3.ThefinalmanufacturedGoodsarethepropertyofCustomeruponfullpaymentofthepurchaseprice.ManufacturershallretainownershipoftheGoodsuntilpaymentisreceivedinfull.8.Confidentiality8.1.Eachparty("DisclosingParty")agreestokeepconfidentialallnon-publicinformation("ConfidentialInformation")disclosedbytheotherparty("ReceivingParty")inconnectionwiththisContract.8.2.TheReceivingPartyshalluseConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisContractandshallnotdiscloseittoanythirdpartywithouttheDisclosingParty'spriorwrittenconsent,exceptasrequiredbylawortoitslegalcounsel,auditors,orsuppliers(providedsuchrecipientsareadvisedofconfidentialityobligations).8.3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisContractforaperiodof[Specifyduration,e.g.,5]yearsaftertheendoftheContract.9.ForceMajeure9.1.NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyaForceMajeureevent.9.2."ForceMajeure"meansaneventbeyondthereasonablecontroloftheaffectedparty,includingbutnotlimitedtoactsofGod(flood,fire,storm,earthquake),war,terrorism,civildisturbance,insurrection,strikes,lockouts,failureofpublicutilities,orgovernmentalactions(regulations,embargoes).9.3.TheaffectedpartyshallpromptlynotifytheotherpartyinwritingofanyForceMajeureeventandshalltakeallreasonablestepstomitigateitseffects.TheaffectedpartyshallnotberelievedofitsobligationsunlesstheForceMajeureeventcontinuesforacontinuousperiodof[Specifynumber,e.g.,90]days.9.4.IfaForceMajeureeventpreventsthecompletionoftheGoods,theContractmaybeterminatedbytheaffectedpartyuponwrittennotice.10.LiabilityandIndemnity10.1.Exceptincasesofwillfulmisconduct,grossnegligence,orbreachofaspecificobligationunderthisContract,Manufacturer'stotalliabilitytoCustomerforanyclaimsarisingoutoforinconnectionwiththisContractshallbelimitedtothetotalvalueoftheGoodsorderedunderthisContract.10.2.CustomershallindemnifyandholdharmlessManufacturerfromandagainstanyclaims,losses,damages,andexpensesarisingfromCustomer'suse,modification,orinstallationoftheGoods,orfromanythird-partyclaimsrelatedtosuchuse.10.3.Eachpartyshallindemnifytheotheragainstanyclaims,losses,ordamagesarisingfromthebreachofthisContractbytheindemnifyingparty.11.DisputeResolution11.1.GoverningLaw:ThisContractandanydisputesarisingoutoforinconnectionwithitshallbegovernedbyandconstruedinaccordancewiththelawsofthe[SpecifyJurisdiction,e.g.,EnglishLaw]withoutregardtoitsconflictoflawprinciples.11.2.DisputeResolutionMechanism:Anydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includinganyquestionregardingitsexistence,validity,ortermination,shallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationbetweenauthorizedrepresentativesoftheparties.11.3.Ifthedisputecannotberesolvedbynegotiationwithin[Specifynumber,e.g.,30]daysfromthedateofthelatter'swrittenrequest,thedisputeshallbefinallysettledby[Specifymethod,e.g.,arbitration]beforethe[Specifyinstitution,e.g.,InternationalChamberofCommerce(ICC)orLondonMaritimeArbitratorsAssociation(LMAA)]inaccordancewiththe[Specifyrules,e.g.,ArbitrationRulesoftheICCorLMAA]ineffectatthetimeoftheinstitutionofthe仲裁.Theseatofarbitrationshallbe[SpecifyCity,e.g.,Paris]/[SpecifyCity,e.g.,London].Thelanguageofthearbitrationshallbe[Specifylanguage,e.g.,English].TheTribunalshallconsistof[Specifynumber,e.g.,oneorthree]arbitrator(s).12.Termination12.1.ThisContractmaybeterminatedbyeitherpartyupon[Specifynoticeperiod,e.g.,30]dayswrittennoticeiftheotherpartycommitsamaterialbreachofthisContractandfailstocuresuchbreachwithinafurther[Specifynumber,e.g.,30]daysofreceivingwrittennoticethereof.12.2.EitherpartymayterminatethisContractimmediatelyuponwrittennoticeiftheotherpartybecomesinsolvent,entersintobankruptcy,ormakesanassignmentforthebenefitofcreditors.12.3.Intheeventoftermination,CustomershallpayManufacturerallamountsdueunderthisContractuptothedateoftermination.ManufacturershalldeliveranyGoodsthathavebeenmanufacturedbutnotyetshippedonlyuponpaymentoftheapplicablepricebyCustomer.12.4.Notwithstandingtermination,theprovisionsofSections6(Warranty),7(IntellectualProperty),8(Confidentiality),9(ForceMajeure),10(LiabilityandIndemnity),11(DisputeResolution),and12(Termination)shallsurviveterminationofthisContract.13.AmendmentsAnyamendmentormodificationtothisContractshallbeeffectiveonly
