2025年SaaS服務(wù)合同簽訂流程詳解與指南ThisServiceAgreement(the"Agreement")ismadeandenteredintoasof[StartDate],byandbetween[ServiceProviderName],acompanyorganizedandexistingunderthelawsof[ProviderJurisdiction]("Provider"),and[CustomerName],acompanyorganizedandexistingunderthelawsof[CustomerJurisdiction]("Customer").1.DefinitionsandInterpretation1.1InthisAgreement,unlessthecontextotherwiserequires:a)"Agreement"meansthisServiceAgreement,includingallexhibits,attachments,andamendmentsthereto;b)"Services"meansthesoftware-as-a-service("SaaS")providedbyProvidertoCustomer,asmorespecificallydescribedinSection2;c)"ServicePeriod"meansaperiodcommencingontheCommencementDateandendingontheExpirationDate(or,iftheAgreementisnon-terminal,eachsubsequentperiodendingonthedateimmediatelypriortothenextExpirationDate);d)"SLA"meanstheServiceLevelAgreementattachedheretoasExhibitA;e)"CustomerData"meansanyandalldataofwhatevernature(includingwithoutlimitationpersonaldata,businessinformation,andotherproprietaryinformation)uploaded,stored,orprocessedbyCustomeroronbehalfofCustomerwithintheServices;f)"ConfidentialInformation"meansanynon-publicinformationdisclosedbyeitherPartytotheotherPartyinwritingandmarked"Confidential"or"Proprietary,"orinformationthatreasonablyshouldbeunderstoodtobeconfidentialgivenitsnatureandthecircumstancesofdisclosure;g)"GoverningLaw"means[SpecifyJurisdiction,e.g.,thelawsoftheStateofCalifornia,USAwithoutregardtoitsconflictoflawprinciples];h)"TerminationDate"meansthedateonwhichtheAgreementisterminatedasprovidedherein;i)"EffectiveDate"meansthedateonwhichallpriorconditionstotheAgreementhavebeenfulfilledandtheAgreementbecomeslegallybindingonbothParties.1.2TheheadingsinthisAgreementareforconvenienceofreferenceonlyandshallnotaffecttheinterpretationofthisAgreement.2.Services2.1ProvidershallprovidetheServices,includingaccesstoanduseoftheSaaSplatformlocatedat[ServiceURL],toCustomerinaccordancewiththedescriptionsandspecificationssetforthinthisAgreementandtheSLA(ExhibitA).2.2TheServicesshallinclude,butnotbelimitedto,[ListkeyfeaturesandmodulesoftheSaaSservice,e.g.,usermanagement,reportingtools,analytics,specificapplicationmodules].2.3ProvidershallusecommerciallyreasonableeffortstoensuretheServicesaregenerallyavailableandoperationalinaccordancewiththeSLA.AccesstotheServicesmaybesubjecttoCustomer'scompliancewithProvider'sacceptableusepolicy,availableat[LinktoPolicy].3.SubscriptionandFees3.1CustomershallpayProvidertheFeesfortheServicesbasedonthe[SpecifyPricingModel,e.g.,numberofusers,usagevolume,orsubscriptiontier]setforthinExhibitB,whichformsanintegralpartofthisAgreement.3.2FeesshallbedueandpayablebyCustomeronthe[SpecifyPaymentSchedule,e.g.,firstdayofeachmonthfollowingtheendofeachServicePeriod]followingtheendofeachServicePeriod.3.3ProvidershallprovideCustomerwithaninvoiceforeachFeedue.PaymentshallbemadetoProviderattheaddressspecifiedintheinvoiceorasotherwisedirectedbyProviderinwriting.3.4AllFeesarenon-refundableunlessexpresslyprovidedherein.4.TermandTermination4.1ThisAgreementshallcommenceontheEffectiveDateandcontinuefor[SpecifyTerm,e.g.,one(1)year]("InitialTerm").UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessivetwelve(12)monthterms(eacha"RenewalTerm"),unlesseitherPartyprovideswrittennoticeofitsintentnottorenewatleast[SpecifyNoticePeriod,e.g.,ninety(90)]dayspriortotheendofthethen-currentTerm.AnyRenewalTermshallcommenceonthedatefollowingtheExpirationDateofthepriorTerm.4.2EitherPartymayterminatethisAgreementupon[SpecifyNoticePeriod,e.g.,onehundred(100)]dayswrittennoticetotheotherPartyintheeventof:a)TheotherPartymateriallybreachesanyprovisionofthisAgreementandfailstocuresuchbreachwithin[SpecifyCurePeriod,e.g.,thirty(30)]daysafterreceiptofwrittennoticethereof;b)TheotherPartybecomesinsolvent,filesforbankruptcy,orundergoesliquidation;c)TheotherPartyusestheServicesinamannerthatisillegalorviolatesthelawsofanyjurisdiction.4.3UponterminationorexpirationofthisAgreement,Customer'srighttousetheServicesshallceaseimmediately.CustomershallberesponsibleforpayingalloutstandingFeesdueuptotheTerminationDate.4.4Uponterminationforanycause,CustomershallpromptlyceaseusingtheServicesandshallremoveallcopiesoftheServicesandallCustomerDatafromProvider'ssystems.Providershall,uponCustomer'swrittenrequestanduponCustomer'spaymentofalloutstandingobligationstoProvider,provideCustomerwithacopyoftheCustomerDatainamachine-readableformatconsistentwiththeformatinwhichthedatawasprovidedtoProvider,unlessrequiredbylaworthisAgreementtoretainsuchdata.ProvidershallnotbeobligatedtoprovideanyfurtherdatatransferorreturnaftertheTerminationDate.5.UserManagementandAccess5.1Customerisresponsibleforallactivitiesthatoccurunderitsaccount,andCustomeragreestomaintaintheconfidentialityofitsaccountcredentialsandtonotifyProviderimmediatelyofanyunauthorizeduseofitsaccountoranyotherbreachofsecurity.5.2Customershallhavetherighttocreateandmanageuseraccountsforitsemployeesorcontractors,subjecttotheappropriatelicensespurchasedunderthisAgreement.CustomershallberesponsibleformanaginguseraccesslevelsandensuringthatuserscomplywiththisAgreement.6.DataPrivacyandSecurity6.1Providershallimplementandmaintainreasonableadministrative,physical,andtechnicalsafeguardstoprotectCustomerDatafromunauthorizedaccess,use,ordisclosure.6.2ProvidershallprocessCustomerDatainaccordancewithapplicableprivacylawsandregulations,includingtheGDPR,CCPA,andapplicableChinesedataprotectionlaws.ProvidershallprovideCustomerwithacopyofitsdataprocessingaddendumuponrequest.6.3CustomershallberesponsibleforensuringthatitsuseoftheServicesanditsCustomerDatadoesnotviolateanyapplicableprivacylawsorregulations.CustomeragreestoimplementreasonablesecuritymeasurestoprotectitsCustomerDatabeforeitisuploadedtotheServices.6.4NeitherPartyshallbeliableforanydatabreachesorprivacyincidentsthatoccurasaresultofCustomer'sfailuretocomplywiththesecurityandprivacyobligationssetforthherein.7.IntellectualPropertyRights7.1Allright,title,andinterestinandtotheServices,includingallsoftware,documentation,andintellectualpropertyrightstherein,remainexclusivelywithProvider.7.2Customershallobtainonlyanon-exclusive,non-transferable,limitedlicensetousetheServicessolelyforitsinternalbusinesspurposesinaccordancewiththisAgreement.8.Confidentiality8.1EachPartyagreestoholdtheotherParty'sConfidentialInformationinstrictconfidenceandnotusesuchConfidentialInformationforanypurposeotherthanasprovidedforinthisAgreement.8.2EachPartyshallrequireitsemployees,agents,andcontractorswhohaveaccesstotheotherParty'sConfidentialInformationtomaintaintheconfidentialityofsuchinformationandtonotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.8.3TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[SpecifyDuration,e.g.,three(3)years]orasrequiredbylaw.9.ServiceLevelAgreement9.1ProvideragreestoprovidetheServicesinaccordancewiththetermsandconditionssetforthintheSLAattachedheretoasExhibitA.CustomeracknowledgesthattheSLAisanintegralpartofthisAgreement.9.2ProvidershallusecommerciallyreasonableeffortstomeettheperformanceandavailabilitycommitmentssetforthintheSLA.CustomeragreesthatitsuseoftheServicesinaccordancewiththisAgreementconstitutesanadequatebasisforreliefundertheSLA.10.LiabilityandIndemnification10.1Provider'stotalliabilitytoCustomerforanycausearisingoutoforinconnectionwiththisAgreementshallbelimitedtotheFeespaidbyCustomerfortheServicesinthetwelve(12)monthsimmediatelyprecedingthedateoftheclaim.ThislimitationofliabilityshallnotapplytoliabilityfordeathorpersonalinjurycausedbyProvider'snegligence,ortoliabilityforCustomer'sindirect,special,incidental,orconsequentialdamages.10.2Providershallindemnify,defend,andholdharmlessCustomerfromandagainstanyclaims,losses,liabilities,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromCustomer'sbreachofthisAgreementorCustomer'suseoftheServicesinviolationoflaw.10.3Customershallindemnify,defend,andholdharmlessProviderfromandagainstanyclaims,losses,liabilities,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromCustomer'smisuseoftheServices,Customer'sfailuretocomplywiththisAgreement,orCustomer'suseoftheServicesinconnectionwithanyillegalactivities.11.GoverningLawandDisputeResolution11.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheGoverningLaw,withoutregardtoitsconflictoflawprinciples.11.2Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,AmericanArbitrationAssociation]inaccordancewiththe[SpecifyArbitrationRules,e.g.,mostrecenteditionoftheAAARules]andheldin[SpecifyLocation,e.g.,thecitywhereProviderislocatedoraneutralcity].ThearbitrationshallbeconductedintheEnglishlanguage.12.Miscellaneous12.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.12.2AnyamendmentormodificationofthisAgreementmustbemadeinwritingandsignedbyauthorizedrepresentativesofbothParties.12.3IfanyprovisionofthisAgreementisheldtobeillegal,invalid,orunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbeseveredfromthisAgreement,andtheremainingprovisionsshallcontinueinfullforceandeffect.12.4NowaiverbyeitherPartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.Failureordelaybyei
