2026年員工保密及競(jìng)業(yè)限制協(xié)議(中英文版)協(xié)議編號(hào)(AgreementNo.):________________________甲方(用人單位)與乙方(員工)本著平等自愿、誠實(shí)信用、權(quán)責(zé)統(tǒng)一的原則,就乙方在職及離職期間的保密義務(wù)、離職后競(jìng)業(yè)限制義務(wù)事宜,依據(jù)《中華人民共和國民法典》《中華人民共和國勞動(dòng)合同法》《中華人民共和國反不正當(dāng)競(jìng)爭(zhēng)法》及人社部《企業(yè)實(shí)施競(jìng)業(yè)限制合規(guī)指引》等相關(guān)法律法規(guī)及規(guī)范性文件,達(dá)成如下協(xié)議,作為雙方勞動(dòng)關(guān)系的重要補(bǔ)充,共同恪守履行。本協(xié)議自雙方簽字(蓋章)之日起生效。PartyA(Employer)andPartyB(Employee)voluntarilyenterintothisAgreementontheprinciplesofequality,voluntariness,goodfaithandunificationofrightsandobligationsregardingPartyB'sconfidentialityobligationsduringandafteremployment,andnon-competeobligationsafterresignation.PursuanttotheCivilCodeofthePeople'sRepublicofChina,LaborContractLawofthePeople'sRepublicofChina,Anti-UnfairCompetitionLawofthePeople'sRepublicofChina,andtheGuidelinesforEnterprises'ComplianceinImplementingNon-CompeteissuedbytheMinistryofHumanResourcesandSocialSecurity,aswellasotherrelevantlaws,regulationsandnormativedocuments,thisAgreementservesasanimportantsupplementtothelaborrelationshipbetweenthetwopartiesandshallbejointlyabidedby.ThisAgreementshalltakeeffectuponsignature(seal)bybothparties.甲方(用人單位)/PartyA(Employer)企業(yè)全稱(FullEnterpriseName):________________________統(tǒng)一社會(huì)信用代碼(UnifiedSocialCreditCode):________________________通訊地址(MailingAddress):________________________聯(lián)系電話(ContactPhone):________________________指定郵箱(DesignatedEmail):________________________法定代表人(LegalRepresentative):________________________乙方(員工)/PartyB(Employee)姓名(FullName):________________________身份證號(hào)碼(IDCardNo.):________________________戶籍地址(HouseholdRegistrationAddress):________________________通訊地址(MailingAddress):________________________聯(lián)系電話(ContactPhone):________________________指定郵箱(DesignatedEmail):________________________所屬部門(Department):________________________崗位名稱(Position):________________________入職日期(DateofEmployment):____年____月____日離職后競(jìng)業(yè)限制補(bǔ)償接收賬戶(BankAccountforNon-CompeteCompensation):開戶銀行(BankName):________________________賬戶名稱(AccountHolder):________________________賬號(hào)(AccountNo.):________________________鑒于:乙方作為甲方核心崗位員工,在履行崗位職責(zé)過程中,將不可避免接觸、知悉甲方的商業(yè)秘密、技術(shù)信息及其他未公開核心保密信息,該等信息是甲方核心競(jìng)爭(zhēng)力的重要組成部分,對(duì)甲方經(jīng)營發(fā)展具有重大商業(yè)價(jià)值。為保護(hù)甲方合法權(quán)益,防范信息泄露及不正當(dāng)競(jìng)爭(zhēng)風(fēng)險(xiǎn),乙方確認(rèn)已知曉自身崗位的涉密屬性及競(jìng)業(yè)限制的相關(guān)法律規(guī)定,自愿承擔(dān)保密義務(wù)及離職后競(jìng)業(yè)限制義務(wù),雙方據(jù)此訂立本協(xié)議,明確權(quán)利與義務(wù)。Whereas:AsanemployeeinacorepositionofPartyA,PartyBwillinevitablyaccessandlearnPartyA'stradesecrets,technicalinformationandotherunpublishedcoreconfidentialinformationinthecourseofperformingjobresponsibilities.SuchinformationisanimportantpartofPartyA'scorecompetitivenessandofgreatcommercialvaluetoPartyA'soperationanddevelopment.ToprotectPartyA'slegitimaterightsandinterestsandpreventtherisksofinformationleakageandunfaircompetition,PartyBconfirmsthatitisawareoftheconfidentialnatureofitspositionandtherelevantlegalprovisionsonnon-compete,andvoluntarilyassumesconfidentialityobligationsandnon-competeobligationsafterresignation.ThetwopartiesherebyenterintothisAgreementtoclarifytheirrightsandobligations.第一條保密信息定義與范圍/Article1DefinitionandScopeofConfidentialInformation1.1保密信息(ConfidentialInformation):指甲方所有或控制的、未公開披露且具有現(xiàn)實(shí)或潛在商業(yè)價(jià)值,甲方已采取合理保密措施的全部信息,無論其表現(xiàn)形式為書面、電子、口頭、實(shí)物或其他形式。1.1ConfidentialInformation:ReferstoallinformationownedorcontrolledbyPartyAthatisunpublished,hasactualorpotentialcommercialvalue,andforwhichPartyAhastakenreasonableconfidentialitymeasures,regardlessofitsformofexpressionaswritten,electronic,oral,physicalorotherforms.1.2保密信息具體范圍包括但不限于:1.2ThespecificscopeofConfidentialInformationincludesbutisnotlimitedto:(1)技術(shù)信息(TechnicalInformation):核心技術(shù)方案、技術(shù)參數(shù)、產(chǎn)品圖紙、源代碼、算法模型、數(shù)據(jù)庫結(jié)構(gòu)及核心數(shù)據(jù)、實(shí)驗(yàn)數(shù)據(jù)及分析報(bào)告、技術(shù)訣竅、生產(chǎn)工藝及流程、檢測(cè)標(biāo)準(zhǔn)及方法、未公開專利申請(qǐng)文件、研發(fā)計(jì)劃及階段性成果、技術(shù)改進(jìn)方案、產(chǎn)品原型及樣品等;(1)TechnicalInformation:Coretechnicalsolutions,technicalparameters,productdrawings,sourcecodes,algorithmmodels,databasestructuresandcoredata,experimentaldataandanalysisreports,technicalknow-how,productionprocessesandprocedures,testingstandardsandmethods,unpublishedpatentapplicationdocuments,R&Dplansandphasedachievements,technicalimprovementplans,productprototypesandsamples,etc.;(2)經(jīng)營信息(BusinessInformation):客戶名單及核心需求、供應(yīng)商資源及合作協(xié)議條款、價(jià)格體系及定價(jià)策略、成本核算數(shù)據(jù)、銷售數(shù)據(jù)及報(bào)表、渠道布局及資源分布、市場(chǎng)調(diào)研數(shù)據(jù)及分析報(bào)告、品牌規(guī)劃、公關(guān)方案、商業(yè)談判策略、未公開的合作意向及項(xiàng)目信息等;(2)BusinessInformation:Customerlistsandcoreneeds,supplierresourcesandcooperationagreementterms,pricesystemsandpricingstrategies,costaccountingdata,salesdataandstatements,channellayoutandresourcedistribution,marketresearchdataandanalysisreports,brandplanning,publicrelationsplans,businessnegotiationstrategies,unpublishedcooperationintentionsandprojectinformation,etc.;(3)管理信息(ManagementInformation):內(nèi)部管理制度及流程、組織架構(gòu)、人力資源規(guī)劃、核心人員薪酬福利體系、財(cái)務(wù)預(yù)算及資金流向明細(xì)、內(nèi)部會(huì)議決議及紀(jì)要、重大決策文件、績(jī)效考核方案、涉密載體管理臺(tái)賬、未公開的人事調(diào)整方案等;(3)ManagementInformation:Internalmanagementsystemsandprocesses,organizationalstructure,humanresourceplans,corepersonnelsalaryandwelfaresystems,financialbudgetsandcapitalflowdetails,internalmeetingresolutionsandminutes,majordecisiondocuments,performanceappraisalplans,managementledgersofconfidentialcarriers,unpublishedpersonneladjustmentplans,etc.;(4)其他保密信息(OtherConfidentialInformation):甲方與第三方的合作秘密、未公開的重大投融資計(jì)劃、甲方明確標(biāo)注為保密的各類文件及資料,以及乙方在任職期間基于甲方保密信息形成的衍生成果。(4)OtherConfidentialInformation:CooperationsecretsbetweenPartyAandthirdparties,unpublishedmajorinvestmentandfinancingplans,variousdocumentsandmaterialsclearlymarkedasconfidentialbyPartyA,andderivativeachievementsformedbyPartyBbasedonPartyA'sConfidentialInformationduringemployment.1.3排除情形(ExclusionScenarios):下列信息不屬于本協(xié)議約定的保密信息,乙方無需承擔(dān)保密義務(wù):1.3ExclusionScenarios:ThefollowinginformationshallnotbedeemedasConfidentialInformationunderthisAgreement,andPartyBshallnotbeobligatedtoassumeconfidentialityobligations:(1)已通過公開渠道合法公開,且非因乙方違約導(dǎo)致公開的信息;(1)InformationthathasbeenlegallydisclosedthroughpublicchannelsandisnotdisclosedduetoPartyB'sbreachofthisAgreement;(2)乙方在甲方披露前,已通過合法途徑獨(dú)立獲取且無保密義務(wù)的信息,乙方需提供有效證明文件佐證;(2)InformationthatPartyBhasindependentlyobtainedthroughlegalchannelswithoutconfidentialityobligationspriortodisclosurebyPartyA,andPartyBshallprovidevalidcertificationdocumentsforconfirmation;(3)依據(jù)法律法規(guī)、司法機(jī)關(guān)、行政機(jī)關(guān)或監(jiān)管機(jī)構(gòu)的強(qiáng)制性要求必須披露的信息,乙方應(yīng)提前3個(gè)工作日書面通知甲方,配合甲方采取必要保密防護(hù)措施,披露范圍僅限強(qiáng)制要求的最小范圍。(3)Informationthatmustbedisclosedinaccordancewiththemandatoryrequirementsoflawsandregulations,judicialorgans,administrativeorgansorregulatoryauthorities.PartyBshallnotifyPartyAinwriting3workingdaysinadvance,cooperatewithPartyAtotakenecessaryconfidentialityprotectionmeasures,andthescopeofdisclosureshallbelimitedtotheminimumscoperequiredbythemandatoryprovisions.第二條保密義務(wù)/Article2ConfidentialityObligations2.1保密期限:乙方的保密義務(wù)自接觸保密信息之日起生效,直至該信息喪失秘密性、無商業(yè)價(jià)值或甲方書面解除保密要求之日止。無論甲乙雙方勞動(dòng)關(guān)系是否終止,本保密義務(wù)均持續(xù)有效。2.1ConfidentialityPeriod:PartyB'sconfidentialityobligationshalltakeeffectfromthedateofaccessingConfidentialInformationandterminatewhentheinformationlosesitsconfidentiality,nolongerhascommercialvalueorPartyAwritestolifttheconfidentialityrequirement.Thisconfidentialityobligationshallremainvalidregardlessofwhetherthelaborrelationshipbetweenthetwopartiesisterminated.2.2在職期間義務(wù)(ObligationsDuringEmployment):(1)僅在崗位職責(zé)必需范圍內(nèi)使用保密信息,不得超出工作需要擅自使用、復(fù)制、摘錄、傳播保密信息;(1)UseConfidentialInformationonlywithinthescopenecessaryforjobresponsibilities,andshallnotarbitrarilyuse,copy,excerptorspreadConfidentialInformationbeyondworkneeds;(2)妥善保管保密信息載體,電子信息需采取加密存儲(chǔ)、分級(jí)授權(quán)訪問、病毒防護(hù)、訪問日志留存等措施,紙質(zhì)及實(shí)物載體需上鎖存放、專人看管,嚴(yán)禁隨意擺放、轉(zhuǎn)借、帶出工作區(qū)域或私自留存;(2)ProperlykeepConfidentialInformationcarriers;electronicinformationshalltakemeasuressuchasencryptedstorage,hierarchicalauthorizedaccess,virusprotectionandaccesslogretention;paperandphysicalcarriersshallbestoredinlockedcabinetsandsupervisedbyspecialpersonnel,anditisstrictlyprohibitedtoplace,lend,takeoutoftheworkareaorretainthemprivately;(3)不得向任何第三方披露、泄露保密信息,不得在非工作場(chǎng)合談?wù)?、傳播保密信息,不得教唆、協(xié)助第三方獲取甲方保密信息;(3)ShallnotdiscloseorrevealConfidentialInformationtoanythirdparty,discussorspreadConfidentialInformationinnon-workoccasions,orinstigateorassistthirdpartiestoobtainPartyA'sConfidentialInformation;(4)發(fā)現(xiàn)保密信息泄露或存在泄露風(fēng)險(xiǎn)時(shí),立即采取補(bǔ)救措施防止泄露范圍擴(kuò)大,并第一時(shí)間書面通知甲方;(4)ImmediatelytakeremedialmeasurestopreventtheexpansionoftheleakagescopeandnotifyPartyAinwritingatthefirsttimeiffindingleakageorriskofleakageofConfidentialInformation;(5)積極配合甲方開展保密檢查、信息安全管控及保密培訓(xùn)工作,嚴(yán)格遵守甲方內(nèi)部保密管理制度。(5)ActivelycooperatewithPartyAinconductingconfidentialityinspections,informationsecuritycontrolandconfidentialitytraining,andstrictlyabidebyPartyA'sinternalconfidentialitymanagementsystem.2.3離職后義務(wù)(ObligationsAfterResignation):(1)不得利用在職期間接觸的保密信息為自身或第三方謀取利益,不得向新用人單位或其他第三方披露、傳授甲方保密信息;(1)ShallnotuseConfidentialInformationaccessedduringemploymenttoseekinterestsforitselforathirdparty,andshallnotdiscloseorimpartPartyA'sConfidentialInformationtoanewemployerorotherthirdparties;(2)離職后5個(gè)工作日內(nèi),將持有的全部保密信息及載體(原件、復(fù)印件、電子文檔、存儲(chǔ)介質(zhì)、筆記、草稿等)全部返還甲方,或按甲方要求徹底銷毀,不得私自留存任何形式的保密信息,并出具書面確認(rèn)文件;(2)Within5workingdaysafterresignation,returnallConfidentialInformationandcarriers(originals,copies,electronicdocuments,storagemedia,notes,drafts,etc.)inpossessiontoPartyAinfull,orcompletelydestroytheminaccordancewithPartyA'srequirements,shallnotretainanyformofConfidentialInformationprivately,andissueawrittenconfirmationdocument;(3)發(fā)現(xiàn)第三方侵犯甲方保密信息權(quán)益時(shí),及時(shí)告知甲方并配合甲方采取維權(quán)措施。(3)PromptlyinformPartyAandcooperatewithPartyAtotakerightsprotectionmeasuresiffindingathirdpartyinfringingonPartyA'srightsandinterestsinConfidentialInformation.第三條競(jìng)業(yè)限制義務(wù)/Article3Non-CompeteObligations3.1適用前提:乙方確認(rèn),其崗位屬于甲方高級(jí)管理人員、高級(jí)技術(shù)人員或其他負(fù)有保密義務(wù)的核心崗位,符合《勞動(dòng)合同法》規(guī)定的競(jìng)業(yè)限制適用范圍,自愿接受本條款約束。3.1ApplicablePremise:PartyBconfirmsthatitspositionbelongstotheseniormanagementpersonnel,seniortechnicalpersonnelofPartyAorothercorepositionswithconfidentialityobligations,whichisinlinewiththescopeofapplicationofnon-competestipulatedintheLaborContractLaw,andvoluntarilyacceptstheconstraintsofthisclause.3.2限制范圍(ScopeofRestriction):(1)行業(yè)范圍:乙方離職后,不得入職與甲方生產(chǎn)或經(jīng)營同類產(chǎn)品、從事同類業(yè)務(wù)且存在競(jìng)爭(zhēng)關(guān)系的企業(yè),包括但不限于[具體企業(yè)名單/行業(yè)類別];(1)IndustryScope:Afterresignation,PartyBshallnotbeemployedbyenterprisesthatproduceoroperatesimilarproducts,engageinsimilarbusinessesandhavecompetitiverelationswithPartyA,includingbutnotlimitedto[specificenterpriselist/industrycategory];(2)地域范圍:[具體地域,如XX省XX市/僅限甲方業(yè)務(wù)覆蓋區(qū)域],無充足理由不得約定全國或全球范圍;(2)GeographicalScope:[Specificregion,suchasXXCity,XXProvince/onlythebusinesscoverageareaofPartyA].Thenationalorglobalscopeshallnotbeagreedwithoutsufficientreasons;(3)行為范圍:不得自營或?yàn)樗私?jīng)營與甲方同類業(yè)務(wù),不得協(xié)助第三方開展與甲方存在競(jìng)爭(zhēng)關(guān)系的業(yè)務(wù)。(3)BehavioralScope:ShallnotoperateoroperatesimilarbusinessestoPartyAforothers,norassistthirdpartiesincarryingoutbusinessesthathavecompetitiverelationswithPartyA.3.3限制期限(Non-CompetePeriod):自雙方勞動(dòng)關(guān)系解除或終止之日起計(jì)算,最長(zhǎng)不超過2年。若保密信息提前喪失商業(yè)價(jià)值,甲方可書面通知乙方提前終止競(jìng)業(yè)限制義務(wù)。3.3Non-CompetePeriod:Calculatedfromthedateofterminationorrescissionofthelaborrelationshipbetweenthetwoparties,themaximumperiodshallnotexceed2years.IftheConfidentialInformationlosescommercialvalueinadvance,PartyAmaynotifyPartyBinwritingtoterminatethenon-competeobligationinadvance.3.4經(jīng)濟(jì)補(bǔ)償(EconomicCompensation):(1)補(bǔ)償標(biāo)準(zhǔn):甲方按月向乙方支付競(jìng)業(yè)限制經(jīng)濟(jì)補(bǔ)償,月補(bǔ)償金額不低于乙方勞動(dòng)合同解除或終止前12個(gè)月平均工資的30%,且不低于勞動(dòng)合同履行地最低工資標(biāo)準(zhǔn);若競(jìng)業(yè)限制期限超過1年,月補(bǔ)償金額不低于乙方離職前12個(gè)月平均工資的50%;(1)CompensationStandard:PartyAshallpaymonthlynon-competeeconomiccompensationtoPartyB.Themonthlycompensationamountshallnotbelessthan30%oftheaveragewageofPartyBinthe12monthspriortotheterminationorrescissionofthelaborcontract,andshallnotbelessthantheminimumwagestandardoftheplacewherethelaborcontractisperformed;ifthenon-competeperiodexceeds1year,themonthlycompensationamountshallnotbelessthan50%oftheaveragewageofPartyBinthe12monthspriortoresignation;(2)支付方式:甲方于每月10日前(遇節(jié)假日順延),通過本協(xié)議約定的乙方銀行賬戶支付上月補(bǔ)償,支付周期與競(jìng)業(yè)限制期限一致;(2)PaymentMethod:PartyAshallpaythecompensationofthepreviousmonththroughPartyB'sbankaccountagreedinthisAgreementbeforethe10thdayofeachmonth(postponedincaseofholidays),andthepaymentcycleshallbeconsistentwiththenon-competeperiod;(3)補(bǔ)償調(diào)整:乙方離職后,若當(dāng)?shù)刈畹凸べY標(biāo)準(zhǔn)調(diào)整,補(bǔ)償金額相應(yīng)調(diào)整至符合法定標(biāo)準(zhǔn);(3)CompensationAdjustment:AfterPartyB'sresignation,ifthelocalminimumwagestandardisadjusted,thecompensationamountshallbeadjustedaccordinglytomeetthelegalstandard;(4)義務(wù)解除:甲方連續(xù)3個(gè)月未支付經(jīng)濟(jì)補(bǔ)償?shù)?,乙方有?quán)書面通知甲方解除競(jìng)業(yè)限制義務(wù),自通知送達(dá)之日起不再履行本條款約定的限制義務(wù)。(4)TerminationofObligation:IfPartyAfailstopayeconomiccompensationfor3consecutivemonths,PartyBhastherighttonotifyPartyAinwritingtoterminatethenon-competeobligation,andshallnolongerperformtherestrictiveobligationsagreedinthisclausefromthedateofserviceofthenotice.3.5例外情形(ExceptionScenarios):乙方在競(jìng)業(yè)限制期限內(nèi),入職非競(jìng)爭(zhēng)行業(yè)企業(yè)、或在限制地域外從事同類業(yè)務(wù)、或受甲方書面同意的,不受本條款限制。3.5ExceptionScenarios:Duringthenon-competeperiod,PartyBshallnotberestrictedbythisclauseifitisemployedbyanenterpriseinanon-competitiveindustry,engagesinsimilarbusinessesoutsidetherestrictedarea,orobtainswrittenconsentfromPartyA.第四條知識(shí)產(chǎn)權(quán)歸屬/Article4OwnershipofIntellectualPropertyRights4.1乙方在任職期間,利用甲方物質(zhì)技術(shù)條件、工作時(shí)間或崗位職責(zé)完成的全部發(fā)明創(chuàng)造、技術(shù)成果、軟件作品、文案設(shè)計(jì)、數(shù)據(jù)模型等職務(wù)成果,其知識(shí)產(chǎn)權(quán)均歸甲方單獨(dú)所有。乙方確認(rèn)該等職務(wù)成果屬于保密信息范疇,無任何權(quán)利主張。4.1Allserviceachievementssuchasinventionsandcreations,technicalachievements,softwareworks,copywritingdesigns,datamodelscompletedbyPartyBduringemploymentbyusingPartyA'smaterialandtechnicalconditions,workingtimeorjobresponsibilitiesshallhavetheirintellectualpropertyrightsownedsolelybyPartyA.PartyBconfirmsthatsuchserviceachievementsbelongtothescopeofConfidentialInformationandhasnorighttoclaim.4.2乙方應(yīng)及時(shí)將職務(wù)成果向甲方匯報(bào),并配合甲方辦理知識(shí)產(chǎn)權(quán)登記、申請(qǐng)、維權(quán)等相關(guān)手續(xù),簽署必要文件。未經(jīng)甲方書面授權(quán),乙方不得私自轉(zhuǎn)讓、許可第三方使用或自行申請(qǐng)知識(shí)產(chǎn)權(quán)登記。4.2PartyBshallpromptlyreportserviceachievementstoPartyA,andcooperatewithPartyAtogothroughrelevantproceduressuchasintellectualpropertyregistration,applicationandrightsprotection,andsignnecessarydocuments.WithoutPartyA'swrittenauthorization,PartyBshallnotprivatelytransfer,licensethirdpartiestouseorapplyforintellectualpropertyregistrationonitsown.第五條違約責(zé)任/Article5LiabilityforBreach5.1保密義務(wù)違約(BreachofConfidentialityObligations):(1)輕微違約:乙方輕微違約且未造成保密信息泄露的,甲方有權(quán)要求乙方限期改正、消除影響,并支付違約金人民幣1-3萬元;同時(shí)可依據(jù)內(nèi)部制度給予警告、降薪、記過等處分;(1)MinorBreach:IfPartyBcommitsaminorbreachofcontractwithoutcausingtheleakageofConfidentialInformation,PartyAhastherighttorequirePartyBtomakecorrectionswithinatimelimit,eliminatetheimpact,andpayliquidateddamagesofRMB10,000to30,000;atthesametime,PartyAmaygivewarnings,salaryreductions,demeritsandothersanctionsinaccordancewithinternalsystems;(2)嚴(yán)重違約:乙方違約導(dǎo)致保密信息泄露、擴(kuò)散,給甲方造成經(jīng)濟(jì)損失或商譽(yù)損害的,甲方有權(quán)采取以下一項(xiàng)或多項(xiàng)措施:①立即解除勞動(dòng)合同,不予支付經(jīng)濟(jì)補(bǔ)償金;②要求乙方支付違約金人民幣3-30萬元(具體金額根據(jù)違約情節(jié)、損失大小及主觀過錯(cuò)確定);③要求乙方賠償甲方全部損失,包括直接損失、間接損失、預(yù)期利益損失及維權(quán)產(chǎn)生的律師費(fèi)、訴訟費(fèi)、調(diào)查取證費(fèi)等合理費(fèi)用;④依法追究乙方民事、行政或刑事責(zé)任;⑤要求乙方公開澄清事實(shí),消除商譽(yù)影響。(2)SeriousBreach:IfPartyB'sbreachcausesleakageandspreadofConfidentialInformation,resultingineconomiclossesorgoodwilldamagetoPartyA,PartyAhastherighttotakeoneormoreofthefollowingmeasures:①Immediatelyterminatethelaborcontractwithoutpayingeconomiccompensation;②RequirePartyBtopayliquidateddamagesofRMB30,000to300,000(thespecificamountshallbedeterminedaccordingtotheseverityofthebreach,themagnitudeoflossesandsubjectivefault);③RequirePartyBtocompensatePartyAforalllosses,includingdirectlosses,indirectlosses,expectedinterestlossesandreasonableexpensessuchasattorneyfees,litigationfeesandinvestigationandevidencecollectionfeesincurredinrightsprotection;④PursuePartyB'scivil,administrativeorcriminalliabilityinaccordancewiththelaw;⑤RequirePartyBtopubliclyclarifythefactsandeliminatetheimpactongoodwill.5.2競(jìng)業(yè)限制義務(wù)違約(BreachofNon-CompeteObligations):(1)乙方違反本協(xié)議第三條約定的,無論是否給甲方造成實(shí)際損失,均應(yīng)支付違約金,違約金數(shù)額不超過約定競(jìng)業(yè)限制經(jīng)濟(jì)補(bǔ)償總額的5倍;(1)IfPartyBviolatestheprovisionsofArticle3ofthisAgreement,regardlessofwhetheritcausesactuallossestoPartyA,itshallpayliquidateddamages,andtheamountofliquidateddamagesshallnotexceed5timesthetotalagreednon-competeeconomiccompensation;(2)違約金不足以彌補(bǔ)甲方實(shí)際損失的,乙方需補(bǔ)足差額,甲方有權(quán)同時(shí)主張違約金和損失賠償;(2)IftheliquidateddamagesareinsufficienttocoverPartyA'sactuallosses,PartyBshallmakeupthedifference,andPartyAhastherighttoclaimbothliquidateddamagesandcompensationforlosses;(3)甲方有權(quán)要求乙方立即停止違約行為,解除與競(jìng)爭(zhēng)企業(yè)的勞動(dòng)關(guān)系或終止自營競(jìng)爭(zhēng)業(yè)務(wù),并賠償甲方因此產(chǎn)生的全部損失。(3)PartyAhastherighttorequirePartyBtoimmediatelystopthebreachofcontract,terminatethelaborrelationshipwiththecompetingenterpriseorterminatetheself-operatedcompetitivebusiness,andcompensatePartyAforalllossesarisingtherefrom.5.3乙方承擔(dān)違約責(zé)任后,不免除其繼續(xù)履行保密義務(wù)、競(jìng)業(yè)限制義務(wù)(若未解除)及賠償損失的責(zé)任。5.3AfterPartyBassumesliabilityforbreachofcontract,itshallnotbeexemptedfromitsobligationstocontinueperformingconfidentialityobligations,non-competeobligations(ifnotterminated)andcompensateforlosses.第六條不可抗力/Article6ForceMajeure因地震、臺(tái)風(fēng)、洪水、戰(zhàn)爭(zhēng)、動(dòng)亂、突發(fā)公共衛(wèi)生事件、政府強(qiáng)制行為、法律法規(guī)重大變更等不可預(yù)見、不可避免、不可克服的不可抗力事件,導(dǎo)致乙方無法履行本協(xié)議約定的保密義務(wù)或競(jìng)業(yè)限制義務(wù)的,受影響一方應(yīng)立即書面通知對(duì)方,說明事件詳情及影響,并在5個(gè)工作日內(nèi)提供有效證明。因不可抗力造成的損失,雙方互不承擔(dān)賠償責(zé)任,但乙方應(yīng)盡力采取措施減少損失擴(kuò)大。IfaForceMajeureeventthatisunforeseeable,unavoidableandinsurmountable,suchasearthquake,typhoon,flood,war,riot,publichealthemergency,governmentmandatoryact,majorchangeinlawsandregulations,rendersPartyBunabletoperformtheconfidentialityobligationsornon-competeobligationsagreedinthisAgreement,theaffectedpartyshallimmediatelynotifytheotherpartyinwriting,explainthedetailsandimpactoftheevent,andprovidevalidproofwithin5workingdays.NeitherpartyshallbeliableforcompensationforlossescausedbyForceMajeure,butPartyBshallmakeeveryefforttotakemeasurestoreducetheexpansionoflosses.第七條爭(zhēng)議解決/Article7DisputeResolution因本協(xié)議引起的或與本協(xié)議有關(guān)的任何爭(zhēng)議,雙方應(yīng)首先通過友好協(xié)商解決;協(xié)商不成的,任何一方均有權(quán)向甲方所在地有管轄權(quán)的人民法院提起訴訟。爭(zhēng)議解決期間,除爭(zhēng)議事項(xiàng)外,雙方應(yīng)繼續(xù)履行本協(xié)議其他條款。AnydisputearisingoutoforinconnectionwiththisAgreementshallfirstberesolvedbythetwopartiesthroughfriendlynegotiations;ifthenegotiationsfail,eitherpartyhastherighttoinstitutelegalproceedingsinthepeople'scourtwithjurisdictionintheplacewherePartyAislocated.Duringthedisputeresolutionperiod,exceptforthedisputedmatters,bothpartiesshallcontinuetoperformotherclausesofthisAgreement.第八條通知與送達(dá)/Article8NoticesandService本協(xié)議項(xiàng)下的所有通知、函件、確認(rèn)文件等,均應(yīng)以書面形式(包括專人送遞、順豐快遞、EMS、指定郵箱發(fā)送)送達(dá)至本協(xié)議列明的雙方聯(lián)系方式。乙方變更通訊地址、聯(lián)系電話、銀行賬戶等信息的,應(yīng)提前3個(gè)工作日書面通知甲方,否則視為聯(lián)系方式未變更,由此產(chǎn)生的送達(dá)不能、延誤等后果由乙方自行承擔(dān)。Allnotices,letters,confirmationdocuments,etc.underthisAgreementshallbedeliveredinwriting(includingpersonaldel
