保密承諾書（中英文版）CommitmentNo.（承諾編號）：____________________I,theundersignedcommitmentperson,voluntarilymakethefollowingsolemncommitmentto[PartyA/CompanyName](hereinafterreferredtoas"theCommitmentee")inaccordancewithrelevantnationallawsandregulationsandtheactualsituationofinformationcontact,forthepurposeofsafeguardingtheCommitmentee'scoreinformationsecurityandlegitimaterightsandinterests.本人（以下簡稱“承諾人”），自愿依據(jù)國家相關(guān)法律法規(guī)及信息接觸實際情況，為維護(hù)[甲方/公司名稱]（以下簡稱“被承諾人”）核心信息安全及合法權(quán)益，作出如下鄭重承諾。CommitmentPerson(承諾人)FullName（姓名）：____________________Gender（性別）：______IDCardNo.（身份證號碼）：____________________ContactInformation（聯(lián)系方式）：____________________Email（電子郵箱）：____________________MailingAddress（通訊地址）：____________________Identity（身份，如：在職員工/離職員工/合作方/項目參與方等）：____________________DateofContactwithConfidentialInformation（接觸保密信息日期）：______年____月____日CommitmentContent(承諾內(nèi)容)1.Iconfirmthatduringtheperiodofcontacting,understandingandmasteringtheCommitmentee'sinformation(includingbutnotlimitedtoemployment,cooperation,projectparticipation,etc.),IhaveaccessedalargeamountofunpublishedconfidentialinformationandtradesecretsoftheCommitmentee.IfullyunderstandtheimportanceofsuchinformationtotheCommitmentee'ssurvival,developmentandmarketcompetitiveness,andIamobligedtokeepitstrictlyconfidentialinaccordancewiththelawandthiscommitment.1.本人確認(rèn)，在與被承諾人發(fā)生信息接觸（包括但不限于任職、合作、項目參與等）期間，接觸、了解并掌握了被承諾人大量未公開的保密信息及商業(yè)秘密。本人充分知曉該等信息對被承諾人生存發(fā)展、市場競爭力的重要性，自愿依據(jù)法律規(guī)定及本承諾書約定承擔(dān)嚴(yán)格的保密義務(wù)。2.The"ConfidentialInformation"referredtointhiscommitmentspecificallyincludesbutisnotlimitedtothefollowingcategories(本承諾所指“保密信息”，具體包括但不限于以下類別)：2.1BusinessOperationInformation(經(jīng)營運(yùn)營信息)：TheCommitmentee'sbusinessstrategy,developmentplan,businessmodel,investmentandfinancingplan,financialstatements(unpublished),costaccountingdata,pricingstrategy,procurementchannels,salesnetwork,customerlistandcoreinformation(includingcontactperson,contactinformation,cooperationcontent,transactionrecords,demandpreferences,etc.),supplierinformation,marketresearchreports,marketingpromotionplans,biddingdocuments(unpublished),businessnegotiationrecords,etc.;2.1被承諾人的經(jīng)營戰(zhàn)略、發(fā)展規(guī)劃、商業(yè)模式、投融資方案、財務(wù)報表（未公開）、成本核算數(shù)據(jù)、定價策略、采購渠道、銷售網(wǎng)絡(luò)、客戶名單及核心信息（含聯(lián)系人、聯(lián)系方式、合作內(nèi)容、交易記錄、需求偏好等）、供應(yīng)商信息、市場調(diào)研報告、營銷推廣方案、招投標(biāo)文件（未公開）、商務(wù)談判記錄等；2.2TechnologyR&DInformation(技術(shù)研發(fā)信息)：TheCommitmentee'scoretechnicalparameters,technicalformulas,productionprocesses,R&Dachievements,testdata,technicaldrawings,designschemes,softwaresourcecodes,algorithmmodels,databaseinformation,patentapplicationdocuments(unpublished),technicalknow-how,productupgradeplans,etc.;2.2被承諾人的核心技術(shù)參數(shù)、技術(shù)配方、生產(chǎn)工藝、研發(fā)成果、試驗數(shù)據(jù)、技術(shù)圖紙、設(shè)計方案、軟件源代碼、算法模型、數(shù)據(jù)庫信息、專利申請文件（未公開）、技術(shù)訣竅、產(chǎn)品升級計劃等；2.3PersonnelManagementInformation(人事管理信息)：TheCommitmentee'semployeeroster,salaryandwelfaresystem,performanceappraisalstandards,coreemployeeinformation,internalmanagementsystems,trainingmaterials,equityincentiveplans,etc.;2.3被承諾人的員工名冊、薪酬福利體系、績效考核標(biāo)準(zhǔn)、核心員工信息、內(nèi)部管理制度、培訓(xùn)資料、股權(quán)激勵方案等；2.4OtherConfidentialInformation(其他保密信息)：Variousdocumentsandmaterialsclearlymarkedas"Confidential","Secret","TopSecret"or"InternalUseOnly"bytheCommitmentee,informationthattheCommitmenteeorallyinformsmetokeepconfidential,andotherunpublishedsensitiveinformationthatIknowandmayaffecttheCommitmentee'slegitimaterightsandinterests.2.4被承諾人明確標(biāo)注“保密”“機(jī)密”“絕密”“內(nèi)部使用”等字樣的各類文件資料，被承諾人口頭告知本人需保密的信息，以及本人知悉的其他可能影響被承諾人合法權(quán)益的未公開敏感信息。3.DuringandaftertheperiodofcontactingtheConfidentialInformation,Ishallabidebythefollowingobligations(在接觸保密信息期間及之后，本人承諾遵守以下義務(wù))：3.1Ishallnotarbitrarilydisclose,leak,disseminate,transfer,lease,lendordonatetheCommitmentee'sConfidentialInformationtoanythirdparty(includingbutnotlimitedtorelativesandfriends,otherunitsorindividuals)inanyformsuchasoral,written,electronictransmission,copy,display,etc.,withoutthepriorwrittenconsentoftheCommitmentee;3.1未經(jīng)被承諾人事先書面同意，不得以口頭、書面、電子傳輸、復(fù)制、展示等任何形式，向任何第三方（包括但不限于親友、其他單位或個人）披露、泄露、傳播、轉(zhuǎn)讓、出租、出借或贈與被承諾人的保密信息；3.2IshallnotusetheConfidentialInformationtoseekimproperinterestsformyselforanythirdparty,noruseitforactivitiesthatcompetewiththeCommitmentee'sbusiness,norengageinanyactsthatdamagetheCommitmentee'slegitimaterightsandinterests;3.2不得利用保密信息為自身或任何第三方謀取不正當(dāng)利益，不得將保密信息用于與被承諾人業(yè)務(wù)相競爭的活動，不得從事任何損害被承諾人合法權(quán)益的行為；3.3IshallproperlykeepallcarriersoftheConfidentialInformation(includingbutnotlimitedtopaperdocuments,electronicdocuments,Udisks,harddisks,notebooks,drawings,etc.)thatIhavecontacted,heldorcontrolled.Aftertheterminationofthecontact(suchasresignation,endofcooperation,completionoftheproject),IshallimmediatelyreturnallConfidentialInformationanditscarrierstothepersondesignatedbytheCommitmentee,ordestroytheminaccordancewiththeCommitmentee'srequirements,andshallnotretainanycopies,backupsorexcerpts;3.3妥善保管所接觸、持有或控制的全部保密信息載體（包括但不限于紙質(zhì)文件、電子文檔、U盤、硬盤、筆記本、圖紙等）。在接觸關(guān)系終止（如離職、合作結(jié)束、項目完成等）后，立即將全部保密信息及其載體返還給被承諾人指定人員，或按被承諾人要求予以銷毀，不得留存任何副本、備份或摘錄；3.4IfIfindthattheConfidentialInformationisleakedorthereisariskofleakage,Ishallimmediatelytakeeffectiveremedialmeasures(includingbutnotlimitedtorecoveringtheleakedinformation,protectingthescene,preventingfurtherdiffusion,etc.),andnotifytheCommitmentee'sdesignatedcontactpersoninwritingororallywithin24hours,andfullycooperatewiththeCommitmentee'sinvestigationanddisposalwork;3.4如發(fā)現(xiàn)保密信息泄露或存在泄露風(fēng)險，立即采取有效補(bǔ)救措施（包括但不限于收回泄露信息、保護(hù)現(xiàn)場、防止信息進(jìn)一步擴(kuò)散等），并在24小時內(nèi)書面或口頭通知被承諾人指定聯(lián)系人，全力配合被承諾人的調(diào)查及處置工作；3.5Ishallnotpersuade,induceorinstigateotherstodisclosetheCommitmentee'sConfidentialInformation,norassistanythirdpartytoobtainorusetheConfidentialInformation;3.5不勸說、誘導(dǎo)或慫恿他人泄露被承諾人的保密信息，不協(xié)助任何第三方獲取或使用該保密信息；3.6IconfirmthatIhavenorighttoindependentlyauthorizeanythirdpartytousetheCommitmentee'sConfidentialInformation,andanyuseoftheConfidentialInformationthatinvolvestheinterestsoftheCommitmenteemustobtainthepriorwrittenconsentoftheCommitmentee.3.6確認(rèn)自身無權(quán)獨(dú)立授權(quán)任何第三方使用被承諾人的保密信息，任何涉及被承諾人利益的保密信息使用行為，均須取得被承諾人事先書面同意。4.ThetermofthisconfidentialitycommitmentshallstartfromthedateIfirstcontacttheCommitmentee'sConfidentialInformationandshallcontinueuntiltheConfidentialInformationbecomespubliclyavailablethroughlegalchannels.EvenifthecontactrelationshipbetweenmeandtheCommitmenteeisterminated,thiscommitmentshallstillbevalidandIshallcontinuetoperformtheconfidentialityobligations.4.本保密承諾期限自本人首次接觸被承諾人保密信息之日起生效，直至該保密信息通過合法途徑成為公眾可獲取信息之日止。即使本人與被承諾人的接觸關(guān)系終止，本承諾書仍持續(xù)有效，本人仍需履行保密義務(wù)。5.IfullyunderstandthatifIviolateanyoftheabovecommitments,itwillcauseseriouslossestotheCommitmentee'seconomicinterestsandbrandreputation.Ivoluntarilybearthefollowingliabilityforbreachofcommitment(本人充分知曉，如違反上述任何一項承諾，將給被承諾人的經(jīng)濟(jì)利益、品牌聲譽(yù)造成嚴(yán)重?fù)p失，自愿承擔(dān)以下違約責(zé)任)：5.1Ishallimmediatelystopthebreachofcommitmentandtakeeffectivemeasurestoeliminatetheadverseimpact;5.1立即停止違約行為，并采取有效措施消除不利影響；5.2IshallpayliquidateddamagesofnotlessthanRMB50,000totheCommitmentee(thespecificamountshallbedeterminedaccordingtothedegreeoflosscausedbythebreachofcommitmentandthevalueoftheConfidentialInformation);5.2向被承諾人支付不低于人民幣50000元的違約金（具體金額根據(jù)違約造成的損失程度、保密信息價值等因素確定）；5.3IshallcompensatetheCommitmenteeforalleconomiclossescausedbythebreachofcommitment,includingbutnotlimitedtodirecteconomiclosses,indirecteconomiclossesandrightsprotectioncosts(suchasattorneyfees,litigationfees,investigationandevidencecollectionfees,etc.);5.3賠償被承諾人因違約行為造成的全部經(jīng)濟(jì)損失，包括但不限于直接經(jīng)濟(jì)損失、間接經(jīng)濟(jì)損失及維權(quán)費(fèi)用（如律師費(fèi)、訴訟費(fèi)、調(diào)查取證費(fèi)等）；5.4Ifthebreachofcommitmentconstitutesacrime,Ishallvoluntarilyacceptlegalsanctionsandbearcorrespondingcriminalliabilities.5.4若違約行為構(gòu)成犯罪，自愿接受法律制裁，承擔(dān)相應(yīng)的刑事責(zé)任。6.IconfirmthatIhavecarefullyreadandfullyunderstoodallthecontentsofthisCommitment,clearlyknowthescopeofconfidentialityobligationsandtheconsequencesofbreachofcommitment,andthatthisCommitmentismadevoluntarilybymewithfullwillingness,withoutanycoercionorinducementfromanyparty.6.本人確認(rèn)，已仔細(xì)閱讀并充分理解本承諾書的全部內(nèi)容，明確知曉保密義務(wù)范圍及違約后果，本承諾書系本人在完全自愿的情況下作出，無任何一方的脅迫、誘導(dǎo)情形。7.ThisCommitmenthastwoversions:ChineseandEnglish.Bothversionshavethesamelegaleffect.Incaseofanyinconsistency,ambiguityorconflictbetweenthetwoversionsinwording,interpretationorunderstanding,theChineseversionshallprevail.7.本承諾書包含中文、英文兩個版本，兩個版本具有同等法律效力。若中英文版本在文字表述、解釋或理解上存在不一致、歧義或沖突，以中文版本為準(zhǔn)。8.Anydisputearisingfromtheperformanceo
