1、專項(xiàng)法律服務(wù)協(xié)議Project Legal Service Agreement甲方:xx有限公司乙方:Party A: xParty B: 鑒于甲方想要盡量規(guī)避勞動(dòng)用工風(fēng)險(xiǎn),完善公司的所有人力資源制度;鑒于乙方在企業(yè)勞動(dòng)合規(guī)管理方面有豐富的經(jīng)驗(yàn);Whereas Party A intends to perfect its handbook, try to avoid potential legal risk in human resources field;Whereas party B is experienced in the legal affairs in this field;經(jīng)甲、
2、乙各方友好協(xié)商,就甲方委托乙方提供專項(xiàng)的勞動(dòng)合規(guī)管理方面法律服務(wù)達(dá)成如下協(xié)議:Thus this agreement is signed between the parties on the base of equality through negotiations. 乙方接受甲方委托,指派 律師具體負(fù)責(zé)本次專項(xiàng)法律服務(wù)。Party B appoints its lawyers, to provide legal service to party A for this project. 法律服務(wù)內(nèi)容Scope of the party Bs service為甲方起草新的中英文職工或員工手冊(cè),并
3、全程參加職工或員工手冊(cè)通過(guò)民主程序制定的過(guò)程,包括但不限于指導(dǎo)甲方職工代表的選舉、職工或員工手冊(cè)草案的征求建議或意見(jiàn)通知以及職工或員工反饋建議或意見(jiàn)的收集、召開(kāi)職工代表大會(huì)進(jìn)行建議或意見(jiàn)的答疑、討論通過(guò)職工或員工手冊(cè)的內(nèi)容、職工代表大會(huì)會(huì)議決議的起草、職工或員工手冊(cè)的正式實(shí)施通知以及對(duì)全體職工或員工的告知。Draft employees handbook in both Chinese and English for party A, and participate in the whole procedure from the beginning to the end, including
4、but not limited to: instruct party A to elect employees representatives; asking for employees opinion for the handbook draft, collecting feedback from employees, hold the representatives meeting, answer representatives questions regarding the handbook, discuss the handbook, drafting the meeting minu
5、tes, make the handbook known to all the employees, guarantee the whole procedure is legal and the handbook is effective. 為甲方起草中英文的競(jìng)業(yè)限制協(xié)議、保密協(xié)議,服務(wù)期協(xié)議,解除勞動(dòng)協(xié)議協(xié)議,開(kāi)除信,辭職信和警告信等。Draft the non-competing agreement, confidentiality agreement, service agreement , termination agreement,firing letter, resignation
6、 letter, warning letter and etc. for party A. 為甲方起草中英文勞動(dòng)協(xié)議,并應(yīng)在勞動(dòng)協(xié)議中明確附件包括公司職工或員工手冊(cè)等,確保本次制定的職工或員工手冊(cè)適用今后新進(jìn)的職工或員工。Draft standard labor contract for party A in both English and Chinese, make sure the handbook is applicable to all the future new employees. 回答甲方關(guān)于本法律項(xiàng)目關(guān)于問(wèn)題的咨詢.Answer party As questions reg
7、arding this project.其他與本次專項(xiàng)法律服務(wù)關(guān)于的事宜。Other relevant service. 甲方應(yīng)指派具體聯(lián)系人與乙方承辦律師對(duì)接,并根據(jù)服務(wù)需要提供相應(yīng)的資料文件資料。Party A shall appoint a concrete person to be responsible for this project, and provide party B with relevant documents. 乙方應(yīng)認(rèn)真履行職責(zé),在維護(hù)甲方合法權(quán)益的同時(shí)應(yīng)確保制定的職工或員工手冊(cè)程序合法,起草的所有協(xié)議、勞動(dòng)協(xié)議符合現(xiàn)行法律法規(guī)規(guī)定。The lawyers appo
8、inted by party B shall execute their duties carefully and professionally. While protecting party As legal rights, party B shall guarantee the handbook is in conformity with existing law and regulations. 服務(wù)費(fèi)用及支付方式Service fee and payment1、甲、乙各方確定律師服務(wù)費(fèi)用為人民幣30000元(叁萬(wàn)元),包括第二條所述的全部服務(wù)內(nèi)容。The service fee is
9、30,000 (thirty thousand) RMB, including all the service listed in item 2 of this agreement. 2、甲方應(yīng)在本協(xié)議簽訂后一個(gè)月內(nèi)向乙方支付上述百分之五十的費(fèi)用。在此項(xiàng)服務(wù)履行,甲方驗(yàn)收通過(guò)后,再付百分之五十的費(fèi)用。乙方應(yīng)提供相應(yīng)稅務(wù)發(fā)票。Party A shall pay party B the 50% service fee to the following bank account within 1 month after this agreement is signed. After this ser
10、vice is finished and confirmed by Part A, Part A should pay the remaining service fee which is 50% to Part B. Party B should provide related invoice.乙方賬戶:Party Bs bank account: 開(kāi)戶銀行: 戶名: 賬號(hào):乙方應(yīng)在本協(xié)議生效后日6周內(nèi)向甲方提供第二條中所述的職工或員工手冊(cè)、競(jìng)業(yè)限制協(xié)議、保密協(xié)議、服務(wù)期協(xié)議、解除勞動(dòng)協(xié)議協(xié)議,開(kāi)除信、辭職信、警告書(shū)、勞動(dòng)協(xié)議的初稿,并根據(jù)甲方的修改建議或意見(jiàn)進(jìn)行修改。Party B sha
11、ll provide party A with all the legal documents listed in item 2 of this agreement within 6 weeks after this agreement is signed, and make modifications after communicating with party As HR manager. 七、本協(xié)議以中文和英文書(shū)就,兩種文本具有同等效力。如有分歧,以中文文本為準(zhǔn)。This Agreement is written in both Chinese and English. Both versions shall be equally authentic. In case of any discrepancies, the Chinese version shall prevail.八、本協(xié)議一式兩份,甲、乙各方各執(zhí)一
