14、nd taking off date of the plane and port of destination.12、索賠/Claims:在貨物到達目的地口岸90天內(nèi)，如發(fā)現(xiàn)貨物品質(zhì)、規(guī)格或/和數(shù)量與合同規(guī)定不符合時，除屬于保險公司或航空公司責(zé)任者外，買方有權(quán)憑中國的商品檢驗局出具的檢驗證書向賣方索賠換貨或賠款，因此而發(fā)生之一切費用（包括檢驗費、退貨及換貨運費、保險費、倉儲費及裝卸費）由賣方負(fù)責(zé)。Within 90 days after the arrival of the goods at destination port, the quality, specifications or qu

17、證書簽署之日起12個月內(nèi)運轉(zhuǎn)正常。The Sellers warrants that the machine units shall conform to the specifications and warranties free from defects in material and workmanship for 12 months from signing the Acceptance Certificate.14、人力不可抗拒因素/Force Marjorie:賣方對在設(shè)備制造及運輸期間由人力不可抗拒因素而引起的延遲交貨或不能交貨不負(fù)任何責(zé)任。例如，在出現(xiàn)了戰(zhàn)爭、火災(zāi)、地震、臺風(fēng)、

18、自然災(zāi)害以及其它賣方所不能合理控制的任何意外事故和情況而阻止或干擾了本合同的履行時，賣方應(yīng)立即通知買方所發(fā)生的人力不可抗拒因素，并在14天內(nèi)，通過航空郵件將由事發(fā)當(dāng)?shù)卣畽C關(guān)頒發(fā)的事故證書寄給買方，供其核查。在這種情況下，賣方仍有義務(wù)采取必要措施加快交貨的速度。The Sellers shall not responsible for the delay in shipment or non-delivery of the good due to Force Marjorie, which might occur during the process of manufacturing or i

19、n the course of loading or transit, such as war, fire, flood, earthquake, typhoon, natural catastrophe and all other contingencies and circumstances whatsoever beyond the Sellers reasonable control preventing hindering or interfering with the performance thereof. The Sellers shall advise the Buyers

20、immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances

21、 the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.15、遲交貨罰款/Delayed delivery and Penalty:如賣方不能按合同規(guī)定時間交貨時，除本合同第13條中所述的人力不可抗拒因素造成的延遲交貨外，如賣方同意支付罰款，買方應(yīng)同意推遲交貨期。罰款總額不應(yīng)超過貨物總價的5%。罰款金額為每7天罰%，不滿7天以7天計算。如果交貨期的延遲超過10周，買方有權(quán)要求取消合同，而賣方仍應(yīng)及時支付上述罰款

22、。Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Marjorie causes specified in Clause 13 of this contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty. The penalty, however, shall not exce

23、ed 5% of the total amount the goods involved in the late delivery. The rate of penalty is charged at % for every seven days, odd days less than seven days should be counted as seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipm

24、ent stipulated in the contract, the Buyers shall have the right to cancel the contract, the Sellers in spite of the cancellation shall still pay the aforesaid penalty to the Buyers without delay.16、仲裁/Arbitration:凡有關(guān)執(zhí)行合同所發(fā)生的一切爭執(zhí)，雙方須通過友好協(xié)商解決，雙方如協(xié)商不能解決時，此爭執(zhí)應(yīng)提交設(shè)在中國上海的上海國際金融貿(mào)易仲裁委員會，按該仲裁委員會的仲裁程序進行仲裁。仲裁地點

25、為上海，仲裁委員會的裁決對合同雙方均有約束力。仲裁費用由敗訴方承擔(dān)。All disputes in connection with this contract or the execution thereof shall be settled by friendly negotiation. If no settlement can be reached, the case in dispute shall be submitted to China International Economic and Trade Arbitration Commission in Shanghai in a

26、ccordance with the provisional rules of procedures promulgated by the arbitration commission. The arbitration shall take place in Shanghai, China. Any decision made by the Arbitration Commission shall be accepted as final and binding upon both parties; neither party shall seek recourse to a law cour

27、t or other authorities to appeal for Revision of the decision. Arbitration fee shall be borne by the losing party.17、商品檢驗/Commodities Inspection:貨物到達目的地口岸后，買方應(yīng)申請中國商品檢驗局（以下簡稱為商檢局）就貨物的質(zhì)量、規(guī)格和數(shù)量進行檢驗。如發(fā)現(xiàn)貨物的規(guī)格或數(shù)量與合同不符，除應(yīng)由保險公司或船運公司負(fù)責(zé)的責(zé)任外，買方于貨物到達目的地口岸卸貨后90天內(nèi)憑商檢局出具的檢驗證書有權(quán)拒絕接收貨物或向賣方索賠。After arrival of the goo
