eefforts.由于不可抗力的原因，而不能履行合同或延遲履行合同的一方視不可抗力的實(shí)際影響免除部分或全部違約責(zé)任。但受不可抗力影響的一方應(yīng)在通知可能的情況下立即通知對(duì)方，并在不可抗力發(fā)生后15日內(nèi)特快專遞郵寄相關(guān)的主管部門簽發(fā)的證明文件，以便其他各方審查、確認(rèn)。Becauseoftheforcemajeure,thesidecan'tcarryoutthecontractorpostponecarryingoutthecontractisexemptedfrompartoralltheresponsibilityforbreachingthecontract.Butthesideundertheforcemajeureshouldinformtheothersideinstantlyandaftertheforcemajeure,theyshouldexpressthemailoftherelevantdocumentsbytherelatedadministrativedepartmentswithin15days,sothatallsidescancheckorensureit.發(fā)生不可抗力事件終止或消除后，受不可抗力影響的一方，應(yīng)立即通知對(duì)方，發(fā)生不可抗力事件終止或消除后15日內(nèi)特快專遞郵寄相關(guān)的主管部門簽發(fā)的證明文件確認(rèn)不可抗力事件的終止或消除。Aftertheendingoreliminatingoftheforcemajeure,thesideundertheforcemajeureshouldinformtheothersideinstantlyandexpressthemailoftherelevantdocumentsbytherelatedadministrativedepartmentswithin15daystoensuretheendingoreliminatingoftheenforcemajeure.如果不可抗力的影響持續(xù)超過2個(gè)月，受不可抗力影響的一方應(yīng)與對(duì)方取得聯(lián)系，以便解決進(jìn)一步履行合同的問題。Iftheinfluenceofforcemajeurelastsmorethan12months,thesideundertheforcemajeureshouldcontactwiththeothersidesothattheycansolvetheproblemsincarryingonthecontractfurther.第十五條合同的變更和解除Item15Themodificationandrelievingofthecontract雙方協(xié)商一致可變更或解除本合同。合同變更或解除應(yīng)采取書面形式。Thecontractcanbemodifiedorrelievedonthemutualagreement,anditshouldbedoneinwrittenform。有下列情形之一者，可單方解除合同：Ifitwereononeofthefollowingcircumstances,eithersidecanrelievethecontract:因不可抗力，不能實(shí)現(xiàn)合同目的；Becauseoftheforcemajeure,theycannotrealizethepurposeofthecontract;未經(jīng)雙方書面同意，將合同部分或全部權(quán)利義務(wù)轉(zhuǎn)讓給第三方；Withouttheconsentofthebothsidesinwrittenforms,onesidetransferspartoralltherightsandobligationsofthecontracttoathirdside;在履行期限屆滿之前，一方明確表示或者以自己的行為表明不履行主要債務(wù)；Beforetheexpiryofcarryingoutthecontract,onesideclearlystatesorindicatesbyhisconductthathedon'tperformthemajordebt;一方遲延履行主要債務(wù)，經(jīng)催后在合理期限內(nèi)仍未履行；Onesidepostponesperformingthemajordebt,andhestilldoesn'tperformitinreasonabletimelimitaftertheurging.一方遲延履行債務(wù)或者有其他違約行為致使不能實(shí)現(xiàn)合同目的；Onesidepostponesperformingthemajordebtorhehasotherbehaviorforbreachingthecontractsothatitcan'trealizethepurposeofcontract;法律規(guī)定的其他情形。Othercircumstancesruledbylaw.解除合同方在解除合同時(shí)，應(yīng)履行通知對(duì)方義務(wù)。Thesiderelievingthecontractneedstoinformtheothersidewhenherelievesthecontract.第十六條違約責(zé)任Item16Responsibilityforbreachingthecontract出賣人未按期交付標(biāo)的，每逾期一日，應(yīng)向買受人支付延遲交付標(biāo)的付款金額的5%o的違約金，如出賣人逾期交貨超過7日的，除應(yīng)向買受人支付違約金外，買受人有權(quán)解除合同，并要求出賣人賠償因逾期交貨而造成的損失。Ifthesellerscan'tdeliverthegoodsontime,onedayoverdue,thesellersshouldpay5paymentamountasliquidateddamages,if,thesellersoverduedeliverymorethan7days,besidesaskingthesellerstopayliquidateddamages,thebuyershavetherighttoterminatethecontractandaskthesellerstopaythecompensationforthelosscausedbythelatedelivery.出賣人交付的標(biāo)的不符合合同數(shù)量約定的數(shù)量，出賣人應(yīng)按買受人要求在合理期限內(nèi)補(bǔ)足標(biāo)的數(shù)量，同時(shí)買受人有權(quán)要求出賣人賠償因其不完全履約而造成的損失。Ifthequantityofthemarkdeliveredbythesellersisnotinconformitywiththeagreedamount,thesellersshouldcomplementthemarkwithinareasonabletimeaccordingtotherequirementsofbuyers,atthesametime,thebuyershavetherighttoaskthesellerstopaythecompensationforthelosscausedbytheincompleteperformanceoftheselles.出賣人交付的標(biāo)的不符合合同約定的質(zhì)量，買受人有權(quán)拒收和/或要求更換和/或終止合同，出賣人仍須對(duì)買受人的損失承擔(dān)賠償責(zé)任。在出賣人對(duì)質(zhì)量負(fù)責(zé)的期限內(nèi)，如標(biāo)的出現(xiàn)質(zhì)量問題，出賣人應(yīng)在合理期限內(nèi)負(fù)責(zé)修理、更換或者退貨，因標(biāo)的質(zhì)量問題給買受人造成的經(jīng)濟(jì)損失仍由出賣人承擔(dān)。Ifthequalityofthemarkdeliveredbythesellersisnotinconformitywiththeagreedquality,thebuyershavetherighttorefuseand/orrequirereplacementand/orterminatethecontract,thesellersshouldbeartheliabilityforcompensationoftheloss.Withinthetimelimitthatthesellersresponsibleforthequality,ifoccurqualityproblem,thesellersshouldberesponsibleforrepairing,replacementorreturning,thesellersshouldalsobeartheeconomiclossescausedbythequalityproblemtothebuyer買受人未按期付款，沒逾期一日，應(yīng)向出賣人支付逾期付款金額的5%。的違約金，此項(xiàng)違約總額以預(yù)期付款金額的10%為限。Ifthebuyersfailtopayontime,onedayoverdue,thebuyersshouldpay5%oofthepaymentamountasliquidateddamages,andthistotalamountforbreachingthecontractislimitedto10%oftheexpectedpaymentamount發(fā)生其他違約情形，違約方應(yīng)賠償由此給對(duì)方造成的損失。如屬雙方過錯(cuò)，應(yīng)各自承擔(dān)相應(yīng)責(zé)任。Ifotherscasesoccur,thedefaultsideshouldpaythecompensationforlossescausedtotheotherside.Ifbothsidesfault,theyshouldbearcorrespondingresponsibilityaccordingly.第十七條合同爭議的解決方式Item17Thesolutionofcontractdispute提交仲裁委員會(huì)仲裁。Submittingtoarbitrationcommissiontoarbitrate.向東營人民法院提起訴訟。PosingalawsuittothePeople'sCourtofDongyingCity第十八條其他Item18Others本合同自
