-17-Purchase,DistributionandMarketingAgreement購買分區(qū)銷售合同核心提示：ThisAgreement(Agreement)isenteredintoasof_________(M,D,Y)(theExecutionDate)betweenAAA,Inc.,a_________corporation(AAA),andBBBCorporation,a_________corporation(BBB).PREAMBLEWHEREAS,pursuanttoLicenseAgreementsbyandbetwThisAgreement(Agreement)isenteredintoasof_________(M,D,Y)(theExecutionDate)betweenAAA,Inc.,a_________corporation(AAA),andBBBCorporation,a_________corporation(BBB).PREAMBLEWHEREAS,pursuanttoLicenseAgreementsbyandbetweenCCCInc.(CCC)andAAA(theLicenseAgreements),AAAhastheexclusiverightandlicensewithintheUnitedStatestousethetrademarkDDDandallassociateddesignsandtradedress(together,TheTrademark)inconnectionwiththedesign,manufacture,advertising,saleandpromotionof,amongothers,theproductslistedonExhibitAhereto,eachofwhichwillbearandincludetheTrademark(suchproductsbearingtheTrademarkarehereinafterReferredtoastheProducts);WHEREAS,BBBisaleadingdiscountretailerofvariousconsumerandotherproducts,includingproductssimilartotheProducts;andWHEREAS,AAAdesirestogranttoBBBcertainexclusiverightsandobligationstopurchase,distribute,sell,marketandpromotetheProductsintheUnitedStates,andBBBdesirestoacceptandexercisetheserightsandobligations,uponthetermsandsubjecttotheconditionsofthisAgreement.WHEREAS,simultaneouslywiththeexecutionofthisAgreement,BBBisexecutinganagreementwithEEECorporation,anaffiliateofAAA,asdefinedinSection1.1below(theNewTechAgreement),fortheuseoftheTrademarkonAudioproducts,Videoproducts,Telephones,TelephoneAnsweringMachinesandTelephoneaccessoriesallasspecificallydescribedtherein,whichagreementiscriticaltoBBB‘soverallprogramforuseoftheTrademarkonProductsunderthisAgreementwithAAA,isaprimaryinducementforBBB‘senteringinto,andisacontinuingnecessarycomponentofandpreconditiontoBBB‘sperformanceunderthisAgreementwithAAA.Accordingly,inconsiderationoftheforegoing,andforothergoodandvaluableconsideration,thereceiptandadequacyofwhichareherebyacknowledged,thepartiesheretoherebyagreeasfollows:TERMSANDCONDITIONS1.DEFINITIONSAsusedinthisAgreement,thefollowingtermsshallhavethemeaninggiventothembelow:1.1AffiliatemeansanyPersoninvolvedinasituationwhere,directlyorindirectly,onePersoncontrols,orhasthepowertocontrol,theotherPersonorathirdpartycontrols,orhasthepowertocontrol,bothPersons.1.2DiscountDepartmentStoreshallinclude,withoutlimitation,thePersonslistedonSchedule1.2hereofaswellasalldepartmentstoreswhicharesimilartoDiscountDepartmentStoresintermsofmarketniche,sizeandproductpricingwhichnoworhereaftermayexist.1.3Personshallincludeanyindividual,corporation,partnership,association,cooperative,jointventure,oranyotherformofbusinessentityrecognizedunderthelaw.1.4saleshallmeananyactioninvolvingselling.1.5sellshallmeanto,directlyorindirectly,sell,distribute,supply,solicitoracceptordersfor,negotiateforthesaleordistributionof,ortakeanyotheractionthatisinfurtheranceof,anyoftheforegoing.Sellalsoincludesanyotherformsofthatverb,whetheractiveorpassive,orinthepast,present,orfuturetense.1.6UnitedStatesshallmeantheUnitedStatesofAmerica,includingPuertoRicoandGuam.2.APPOINTMENT2.1AppointmentbyAAA;AcceptancebyBBB.SubjecttotheprovisionsofthisAgreement,AAAherebyappointsBBBasthesoleandexclusiveDiscountDepartmentStoretopurchase,distribute,sell,marketandpromotetheProductsintheUnitedStatesandBBBherebyacceptssuchappointment.TherightsgrantedtoBBBunderthisAgreementshallhereinaftercollectivelybereferredtoastheRight.NootherDiscountDepartmentStoreshallhaveanysuchRightduringtheTermofthisAgreementand/oranyextensionorrenewalthereof,regardlessofsource(i.e.,whetherfromAAAoranyotherentity)subjecttoSections10.4and10.5hereof.Notwithstandingtheforegoing,nothinginthisAgreementshallbedeemedtoprecludethesaleofProducts(i)byentitiesorstoresotherthanDiscountDepartmentStoresincluding,withoutlimitation,retaildepartmentstores,specialtyhousewares,gourmetandkitchenstoresandnationalcabletelevisionprogramsor(ii)byanyPersonoutsidetheUnitedStates.Furthermore,nothinginthisAgreementshallprecludeBBBfrompurchasingproductsofthetypelistedonExhibitAheretofromanysourcesotherthanAAAifsuchproductsdonotbearorincludeorarenotsoldundertheTrademark,andnopaymentsshallbeduetoAAAhereunderinrespectofsuchsales.2.2TerritorialLimitations.AAAcovenantsandagreesthat,duringthetermofthisAgreementoruntilthisAgreementisterminatedinaccordancewiththeprovisionsofArticle10below:2.2.1AAAshallnot,directlyorindirectly,sellanyProducttoaDiscountDepartmentStoreintheUnitedStates,subjecttoSections10.4and10.5hereof.2.2.2ExceptwiththepriorwrittenconsentofAAA(whichconsentmayberefusedinthesole,absoluteandarbitrarydiscretionofAAA),BBBshallnotsellanyProducttoanyPersonoutsidetheUnitedStates.TheUnitedStatesincludesPuertoRicoandGuam.2.2.3ThepartiesacknowledgeandagreethattherelationshipherebyestablishedbetweenBBBandAAAissolelythatofbuyerandsellerofgoodsthateachisanindependentcontractorengagedintheoperationofitsownrespectivebusiness,thatneitherpartyshallbeconsideredtobetheagentoftheotherpartyforanypurposewhatsoever,exceptasotherwiseexpresslyindicatedinthisAgreement,andthat,exceptasotherwiseexpresslyindicatedinthisAgreement,neitherpartyhasanyauthoritytoenterintoanycontract,assumeanyobligationsormakeanywarrantiesorrepresentationsonbehalfoftheotherparty.NothinginthisAgreementshallbeconstruedtoestablishapartnershiporjointventurerelationshipbetweenAAAandBBB.NothinginthisAgreementshallbedeemedinanywaytoconstituteasublicensebyAAAofitsrightsundertheLicenseAgreement,andtherelationshipbetweenthepartiesheretoshallatalltimesbeassetforthinthisparagraph.3.REPRESENTATIONSANDWARRANTIESOFAAA3.1AAArepresentsandwarrantstoBBBasfollows:3.1.1Organization,PowerandAuthority.ItisdulyorganizedandvalidlyexistingunderthelawsoftheStateof_________,hasallrequisitepowerandauthoritytoconductitsbusinessasnow,andasproposedtobe,conductedandtoexecute,deliverandperformitsobligationsunderthisAgreement.ThisAgreementhasbeendulyauthorized,executedanddeliveredbyAAAandrepresentsavalidandbindingobligationenforceableagainstAAAinaccordancewithitsterms.3.1.2NoConflicts;Consents.Executionanddeliveryhereof,orperformancebyAAAhereunder,shallnot(a)violateorcreateadefaultunder(i)AAA’sCertificateofIncorporationorby-laws(trueandcorrectcopiesofwhichhavebeendeliveredtoBBB),(ii)anymortgage,indenture,agreement,noteorotherinstrumenttowhichitisapartyortowhichitsassetsaresubjectincluding,withoutlimitation,theLicenseAgreementor(iii)anycourtorderordecreeorothergovernmentaldirectiveor(b)resultintheactionofanylien,chargeorencumbranceonanymaterialportionofAAA’sassets,exceptascontemplatedhereby.3.1.3Brokers.Nobroker,investmentbanker,financialadvisororotherpersonisentitledtoanybroker’s,finder’s,financialadvisor’sorothersimilarfeeorcommissioninconnectionwiththetransactionscontemplatedbythisAgreementbaseduponarrangementsmadebyoronbehalfofAAA.3.1.4Trademark/CompliancewithLaws.IthasthecontractualrightandauthoritytousetheTrademarkfortheProductsasprovidedinthisAgreementandtogranttoBBBallrightswhicharesetforthinthisAgreementincludingbutnotlimitedtotheRightdescribedinSection2.1herein,includingbutnotlimitedto,therighttoimportallProductsintotheUnitedStatesforthefulldurationofthisAgreement;andAAAshallprovideU.S.CustomswithsufficientproofanddocumentationtoenableBBBtodoso.(Notwithstandingtheforegoing,AAAshallhaveuptoten(10)businessdaystocorrectanysuchU.S.CustomsProblemswhichdonotaffectBBB‘sabilitytousetheTrademarkinconnectionwiththesaleofanyoftheProductspursuanttothisAgreement.)Inaddition,nootherDiscountDepartmentStoreshallhavetherighttousetheTrademarkinconnectionwiththesaleofanyoftheProductsorsellProductsbearingtheTrademarkorhaveanyofBBB‘srightshereunderduringtheTermofthisAgreementandanyrenewaland/orextensionhereof.Furthermore,thisAgreementaswellasAAA’sperformancehereundershallbeincompliancewithallapplicablelaws,rulesandregulationsotherthanimmaterialviolations.AnyclaimwhichBBBreasonablybelievesimpairsorwouldimpairBBB‘sabilitytoreceiveanyofthebenefitsofthisAgreement,oranyfailureunderthisAgreementand/orundertheNewTechAgreementwithrespecttothis(ortheAAAAgreement’s)Section3.1.4and/orSection2.1,whethersuchfailurerelatestoanyorallProducts,shallentitleBBB,inadditiontoallotherrightsandremedies,withoutresorttothenoticeandcurerequirementsunderSection10.3herein,toimmediatelyterminatethisAgreementandowenothingtoAAAexceptforpaymentforProductsacceptedandsoldbyBBBthroughthedateoftermination.3.1.5Qualifications.ThroughouttheTermofthisAgreementandanyrenewalorextensionhereof,AAAshallcomplywiththefollowingrequirements:a.NewVendorPacketCompliance.AAAmusthaveexecutedanddeliveredtoBBBalldocumentsrequiredbyBBB‘sNewVendorPacket,including,butnotlimitedto,BBB‘sagreementonstandardpurchaseordertermsandconditionsattachedasExhibitB(collectively,theRelatedDocuments)andmustcurrentlybeinfullcompliancewiththesameexceptasrequiredbythisAgreement.AAA’sexecutionofthisAgreementshallconstituteAAA’sacceptanceofandagreementtothetermsandconditionscontainedinalloftheRelatedDocumentstotheextentnotinconsistentwiththetermsofthisAgreement.b.BBBCorporationCodeofBusinessConduct.AAAmustbeinfullcompliancewiththeBBBCodeofBusinessConductandallapplicablelaws,rulesandregulations,includingbutnotlimitedtochild,forced,andprisonlaborlawsandmustnothaveviolatedtheCodeofBusinessConductorapplicablelawsduringthetwelvecalendarmonthsprecedingthedateofexecutionofthisAgreement.c.ContinuingBusinessConductwithBBBForeignSubsidiariesandOperations.AAAmustnotrestrictorcurtailinanywayitshistoricalbusinesspracticesandcourseofdealingwithBBB‘sforeignsubsidiariesandotherforeignoperationsifanyexisted.d.IndustryPerformance.AAAmustataminimummeetnormalindustrystandardsforperformanceregardingtimingandcompletionlevelsoffillrateswithoutsubstitutions.e.ElectronicDataInterchange.AAAmustaccommodateandparticipateinBBB‘selectronicdatainterchangeprogram.4.REPRESENTATIONSANDWARRANTIESOFBBB4.1BBBrepresentsandwarrantstoAAAasfollows:4.1.1Organization,PowerandAuthority.ItisdulyorganizedandvalidlyexistingunderthelawsoftheStateof_________,hasallrequisitepowerandauthoritytoconductitsbusinessasnow,andasproposedtobe,conductedandtoexecute,deliverandperform
