3ExclusiveAgencyAgreement本協(xié)議于 年 月 日在 點(diǎn)由有關(guān)雙方在公平互利根底上達(dá)成，按雙方同意的以下條件進(jìn)展業(yè)務(wù)關(guān)系：Thisagreementismadeandenteredintobyandbetweenthepartiesconcernedon (Date)in (Place)onthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollows:1.協(xié)議雙方1.ThePartiesConcerned甲方：乙方： PartyA:PartyB: 地址：地址： Add:：86-21-31335237Add: ： Tel: 86-21-31335237Tel: ：86-21-31335248： Fax: 86-21-31335248Fax: 2.委任2.Appointment單，乙方承受上述委任。PartyAherebyappointsPartyBasitsExclusiveAgenttosolicitordersfortheCommoditystipulatedinArticle3fromcustomersintheTerritorystipulatedinArticle4,andPartyBacceptsandassumessuchappointment.3.代理商品：Commodity:代理區(qū)域：僅限于韓國(guó)Territory:In_Korea only.4.價(jià)格與支付6.PriceandPayment每一筆交易的貨物價(jià)格應(yīng)由乙方與買主通過(guò)談判確定，并須經(jīng)甲方最終確認(rèn)。用保兌的、不行撤銷的信用證，由買方開(kāi)出，以甲方為受益人。信用證須在裝運(yùn)日期前_30 天到達(dá)甲方。ThepriceforeachindividualtransactionshallbefixedthroughnegotiationsbetweenPartyBandthebuyer,andsubjecttoPartyA”sfinalconfirmation.Paymentshallbemadebyconfirmed,irrevocableL/CopenedbythebuyerinfavorofPartyA,whichshallreachPartyA30daysbeforethedateofshipment.5.商情報(bào)告7.MarketReport市場(chǎng)報(bào)告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)胤竭€擔(dān)當(dāng)向甲方供給其他供給商類似商品的報(bào)價(jià)和廣告資料。InordertokeepPartyAwellinformedoftheprevailingmarketconditions,PartyBshallsupplyPartyA,atleastonceaquarteroratanytimewhennecessary,withmarketreportsconcerningchangesofthelocalregulationsinconnectionwiththeimportandsalesoftheCommoditycoveredbythisagreement,localmarkettendencyandthebuyer”scommentsonquality,packing,price,etc.ofthegoodssuppliedbyPartyAunderthisagreement.PartyBshallalsosupplyPartyAwithquotationsandadvertisingmaterialsonsimilarproductsofothersuppliers.6.廣告及費(fèi)用8.AdvertisingandExpenses交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。PartyAshallbearallexpensesforadvertisingandpublicityinconnectionwiththeCommodityinKoreawithinthevalidityofthisagreement,andshallsubmittoPartyAallaudioandvideomaterialsintendedforadvertisingforpriorapprovalofPartyA.7.傭金9.Commission對(duì)乙方直接獵取并經(jīng)甲方確認(rèn)承受的訂單，甲方按發(fā)票售價(jià)向乙方支付 %的傭金。傭金在甲方收到每筆訂單的全部貨款后 天內(nèi)向乙方支付。PartyAshallpayPartyBacommissionof %ontheinvoicedsellingpriceonallordersdirectlyobtainedbyPartyBandacceptedbypartyA.Foreachorder,PartyAshallpaidthecommissiontoPartyBwithin daysfromthedatePartyAreceivesthefullpaymentforsuchorder.8.工業(yè)產(chǎn)權(quán)10.IndustrialPropertyRightsPartyBmayusethetrade-marksownedbyPartyAforthesaleoftheCommoditycoveredhereinwithinthevalidityofthisagreement,andshallacknowledgethatallpatents,trademarks,copyrightsoranyotherindustrialpropertyrightsusedorembodiedintheCommodityshallremaintobethesolepropertiesofPartyA.Shouldanyinfringementbefound,PartyBshallpromptlynotifyandassistPartyAtotakestepstoprotectthelatter”srights.9.協(xié)議有效期11.ValidityofAgreement本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效有效期為年從年月 本協(xié)議期滿后將延長(zhǎng)個(gè)月。Thisagreement,whendulysignedbythebothpartiesconcerned,shallremaineffectfor monthsfrom (date)to (date),anditshallbeextendedforanothermonthsuponexpirationunlessnoticeinwritingisgiventothecontrary.10.協(xié)議的終止12.Termination在本協(xié)議有效期內(nèi)，假設(shè)一方被覺(jué)察違反協(xié)議條款，另一方有權(quán)終止協(xié)議。Duringthevalidityofthisagreement,ifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethisagreement.11.不行抗力13.ForceMajeure15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不行抗力大事的證明寄交對(duì)方。Eitherpartyshallnotberesponsibleforfailureordelaytoperformalloranypartofthisagreementdueto flood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelevantparty. However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftershallsendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.12.爭(zhēng)議解決14.DisputeResolution中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)上海分會(huì)，依據(jù)申請(qǐng)仲裁時(shí)該會(huì)實(shí)施的仲裁規(guī)章進(jìn)展仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。AnydisputearisingfromorinconnectionwiththisagreementshallfirstbeattemptedtoberesolvedthroughdiscussionsandconsultationsbetweenthePartiesingoodfaith.Ifthedisputeremainsunresolveduponexpirationof30daysafterwrittennoticehasbeensentbyonePartytotheotherParty,thedisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission,Shanghai Sub-Commission for arbitration, which shall be conducted inaccordancewiththeCommission”sarbitrationrulesineffectatthetimeofapplyingforarbitration.ThearbitralawardisfinalandbindinguponbothParties.13.語(yǔ)言15.Language本合同以中英文書就，如中英文內(nèi)容存在不全都，已中文為準(zhǔn)ThisagreementismadeinbothChinese.Intheeventofanydiscrepancybetweenthetwoversions,theChineseversionshallprevail.14.管轄法律16.GoverningLaw本協(xié)議受中華人民共和國(guó)法律管轄并按中華人民共和國(guó)法律解釋。Thisagreementshallbegoverned,construedandinterpretedinaccordancewiththe
