Definitions

IntheConditionsofContract( "TheseConditions"),whichincludeParticular

ConditionsandtheseGeneralConditions,thefollowingwordsandexpressionsshallhavethemeaningsstated.Wordsindicatingpersonsorpartiesincludecorporationsandotherlegalentities,exceptwherethecontextrequiresotherwise.

1.1.1

TheContract

aContract"meanstheContractAgreement,theseConditions,Employer'sRequirements,theTenderandthefurtherdocuments(ifany)whicharelistedintheContractAgreement.

aContractAgreement"meansthecontractagreementreferredtoinSub-Clause1.6[ContractAgreement],includinganyannexedmemoranda.

"Employer'sRequirements"meansthedocumententitledemployer 's

requirements,asincludedintheContract,andanyadditionsandmodificationstosuchdocumentinaccordancewiththeContract.Such

documentspecifiesthepurpose,scope,and/ordesignand/orothertechnicalcriteria,fortheWorks.

"Tender"meanstheContractor'ssignedofferfortheWorksandallotherdocumentswhichtheContractorsubmittedtherewith(otherthan

theseConditionsandtheEmployer'sRequirements,ifsosubmitted),asincludedintheContract.

aPerformanceGuarantees"andaScheduleofPayments"meanthedocumentssonamed(ifany),asincludedintheContract.

1.1.2

PartiesandPersons

"Party"meanstheEmployerortheContractor,asthecontextrequires.

aEmployer"meansthepersonnamedasemployerintheContractAgreementandthelegalsuccessorsintitletothisperson.

aContractor"meanstheperson(s)namedascontractorintheContractAgreementandthelegalsuccessorsintitletothisperson(s).

aEmployer'sRepresentative"meansthepersonnamedbytheEmployerintheContractorappointedfromtimetotimebytheEmployerunderSub-Clause3.1[TheEmployer'sRepresentative],whoactsonbehalfoftheEmployer.

aContractor'sRepresentative"meansthepersonnamedbythe

ContractorintheContractorappointedfromtimetotimebytheContractorunderSub-Clause4.3[Contractor'sRepresentative],whoactsonbehalfoftheContractor.

aEmployer'sPersonnel"meanstheEmployer'sRepresentative,theassistantsreferredtointheSub-Clause3.2[OtherEmployer'sPersonnel]andallotherstaff,labourandotheremployeesoftheEmployerandoftheEmployer'sRepresentative;andanyotherpersonnelnotifiedtotheContractor,bytheEmployerortheEmployer 'sRepresentative,

asEmployer'sPersonnel.

aContractor'sPersonnel"meanstheContractor'sRepresentativeandallpersonnelwhomtheContractorutilizesonSite,whomayincludethestaff,labourandotheremployeesoftheContractorandofeachSubcontractor;andanyotherpersonnelassistingtheContractorintheexecutionoftheWorks.

aSubcontractor"meansanypersonnamedintheContractasasubcontractor,oranypersonappointedasasubcontractor,forapartoftheWorks,andthelegalsuccessorsintitletoeachofthesepersons.

"DAE?meansthepersonorthreepersonssonamedintheContract,or

otherperson(s)appointedunderSub-Clause20.2[Appointmentofthe

DisputeAdjudicationBoard]orSub-Clause20.3[FailuretoAgreeDisputeAdjudicationBoard].

"FIDIC"meanstheFederationInternationaledesIngenieurs-Conseils,theInternationalfederationpfconsultingengineers.

Dates,Tests,PeriodsandCompletion

"BaseDate"meansthedate28dayspriortothelatestdateforsubmissionoftheTender.

aCommencementDate"meansthedatenotifiedunderSub-Clause8.1[CommencementofWorks],unlessotherwisedefinedintheContractAgreement.

"TimeforCompletion"meansthetimeforcompletingtheWorksoraSection(asthecasemaybe)underSub-Clause8.2[TimeforCompletion],asstatedintheParticularConditions(withanyextensionunderSub-Clause8.4[ExtensionofTimeforCompletion],calculatedfromtheCommencementDate.

"TestsonCompletion"meansthetestswhicharespecifiedintheContractoragreedbybothPartiesorinstructedasaVariation, andwhich

arecarriedoutunderClause9[TestsonCompletion]beforetheWorksoraSection(asthecasemaybe)aretakenoverbytheEmployer.

"Taking-OverCertificate"meansacertificateissuedunderClause10

[Employer'sTakingOver].

"TestsafterCompletion"meansthetests(ifany)whicharespecifiedintheContractandwhicharecarriedoutunderClause12[TestsafterCompletion]aftertheWorksoraSection(asthecasemaybe)aretaken

overbytheEmployer.

aDefectsNotificationPeriod"meanstheperiodfornotifyingdefectsintheWorksoraSection(asthecasemaybe)underSub-Clause11.1[CompletionofOutstandingWorkandRemedyingDefects],asstatedintheParticularConditions(withanyextensionunderSub-Clause11.3[ExtensionofDefectsNotificationPeriod]),calculatedfromthedate

onwhichtheWorksorSectioniscompletedascertifiedunderSub-Clause

[TakingOveroftheWorksandSections].IfnosuchperiodisstatedintheParticularConditions,theperiodshallbeoneyear.

aPerformanceCertificate"meansthecertificateissuedunderSub-Clause11.9[PerformanceCertificate].

"day"meansacalendardayand"year"means365days.

MoneyandPayments

aContract Price"meanstheagreedamountstatedintheContract

Agreementforthedesign,executionandcompletionoftheWorksand

remedyingofanydefects,andincludedadjustments(ifany)inaccordancewiththeContract.

"Cost"meansallexpenditurereasonablyincurred(ortobeincurred)bytheContractor,whetheronorofftheSite,includingoverheadandsimilarcharges,butdoesnotincludeprofit.

"FinalStatement"meansthestatementdefinedinSub-Clause14.11[ApplicationforFinalPayment].

aForeignCurrency"meansacurrencyinwhichpartof(orall)oftheContractPriceispayable,butnottheLocalCurrency.

"LocalCurrency"meansthecurrencyoftheCountry.

aProvisional Sunnmeansasum(ifany)whichisspecifiedinthe

Contractasaprovisionalsum,fortheexecutionofanypartoftheWorksorforthesupplyofplant,MaterialsorservicesunderSub-Clause13.5

[ProvisionalSum].

aRetentionMoney"meanstheaccumulatedretentionmoneyswhichtheEmployerretainsunderSub-Clause14.3[ApplicationforInterimPayments]andpaysunderSub-Clause14.9[PaymentofRetentionMoney].

aStatement"meansastatementsubmittedbytheContractoraspartof

anapplicatio0nforpaymentunderClause14[ContractPriceandPayment].

WorksandGoods

aContractor'sEquipment"meansallapparatus,machinery,vehiclesandotherthingsrequiredfortheexecutionandcompletionoftheWorksand

theremedyingofanydefects.However,Contractor'sEquipmentexcludesTemporaryWorks,Employer'sEquipment(ifany),Plant,MaterialsandanyotherthingsintendedtoformorformingpartofthePermanentWorks.

"Goods"meansContractor'sEquipment,Materials,PlantandTemporaryWorks,oranyofthemasappropriate.

aMaterials"meansthingsofallkinds(otherthanPlant)intendedtoformorformingpartofthePermanentWorks,includingthesupply-onlymaterials(ifany)tobesuppliedbytheContractorundertheContract.

aPermanentWorks"meansthepermanentworkstobedesignedandexecutedbytheContractorundertheContract.

"Plant"meanstheapparatus,machineryandvehiclesintendedtoformorformingpartofthePermanentWorks.

aSection"meansapartoftheWorksspecifiedintheParticularConditionsasaSection(ifany).

"TemporaryWorks"meansalltemporaryworksofeverykind(otherthanContractor'sEquipment)requiredonSitefortheexecutionandcompletionofthePermanentWorksandtheremedyingofanydefects.

"Works"meanthePermanentWorksandtheTemporaryWorks,oreitherofthemasappropriate.

1.1.6OtherDefinitions

aContractor'sDocuments"meansthecalculations,computerprogramsandothersoftware,drawings,manuals,modelsandotherdocumentsofa

technicalnaturesuppliedbytheContractorundertheContract;asdescribedinSub-Clause5.2[Contractor 'sDocuments].

aCountry"meansthecountryinwhichtheSite(ormostofit)islocated,wherethePermanentWorksaretobeexecuted.

aEmployer'sEquipment"meanstheapparatus,machineryandvehicles(ifany)madeavailablebytheEmployerfortheuseoftheContractor

intheexecutionoftheWorks,asstatedintheEmployer'sRequirements;butdoesnotincludePlantwhichhasnotbeentakenoverbytheEmployer.

"ForceMajeure"isdefinedinClause19[ForceMajeure].

"Laws"meansallnational(orstate)legislation,statutes,ordinancesandotherlaws,andregulationsandby-lawsofanylegallyconstituted

publicauthority.

aPerformanceSecurity"meansthesecurity(orsecurities,ifany)underSub-Clause4.2[PerformanceSecurity].

"Site"meanstheplaceswherethePermanentWorksaretobeexecuted

andtowhichPlantandMaterialsaretobedelivered,andanyotherplacesasmaybespecifiedintheContractasformingpartoftheSite.

aVariation "meansanychangetotheEmployer'sRequirementsorthe

Works,whichisinstructedorapprovedasavariationunderClause13(VariationsandAdjustments).

Interpretation

IntheContract,Exceptwherethecontextrequiresotherwise:

Wordsindicatingonegenderincludeallgenders;

Wordsindicatingthesingularalsoincludethepluralandwordsindicatingthepluralalsoincludethesingular;

Provisionsincludingtheword "agree”, "agreed"oraagreement"require

theagreementtoberecordedinwriting,and

"Written"or"inwriting"meanshand-written,type-written,printedorelectronicallymade,andresultinginapermanentrecord.

Themarginalwordsandotherheadingsshallnot betakenintoconsiderationinthe

interpretationoftheseconditions.

Communications

WherevertheseConditionsprovideforgivingorissuingofapprovals,certificates,consents,determinations,noticesandrequests,thesecommunicationsshallbe:

inwritinganddeliveredbyhand(againstreceipt),sentbymailorcourier,

ortransmittedusinganyoftheagreedsystemsofelectronictransmissionasstatedintheParticularConditions;and

delivered,sentortransmittedtotheaddressfortherecipient'scommunicationsasstatedintheContract.However:

iftherecipientgivesnoticeofanotheraddress,communicationsshallthereafterbedeliveredaccordingly;and

iftherecipienthasnotstatedotherwisewhenrequestinganapprovalorconsent,itmaybesenttotheaddressfromwhichtherequestwasissued.

Approvals,certificates,consentsanddeterminationsshallnotbeunreasonablywithheldordelayed.

1.4

LawandLanguage

TheContractshallbegovernedbythelawofthecountry(orotherjurisdiction)statedintheParticularConditions.

IfthereareversionsofanypartoftheContractwhicharewritteninmorethanonelanguage,theversionwhichisintherulinglanguagestatedintheParticularConditionsshallprevail.

ThelanguageforcommunicationsshallbethatstatedintheParticularConditions.Ifnolanguageisstatedthere,thelanguageforcommunicationsshallbethelanguageinwhichtheContract(ormostofit)iswritten.

PriorityofDocuments

ThedocumentsformingtheContractaretobetakenasmutuallyexplanatoryofoneanother.Forthepurposeofinterpretation,thepriorityofthedocumentsshallbeinaccordancewiththefollowingsequence:

theContractAgreement,

theParticularConditions,

theseGeneralConditions,

theEmployer'sRequirements,

theTenderandanyotherdocumentsformingpartoftheContract.

ContractAgreement

TheContractshallcomeintoforceandeffectonthedatestatedintheContractAgreement.Thecostsofstampdutiesandsimilarcharges(ifany)imposedbylawinconnectionwithentryintotheContractAgreementshallbebornebytheEmployer.

Assignment

NeitherPartyshallassignthewholeoranypartoftheContractoranybenefitorinterestinorundertheContract.However,eitherParty:

mayassignthewholeoranypartwiththeprioragreementoftheotherParty,atthesolediscretionofsuchotherParty,and

may,assecurityinfavourofabankorfinancialinstitution,assigntherighttoanymoneysdue,ortobecomedue,undertheContract.

CareandSupplyofDocuments

EachoftheContractor'sDocumentsshallbeinthecustodyandcareoftheContractor,unlessanduntiltakenoverbytheEmployer.UnlessotherwisestatedintheContract,theContractorshallsupplytotheEmployersixcopiesofeachoftheContractor'sDocuments.

TheContractorshallkeep,ontheSite,acopyoftheContract,publicationsnamedintheEmployer'sRequirements,theContractor'sDocuments,andVariationsandothercommunicationsgivenundertheContract.TheEmployer'sPersonnelshallhavetherightofaccesstoallthesedocumentsatallreasonabletimes.

IfaPartybecomesawareofanerrorordefectofatechnicalnatureinadocumentwhichwaspreparedforuseinexecutingtheWorks,thePartyshallpromptlygivenoticetotheotherPartyofsucherrorordefect.

Confidentiality

BothPartiesshalltreatthedetailsoftheContractasprivateandconfidential,excepttotheextentnecessarytocarryoutobligationsunderitortocomplywithapplicableLaws.TheContractorshallnotpublish,permittobepublished,ordiscloseanyparticularsofthe Worksinanytradeortechnicalpaperorelsewhere

withoutthepreviousagreementoftheEmployer.

Employer'sUseofContractor'sDocuments

AsbetweentheParties,theContractorshallretainthecopyrightandotherintellectualpropertyrightsintheContractor'sDocumentsandotherdesigndocumentsmadeby(oronbehalfof)theContractor.

TheContractorshallbedeemed(bysigningtheContract)togivetotheEmployeranon-terminabletransferablenon-exclusiveroyalty-freelicencetocopy,useandcommunicatetheContractor'sDocuments,includingmakingandusingmodificationsofthem.Thislicenceshall:

applythroughouttheactualorintendedworkinglife(whicheverislonger)oftherelevantpartsoftheWorks,

entitleanypersoninproperpossessionoftherelevantpartoftheWorksto

copy,useandcommunicatetheContractor'sDocumentsforthepurposeofcompleting,operating,maintaining,altering,adjusting,repairinganddemolishingtheWorks,and

inthecaseofContractor'sDocumentswhichareintheformofcomputerprogramsandothersoftware,permittheiruseonanycomputerontheSiteandotherplacesasenvisagedbytheContract,includingreplacementsofanycomputerssuppliedbytheContractor.

TheContractor'sDocumentsandotherdesigndocumentsmadeby(oronbehalfof)theContractorshallnot,withouttheContractor 'sconsent,beused,copiedor

communicatedtoathirdpartyby(oronbehalfof)theEmployerforpurposesotherthanthosepermittedunderthisSub-Clause.

Contractor'sUseofEmployer'sDocuments

AsbetweentheParties,theEmployershallretainthecopyrightandotherintellectualpropertyrightsintheEmployer 'sRequirementsandotherdocuments

madeby(oronbehalfof)theEmployer.TheContractormay,athiscost,copy,use,andobtaincommunicationofthesedocumentsforthepurposesoftheContract.

Theyshallnot,withouttheEmployer'sconsent,becopied,usedorcommunicatedtoathirdpartybytheContractor,exceptasnecessaryforthepurposesoftheContract.

ConfidentialDetails

TheContractorshallnotberequiredtodisclose,totheEmployer,anyinformationwhichtheContractordescribedintheTenderasbeingconfidential.TheContractorshalldiscloseanyotherinformationwhichtheEmployermayreasonablyrequireinordertoverifytheContractor 'scompliancewiththeContract.

CompliancewithLaws

TheContractorshall,inperformingtheContract,complywithapplicableLaws.

UnlessotherwisestatedintheParticularConditions:

theEmployershallhaveobtained(orshallobtain)theplanning,zoningorsimilarpermissionforthePermanentWorks,anyotherpermissiondescribedin

theEmployer'sRequirementsashavingbeen(orbeing)obtainedbytheEmployer;andtheEmployershallindemnifyandholdtheContractorharmlessagainstandfromtheconsequencesofanyfailuretodoso;and

theContractorshallgiveallnotices, payalltaxes,dutiesandfees,andobtain

allpermits,licencesandapprovals, asrequiredbytheLawsinrelationtothe

design,executionandcompletionoftheWorksandtheremedyingofanydefects;andtheContractorshallindemnifyandholdtheEmployerharmlessagainstand

fromtheconsequencesofanyfailuretodoso.

JointandSeveralLiability

IftheContractorconstitutes(underapplicableLaws)ajointventure,consortiumorotherunincorporatedgroupingoftwoormorepersons:

thesepersonsshallbedeemedtobejointlyandseverallyliabletotheEmployerfortheperformanceoftheContract;

thesepersonsshallnotifytheEmployeroftheirleaderwhoshallhaveauthoritytobindtheContractorandeachofthesepersons;and

theContractorshallnotalteritscompositionorlegalstatuswithoutthepriorconsentoftheEmployer.

2TheEmployer

RightofAccesstotheSite

TheEmployershallgivetheContractorrightofaccessto,andpossessionof,allpartsoftheSitewithinthetime(ortimes)statedintheParticularConditions.

TherightandpossessionmaynotbeexclusivetotheContractor.If,undertheContract,theEmployerisrequiredtogive(totheContractor)possessionofanyfoundation,structure,plantormeansofaccess,theEmployershalldosointhe

timeandmannerstatedintheEmployer'sRequirements.However,theEmployermaywithholdanysuchrightorpossessionuntilthePerformanceSecurityhasbeenreceived.

IfnosuchtimeisstatedintheParticularConditions,theEmployershallgivetheContractorrightofaccessto,andpossessionof,thesitewitheffectfromtheCommencementDate.

IftheContractorsuffersdelayand/orincursCostasaresultafailurebythe

Employertogive anysuchright orpossessionwithin suchtime, the Contractorshall

givenoticeto theEmployer andshallbeentitledsubject to Sub-Clause20.1

[Contractor'sClaims]to:

anextensionoftimeforsuchdelay,ifcompletionisorwillbedelayed,underSub-Clause8.4[ExtensionofTimeforCompletion],and

paymentofsuchCostplusreasonableprofit,whichshallbeaddedtotheContractPrice.

Afterreceivingthisnotice,theEmployershallproceedinaccordancewithSub-Clause3.5[Determinations]toagreeordeterminethesematters.

However,ifandtotheextentthattheEmployer 'sfailurewascausedbyanyerror

ordelaybytheContractor,includinganerrorin,ordelayinthesubmissionof,anyoftheContractor'sDocuments,theContractorshallnotbeentitledtosuchextensionoftime,Costorprofit.

Permits,LicencesorApprovals

TheEmployershall(whereheisinapositiontodoso)providereasonableassistancetotheContractorattherequestoftheContractor:

byobtainingcopiesoftheLawsoftheCountrywhicharerelevanttotheContractbutarenotreadilyavailable,and

fortheContractor'sapplicationsforanypermits,licencesorapprovalsrequiredbytheLawsoftheCountry:

whichtheContractorisrequiredtoobtainunderSub-Clause1.13[CompliancewithLaws],

forthedeliveryofGoods,includingclearancethroughcustoms,and

fortheexportofContractor 'sEquipmentwhenitisremovedfromthe

Site.

Employer'sPersonnel

TheEmployershallberesponsibleforensuringthattheEmployer 'sPersonneland

theEmployer'sothercontractorsontheSite:(a)co-operatewiththeContractor'seffortsunderSub-Clause4.6[Co-operation],

and

(b)takeactionssimilartothosewhichtheContractorisrequiredtotakeundersub-paragraphs(a),(b)and(c)ofSub-Clause4.8[SafetyProcedures]andunderSub-Clause4.18[ProtectionoftheEnvironment].

Employer'sFinancialArrangements

TheEmployershallsubmit,within28daysafterreceivinganyrequestfromthe

Contractor,reasonableevidencethatfinancialarrangementshavebeenmadeandarebeingmaintainedwhichwillenabletheEmployertopaytheContractPrice(asestimatedatthattime)inaccordancewithClause14[ContractPriceandPayment].IftheEmployerintendstomakeanymaterialschangetohisfinancialarrangements,theEmployershallgivenoticetotheContractorwithdetailedparticulars.

Employer'sClaims

IftheEmployerconsidershimselftobeentitledtoanypaymentunderanyClauseoftheseConditionsorotherwiseinconnectionwiththeContract,and/ortoanyextensionoftheDefectsNotificationPeriod,heshallgivenoticeandparticularstotheContractor.However,noticeisnotrequiredforpaymentsdueunderSub-Clause4.19[Electricity,WaterandGas],underSub-Clause4.20[Employer'sEquipmentandFree-IssueMaterial],orforotherservicesrequestedbytheContractor.

ThenoticeshallbegivenassoonaspracticableaftertheEmployerbecameawareoftheeventorcircumstancesgivingrisetotheclaim.AnoticerelatingtoanyextensionoftheDefectsNotificationPeriodshallbegivenbeforetheexpiryofsuchperiod.

TheparticularsshallspecifytheClauseorotherbasisoftheclaim,andshallincludesubstantiationoftheamountand/orextensiontowhichtheEmployerconsidershimselftobeentitledinconnectionwiththeContract.TheEmployershallthenproceedinaccordancewithSub-Clause3.5[Determinations]toagreeordetermine(i)theamount(ifany)whichtheEmployerisentitledtobepaidbytheContractor,and/or(ii)theextension(ifany)oftheDefectsNotificationPeriodinaccordancewithSub-Clause11.3[ExtensionofDefectsNotificationPeriod].

TheEmployermaydeductthisamountfromanymoneysdue,ortobecomedue,totheContractor.TheEmployershallonlybeentitledtosetoffagainstormakeanydeductionfromanamountduetotheContractor,ortootherwiseclaimagainsttheContractor,inaccordancewiththisSub-Clauseorwithsub-paragraph(a)and/or(b)ofSub-Clause14.6[InterimPayments].

TheEmployer'sAdministration

TheEmployer'sRepresentative

TheEmployermayappointanEmployer'sRepresentativetoactonhisbehalfundertheContract.Inthisevent,heshallgivenoticetotheContractorofthename,address,dutiesandauthorityoftheEmployer 'sRepresentative.

TheEmployer'sRepresentativeshallcarryoutthedutiesassignedtohim,andshallexercisetheauthoritydelegatedtohim,bytheEmployer.UnlessanduntiltheEmployernotifiestheContractorotherwise,theEmployer 'sRepresentativeshall

bedeemedtohavethefullauthorityoftheEmployerundertheContract,exceptinrespectofClause15[TerminationbyEmployer].

IftheEmployerwishestoreplaceanypersonappointedasEmployer'sRepresentative,theEmployershallgivetheContractornotlessthan14days 'noticeofthe

replacement'sname,address,dutiesandauthority,andofthedateofappointment.

OtherEmployer'sPersonnel

TheEmployerortheEmployer'sRepresentativemayfromtimetotimeassigndutiesanddelegateauthoritytoassistants,andmayalsorevokesuchassignmentordelegation.Theseassistantsmayincludearesidentengineer,and/orindependentinspectorsappointedtoinspectand/ortestitemsofPlantand/orMaterials.Theassignment,delegationorrevocationshallnottakeeffectuntilacopyofithasbeenreceivedbytheContractor.

Assistantsshallbesuitablyqualifiedpersons,whoarecompetenttocarryoutthesedutiesandexercisethisauthority,andwhoarefluentinthelanguageforcommunicationsdefinedunSub-Clause1.4[LawandLanguage].

DelegatedPersons

Allthesepersons,includingtheEmployer'sRepresentativeandassistants,towhomdutieshavebeenassignedorauthorityhasbeendelegated,shallonlybeauthorizedtoissueinstructionstotheContractortotheextentdefinedbythedelegation.

Anyapproval,check,certificate,consent,examination,inspection,instruction,notice,proposal,request,test,orsimilaractbyadelegatedperson,inaccordancewiththedelegation,shallhavethesameeffectasthoughtheacthadbeenanactoftheEmployer.However:

unlessotherwisestatedinthedelegatedperson 'scommunicationrelatingto

suchact,itshallnotrelievetheContractorfromanyresponsibilityhehas

undertheContract,includingresponsibilityforerrors,omissions,discrepanciesandnon-compliances;

anyfailuretodisapproveanywork,PlantorMaterialsshallnotconstitute

approval,andshallthereforenotprejudicetherightoftheEmployertorejectthe,PlantorMaterials;and

iftheContractorquestionsanydeterminationorinstructionofadelegated

person,theContractormayreferthemattertotheEmployer,whoshallpromptlyconfirm,reverseorvarythedeterminationorinstruction.

Instructions

TheEmployermayissuetotheContractorinstructionswhichmaybenecessaryfortheContractortoperformhisobligationsundertheContract.EachinstructionshallbegiveninwritingandshallstatetheobligationstowhichitrelatesandtheSub-Clause(orothertermoftheContract)inwhichtheobligationsarespecified.IfanysuchinstructionconstitutesaVariation,Clause13[VariationandAdjustments]shallapply.

TheContractorshalltakeinstructionsfromtheEmployer,orfromtheEmployer 's

RepresentativeoranassistanttowhomtheappropriateauthorityhasbeendelegatedunderthisClause.

Determinations

WhenevertheseConditionsprovidethattheEmployershallproceedinaccordancewiththisSub-Clause3.5toagreeordetermineanymatter,theEmployershallconsultwiththeContractorinanendeavourtoreachagreement.Ifagreementisnotachieved,theEmployershallmakeafairdeterminationinaccordancewiththeContract,takingdueregardofallrelevantcircumstances.

TheEmployershallgivenoticetotheContractorofeachagreementordetermination,withsupportingparticulars.EachPartyshallgiveeffecttoeachagreementordetermination,unlesstheContractorgivesnotice,totheEmployer,ofhisdissatisfactionwithadeterminationwithin14daysofreceivingit.EitherPartymaythenreferthedisputetotheDABinaccordancewithSub-Clause20.4[ObtainingDisputeAdjudicationBoard'sDecision].
