信用證方式：買(mǎi)方應(yīng)在裝運(yùn)期前/合同生效后15日，開(kāi)出以賣(mài)方為受益人的不可撤銷(xiāo)的議付信用證，信用證在裝船完畢后30日內(nèi)到期。L/C：TheBuyershould,15dayspriortothetimeofshipmentorafterthisContractesintoeffect,opensanirrevocableLetterofCreditinfavoroftheSeller.TheLetterofCreditshoulde*pire30daysafterthepletionofloadingoftheshipmentasstipulated.2.付款交單：貨物發(fā)運(yùn)后，賣(mài)方出具以買(mǎi)方為付款人的付款跟單匯票，按即期付款交單〔D/P〕方式，通過(guò)賣(mài)方銀行向買(mǎi)方轉(zhuǎn)交單證，換取貨物。D/P：Aftershipment,theSellershoulddrawasightbillofe*changeontheBuyeranddeliverthedocumentsthroughSellersbanktotheBuyeragainstpayment.D/P.TheBuyershouldeffectthepaymentimmediatelyuponthefirstpresentationofthebillsofe*change.(12)單據(jù)(Documents)：賣(mài)方應(yīng)向議付銀行提供已裝船清潔提單、發(fā)票、中國(guó)商品檢驗(yàn)檢疫局或工廠出具的品質(zhì)證明、中國(guó)商品檢驗(yàn)檢疫局出具的數(shù)／重量鑒定書(shū)，并提供可轉(zhuǎn)讓的保險(xiǎn)單或保險(xiǎn)憑證。Thesellershouldpresenttothenegotiatingbank.CleanOnBoardBillofLading,QualityCertificateissuedbytheChinamodityinspectionBureauortheManufacturers,SurveyReportonQuantity/WeightissuedbytheChinamodityinspectionbureau,andTransferableInsurancePolicyorInsuranceCertificate.(13)裝運(yùn)條件：Termsofshipment：１．載運(yùn)船只由賣(mài)方安排，允許轉(zhuǎn)船。Thecarryingvesselshouldbeprovidedbythesellers.Transshipmentareallowed.２．賣(mài)方于貨物裝船后，應(yīng)將合同、品名、數(shù)量、船名、裝船日期以電報(bào)通知買(mǎi)方。由于賣(mài)方不給上述裝船通知電報(bào)而導(dǎo)致買(mǎi)方不能及時(shí)保險(xiǎn)時(shí)，則所發(fā)生之一切損失均由賣(mài)方負(fù)責(zé)賠償。ImmediatelyafterpletionofloadingofgoodsonboardthevesseltheSellersshouldadvisetheBuyersbycableofthecontractnumber,nameofgoods,quantityorweightloaded,nameofvessel,portofshipment,sailingdateandportofdestination.ShouldtheBuyersbemadeunabletoarrangeinsuranceintimeowingtotheSellers'failuretogivetheabovementionedadviceofshipmentbycable,theSellersshouldbeheldresponsibleforanyandalldamageand/orlossattributabletosuchfailures.(14)檢驗(yàn)與索賠(InspectionandClaims)：1.由中國(guó)商品檢驗(yàn)局出具的品質(zhì)重量證書(shū)作為付款依據(jù).TheCertificationsofqualityandweightissuedbythechinamodityimpactionbureauaretobetakenonthebaseforeffectingpayment.2.在貨物到達(dá)目的地口岸30天內(nèi)如發(fā)現(xiàn)貨物品質(zhì)，規(guī)格和數(shù)量與合同不附，除屬保險(xiǎn)公司或船方責(zé)任外，買(mǎi)方有權(quán)憑中國(guó)商檢出具的檢驗(yàn)證書(shū)或有關(guān)文件向賣(mài)方索賠換貨或賠款。因退貨或索賠引起的一切費(fèi)用包括檢驗(yàn)費(fèi)、利息及損失均由賣(mài)方負(fù)擔(dān)。Within30dayswhenthearrivalofthegoodsatthedestination,shouldthequality,Specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontracte*ceptthoseclaimsforwhichtheinsurancepanyortheownersofthevesselareliable,theBuyersshould,havetherightonthestrengthoftheinspectioncertificateissuedbytheC.C.I.CandtherelativedocumenttoclaimforpensationtotheSellers.alle*pensesincludingbutnotlimitedtoinspectionfees，interest，lossesarisingfromthereturnofthegoodsorclaimsshouldbebornebytheSeller.(15)人力不可抗拒：由于一般公認(rèn)的人力不可抗拒原因而不能交貨或裝船遲延，賣(mài)方不負(fù)責(zé)任。但賣(mài)方必須在事故發(fā)生時(shí)立即電告買(mǎi)方并在事故發(fā)生后30天內(nèi)航空郵寄給買(mǎi)方災(zāi)害發(fā)生地點(diǎn)之有關(guān)政府機(jī)關(guān)或商會(huì)所發(fā)給的證件證實(shí)災(zāi)害存在。除因不可抗力致裝船遲延或不能交貨外，如賣(mài)方不能按合同規(guī)定期限內(nèi)裝船，則需要賠償買(mǎi)方直接由于遲期交貨或不能按合同條件交貨所遭受之一切損失及費(fèi)用。人力不可抗拒事故如繼續(xù)存在60天以上時(shí)，買(mǎi)方有權(quán)撤銷(xiāo)合同或合同中未裝運(yùn)局部。ForceMajeure：TheSellersshouldnotbeheldresponsibleforlatedeliveryornon-deliveryofthegoodsowingtogenerallyrecognized“ForceMajerue〞causes.However,insuchcase,theSellersshouldimmediatelycabletheBuyerstheaccidentandairmailtotheBuyerswithin30daysaftertheaccident,acertificateoftheaccidentissuedbythepetentgovernmentauthoritiesorthechamberofmercewhichislocatedattheplacewheretheaccidentoccursasevidencethereof.Withthee*ceptionoflatedeliveryornon-deliverydueto"ForceMajeure"causes,incasetheSellersfailtomakedeliverywithinthetimeasstipulatedinthecontract,theSellersshouldindemnifytheBuyersforalllossesande*pensesincurredtothelatterdirectlyattributabletolatedeliveryorfailuretomakedeliveryofthegoodsinaccordancewiththetermsofthiscontract.Ifthe“ForceMajeure〞causeslastsover60days,theBuyersshouldhavetherighttocanceltheContractortheundeliveredpartoftheContract.(16)延期交貨及罰款:

除合同不可抗力原因外，如賣(mài)方不能按合同規(guī)定的時(shí)間交貨，買(mǎi)方應(yīng)同意在賣(mài)方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每10天收1%，缺乏10天時(shí)以10天計(jì)算。但罰款不得超過(guò)遲交貨物總價(jià)的5%。如賣(mài)方延期交貨超過(guò)合同規(guī)定60天時(shí)，買(mǎi)方有權(quán)撤銷(xiāo)合同，此時(shí)，賣(mài)方仍應(yīng)及時(shí)地按上述規(guī)定向買(mǎi)方支付罰款。買(mǎi)方有權(quán)對(duì)因此遭受的其它損失向賣(mài)方提出索賠。

LatedeliveryandPenalty:TheSellerfailtomakedeliveryontimeasstipulatedintheContract,withthee*ceptionofForceMajeurecausesspecifiedinthisContract,theBuyershouldagreetopostponethedeliveryontheconditionthattheSelleragreestopayapenaltywhichshouldbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat1%forevery10days;odddayslessthan10daysshouldbecountedas10days.Butthepenalty,however,shouldnote*ceed5%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSellerfailtomakedelivery60dayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershouldhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shouldneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.ThebuyershouldhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.(17)仲裁：凡有關(guān)執(zhí)行合同所發(fā)生的一切爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決，如協(xié)商不能解決，則將分歧提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)按有關(guān)仲裁程序進(jìn)展仲裁，仲裁將是終局的，雙方均受其約束，仲裁費(fèi)用由敗訴方承當(dāng)。Arbitration：Alldisputesinconnectionwiththee*ecutionofthisContractshouldbesettledfriendlythroughnegotiation.incasenosettlementcanbereached,thecasethenmaybesubmitted
