SALECONTRACTOFSUBMERSIBLEMIXER買方：TheBuyers:賣方：環(huán)保科技有限公司 TheSellers:EnvironmentalProtectionTechnologyCo.,Ltd雙方同意按下列條款由賣方出售，買方購進(jìn)下列貨物：TheSellersagreetosellandtheBuyersagreetobuytheunder-mentionedgoodsonthetermsandconditionsstatedbelow:貨物名稱、規(guī)格、產(chǎn)地、數(shù)量、單價(jià)和金額：Commodity,Specification,OriginQuantityUnitPriceAmount潛水射流曝氣機(jī) Submergedjetaerator潛水?dāng)嚢铏C(jī) SubmersibleMixer低速推流攪拌機(jī) Slowspeedpropeller2.總金額(大寫):TotalAmount(InWords) ：包裝:貨物應(yīng)裝在適宜長途運(yùn)輸并且能適應(yīng)氣候變化、防濕、防震、防銹的紙箱（木箱）中。由于包裝不良所引起的任何損失,或由于采用不充分或不妥善的防護(hù)措施而造成的任何銹損,賣方都應(yīng)承擔(dān)一切損失和相關(guān)費(fèi)用。包裝箱內(nèi)應(yīng)放置一整套操作指南。Packing:Tobepackedincarton(s)orwoodencase,Suitableforlongdistancetransportationandtochangeofclimate,wellprotectedagainstmoistureandshocks.TheSellersshallbeliableforanydamageofthecommodityandexpensesincurredonaccountofimproperpackingandforanyrustattributabletoinadequateorimproperprotectivemeasurestakenbytheSellersinregardtothepacking.Onefullsetofoperationinstructionsconcernedshallbeenclosedinthecase(s).4.裝運(yùn)期限：收到預(yù)付款 10日內(nèi)。.TimeOfShipment：within10daysafterreceivedthePrepayments.裝運(yùn)地點(diǎn)：PlaceOfLoading：目的地點(diǎn)：PlaceOfDestination：付款條件:TermsOfPayment:裝運(yùn)Shipment:1、賣方應(yīng)在合同規(guī)定的裝運(yùn)期內(nèi)將貨物發(fā)往目的地。TheSellersshallshipthegoodswithintheshipmenttimefromtheportofshipmenttotheplaceofdestination.3、在運(yùn)輸途中發(fā)生的貨物丟失或破損均由賣方或賣方指定的承運(yùn)方承擔(dān)責(zé)任。TheSellerorthecarrierspecifiedbythesellersshallbeliableforalloftheriskofdamageorlossofgoodsduringtheprocessoftransportation.裝運(yùn)通知:賣方在貨物裝運(yùn)后,應(yīng)在兩天內(nèi)傳真或郵件或電話同時(shí)買方。ShippingAdvice:TheSellersshallwithin2daysuponthecompletionoftheloadingofthegoods,advisebyfaxormailortelephonetothebuyer.10.品質(zhì)保證GuaranteeofQuality:1、保證貨物系全新，未曾用過，并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。TheSellersshallguaranteethatthegoodsarebrandnew,unusedandcorrespondinallrespectswiththequality,specificationsandperformanceasstipulatedinthisContract.2、賣方并保證本合同訂貨在正確安裝、正確使用的情況下，自貨物到驗(yàn)收合格之日起個(gè)月內(nèi)運(yùn)轉(zhuǎn)良好。Thesellershallguaranteethatthegoodsrunwellwithin12monthsafterreceivingqualifiedgoodsbasedoncorrectinstallationandusage.3、如發(fā)生質(zhì)量問題，需要將損壞部件寄往賣方，賣方應(yīng)將其迅速修理并返還。Thebuyerssendthepartswhicharebrokentothesellers.Thesellersshouldrepairitandsenditbacktothebuyersquickly.11.檢驗(yàn)Inspection:在交貨以前，制造廠應(yīng)就訂貨的質(zhì)量、規(guī)格、性能、做出準(zhǔn)確和全面的檢驗(yàn)，并出具貨物和本合同規(guī)定相符的證明書。Themanufacturesshallbeforemakingdelivery,makeapreciseandcomprehensiveinspectionofgoodsasregardstheirquality,specifications,performanceandquantity/weight,andissuecertificatescertifyingthatthegoodsareinconformitywiththestipulationsofthisContract.Thecertificatesshallformanintegralpartofthedocumentstobepresentedtothepayingbankfornegotiation/collectionofpaymentbutshallnotbeconsideredasfinalinrespectofquality,specifications,performanceandquantity/weight.ParticularsandresultsofthetestcarriedoutbythemanufacturersmustbeshowninastatementtobeattachedtothesaidQualityCertificate.不可抗力:無論在商品制造或裝運(yùn)或轉(zhuǎn)運(yùn)期間,如有不可抗力事件發(fā)生,賣方將不對由此而導(dǎo)致的逾期或不能交貨負(fù)責(zé)。但此時(shí),賣方應(yīng)立即將不可抗力事件通知買方,并于通知后十四天內(nèi)以傳真方式向買方提供一份由不可抗力事件發(fā)生地權(quán)威機(jī)構(gòu)出具的不可抗力事件證明。賣方不能取得出口許可證不得作為不可抗力。在這種情況下 ,賣方仍有義務(wù)竭盡全力盡快交貨。如不可抗力事件持續(xù)超過十周 ,買方有權(quán)撤銷合同 ,買方在銀行所支付的費(fèi)用由賣方承擔(dān) .ForceMajeure:TheSellersshallnotbeholdresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorthecourseofloadingortransit.TheSellersshalladviceBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshouldsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.Seller’sinabilityinobtainingexportlicenseshallnotbeconsideredasForceMajeure.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhaverighttocanceltheContract,thesellersbeartheexpenseswhichpaidtothebankbythebuyers.13.仲裁：一切因執(zhí)行本合同或與本合同有關(guān)的爭執(zhí) ,應(yīng)由雙方友好協(xié)商解決。 如經(jīng)協(xié)商仍未能達(dá)成協(xié)議 ,則應(yīng)提交法院裁決。Arbitration:AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedtoCourtforajudication14.本合同正本一式二份，合同雙方各持一份。 合同的中英文本如有解釋不一致處，以中文為準(zhǔn)。本合同經(jīng)雙方簽署后生效。ThiscontractismadeinChinese/Englishwithequalvalidity,butthediscordsonthecontractaretobeexplainedwith
