CommissionAgreement(Englishversion)

ThisAgreement(“Agreement”)ismadeandenteredintoasofthedateofthelastsignaturebyandamong[companyname],a[stateofincorporation]corporation,locatedat[companyaddress](“Company”)and[individualname],withanaddressat[individualaddress](“Agent”),collectivelyreferredtoas“Parties”.

WHEREAS,CompanydesirestoengageAgenttopromoteandsellitsproductsand/orservicestocustomersintheUnitedStates,andAgentiswillingtoactasanon-exclusiveagentforCompanyforsuchpurpose;

NOW,THEREFORE,inconsiderationofthemutualpromises,covenants,andconditionssetforthinthisAgreementandothervaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thePartiesagreeasfollows:

1.Term

ThisAgreementshallbecomeeffectiveasofthelastdateofsignaturebybothPartiesandshallcontinueineffectuntilterminatedbyeitherPartywiththirty(30)dayswrittennoticetotheotherParty.

2.Appointment

CompanyherebyappointsAgentasitsnon-exclusiveagentandgrantsAgenttherighttopromoteandsellitsproductsand/orservicestocustomersintheUnitedStates.

3.Duties

AgentshalluseitsbesteffortstopromoteandsellCompany’sproductsand/orservicestocustomersintheUnitedStates.AgentshallnotengageinanyactivitiesthataredetrimentaltoCompany’sreputationorinterest.

4.Compensation

Agentshallbecompensatedsolelybycommission,basedonthenetsalespriceofCompany’sproductsand/orservicessoldbyAgenttocustomers.

Thecommissionrateshallbe[insertpercentage]ofthenetsalesprice.

ThecommissionshallbepaidtoAgentwithinthirty(30)daysaftertheendofeachcalendarmonth.

5.Taxes

AgentshallberesponsibleforthepaymentofanyandalltaxesincurredasaresultofthecommissionoranyotherpaymentsmadetoAgentbyCompanyunderthisAgreement.

6.Confidentiality

AgentshallkeepallinformationobtainedfromCompanyoritscustomersconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutCompany’spriorwrittenconsent.

7.Miscellaneous

ThisAgreementconstitutestheentireunderstandingofthePartiesandsupersedesallpriornegotiations,representations,andunderstandingsbetweenthem.

AnymodificationofthisAgreementshallbeinwritingandsignedbybothParties.

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[stateofincorporation],withoutgivingeffecttoanyprinciplesofconflictsoflaw.

AnydisputearisingoutoforinconnectionwiththisAgreementshallbesubmittedtobindingarbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociation.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstwrittenabove.
