國(guó)際貿(mào)易合同（中英文）國(guó)際貿(mào)易貨品買(mǎi)賣(mài)(中英文)CONTRACTOFGOODSPURCHASEContractNo.:合同號(hào)：Date:日期：TheBuyer:買(mǎi)方：Address:地址：Fax:傳真：Tel:電話：TheSeller:賣(mài)方：Address:地址：Fax:傳真：Tel:電話：1.COMMODITYANDPRICE商品和價(jià)格ThisContractismadebyandbetweentheBuyerandtheSeller;wherebytheBuyeragreestobuyandtheSelleragreestosellthecommodityandontermsandconditionsstipulatedbelow:本合同由買(mǎi)賣(mài)雙方訂立，根據(jù)下列條款和條件買(mǎi)方同意購(gòu)置且賣(mài)方同意出售下列商品：ItemNo.序號(hào)Commodityandspecifications商品和規(guī)格Quantity數(shù)量UnitPrice+PriceTerm單價(jià)和價(jià)格術(shù)語(yǔ)TotalAmountinU.S.Dollar總價(jià)(美元)TOTALvalue:USD(SAYU.S.DOLLARONLY)總金額：美元(大寫(xiě)美元整)2.COUNTRYOFORIGINANDMANUFACTURERS:THENETHERLANDS/PHILIPS原產(chǎn)國(guó)和制造商:3.TIMEOFSHIPMENT:裝運(yùn)時(shí)間:TheSelleragreestoexercisecustomaryreasonablebusinesspracticestomeettheBuyersrequesteddeliverydatessetforthherein.TheBuyerunderstandsthatshippingdatesmaydependuponsitereadinessandtheSellerspromptreceiptofallnecessaryinformationfromtheBuyeraswellaspromptshipmentoftheproductsfromitssub-supplier.TheSellershallnotbeliabletopaycompensationtotheBuyerfornon,lateormis-deliveryforcausesbeyondtheSellerscontrol(andifnotremediedwithinareasonabletime).賣(mài)方同意采用慣常的和合理的商業(yè)作法滿足買(mǎi)方上述列明的交付日的規(guī)定。買(mǎi)方知悉裝運(yùn)日期取決于場(chǎng)地的準(zhǔn)備就緒、賣(mài)方從買(mǎi)方及時(shí)收到全部必要的信息以及賣(mài)方的轉(zhuǎn)供貨商對(duì)產(chǎn)品的及時(shí)發(fā)運(yùn)。賣(mài)方不應(yīng)對(duì)超出其控制的因素造成的未交付、延遲交付或錯(cuò)誤交付(并且未在合理的時(shí)間內(nèi)補(bǔ)救)對(duì)買(mǎi)方承當(dāng)賠償責(zé)任。4.PORTOFSHIPMENT/LOADING:MAINSEAPORTOFEUROPE發(fā)運(yùn)港/裝運(yùn)港：歐洲重要海港5.PORTOFDESTINATION:目的港：，中國(guó),ThePeoplesRepublicofChina6.MODEOFSHIPMENT:(incaseofthirdpartyitemsrequired)裝運(yùn)方式：(如果需要第三方項(xiàng)目)Partialshipmentnotallowed-不允許部分裝運(yùn)Transhipmentallowed-允許轉(zhuǎn)運(yùn)Unlessotherwisestated,theSellershallarrangedeliveryoftheproductstotheBuyeratthedestinationportstatedhereinandbytheappropriatetransportationmeansastheSellershallthinkfit.除非另有，賣(mài)方應(yīng)安排產(chǎn)品通過(guò)賣(mài)方認(rèn)為適合的恰當(dāng)?shù)倪\(yùn)輸方式將產(chǎn)品在本合同項(xiàng)下規(guī)定的目的港交付給買(mǎi)方。7.INSURANCE:保險(xiǎn)TobecoveredbytheSellerfor110%ofinvoicevalueagainstwarrisks,allrisksincludingTPND,breakageandleakage應(yīng)由賣(mài)方按發(fā)票金額的110%投保戰(zhàn)爭(zhēng)保險(xiǎn),一切險(xiǎn)涉及TPND,破碎及滲漏。8.PACKING:包裝InstandardPhilipsExportPackingandseaworthymaterialsformarinetransportation.應(yīng)以適合海運(yùn)的材料用原則的飛利浦出口包裝進(jìn)行包裝。9.SHIPPINGMARK:裝運(yùn)標(biāo)記TheSellershallmarklegiblyoneachpackagewithfadelesspaintthepackagenumber,grossweight,measurementsandwordingssuchas,KEEPAWAYFROMMOISTUREHANDLEWITHCARETHISSIDEUPetc.andtheshippingmark:賣(mài)方應(yīng)在每件包裝箱上用不褪色的涂料清晰標(biāo)明件號(hào)、毛重、尺碼和諸如怕濕、小心輕放和勿倒置等字樣，以及以下裝運(yùn)標(biāo)記：10.PAYMENT付款__daysbeforeshipment,theBuyershallestablishwithfirstclassbanka%irrevocable,L/CatsightinfavoroftheSeller.TheL/Cshouldwithaminimumvalidityoffourmonths.10%paidbyT/Twithin2weeksagainstAcceptanceCertificatesignedbyEnduser在裝運(yùn)之前____天，買(mǎi)方應(yīng)通過(guò)一流銀行開(kāi)立一份不可撤銷的、以賣(mài)方為受益人的、金額為合同總價(jià)%的使用期最少為個(gè)月的即期信用證。%憑最后顧客簽字的設(shè)備驗(yàn)收證書(shū)2周內(nèi)電匯支付。AnyLettersofCreditestablishedinfavouroftheSellershallbeissuedbyfirstclassbanksacceptablebytheSellerwhichhaveadoptedtheUniformCustomsandPractice(UCP)forDocumentaryCreditsissuedbytheInternationalChamberofCommerce(ICC),applicableatthedatetheContractcomesintoforce.任何開(kāi)立的以賣(mài)方為受益人的信用證應(yīng)由賣(mài)方可接受的一流銀行開(kāi)出，并應(yīng)采用本合同生效之日合用的國(guó)際商會(huì)公布的《跟單信用證統(tǒng)一慣例》。Intheevent,thattheBuyerfailstoperformthisobligation,theSellershallhavetherighttowithdraw,cancelallorpartofthecontractwithoutobtainingtheBuyersconsentandwithoutpayinganycompensationtotheBuyer.如果買(mǎi)方未能推行上述義務(wù)，賣(mài)方有權(quán)全部或部分撤銷、解除合同，無(wú)需買(mǎi)方同意且無(wú)需向買(mǎi)方支付任何賠償。11.RETENTIONOFOWNERSHIPANDDEFAULTINGPAYMENTS全部權(quán)保存和拖欠付款Withoutprejudicetothepassingoftherisksinaccordancewiththeapplicabletradetermasdescribedbelow,allgoodsshallremaintheSellerspropertyuntilalloftheSellersclaimsagainsttheBuyerinrelationtothisContract,mostspecifically:FULLPAYMENT,havebeensatisfied.TheBuyershallgiveanyassistanceintakinganymeasuresrequiredtoprotecttheSellerspropertyrights.在不影響根據(jù)下述貿(mào)易術(shù)語(yǔ)擬定風(fēng)險(xiǎn)轉(zhuǎn)移的條件下，全部的貨品應(yīng)為賣(mài)方財(cái)產(chǎn)直至賣(mài)方在本合同項(xiàng)下對(duì)買(mǎi)方的全部規(guī)定全部被滿足，特別是：全部的款項(xiàng)的支付。買(mǎi)方應(yīng)就為保護(hù)賣(mài)方的財(cái)產(chǎn)權(quán)而需采用的方法提供任何協(xié)助。SigningoftheAcceptanceCertificateentitlestheSellertofullandimmediatepayment.IftheBuyerfailstopayanyamountwhendueorshalldefault,thentheSelleroritsagent,shallbeentitledwithoutnoticetotheBuyer,toenteranypremisesinwhichthegoodsmaybefoundandremove,holdandselltheminaccordancewiththeapplicablelaw.簽訂驗(yàn)收證書(shū)使得賣(mài)方有權(quán)獲得全額和立刻的付款。如果買(mǎi)方未能支付或?qū)⑼锨啡魏蔚狡诘目铐?xiàng)，則賣(mài)方或其代理有權(quán)進(jìn)入可能發(fā)現(xiàn)貨品的任何場(chǎng)地，無(wú)需買(mǎi)方，并且有權(quán)根據(jù)合用的法律移走、扣留并出售該等貨品。Interestattherateof8%perannumwillbechargeableonanyoutstandingaccountfromitsduedate.TheownershipoftheproductswillnotpasstotheBuyeruntilallsumsowingtotheSeller(includinginterests,ifany)havebeenpaid.LevyingofinterestwillnotprejudicetheSellersrightstatedabove.對(duì)于任何拖欠的款項(xiàng)應(yīng)按8%的年利率自到期日起計(jì)收利息。產(chǎn)品的全部權(quán)應(yīng)在買(mǎi)方付清全部欠付賣(mài)方的款項(xiàng)(涉及利息，如果有的話)后方能轉(zhuǎn)移至買(mǎi)方。收取利息并不影響賣(mài)方上述權(quán)利。12.DOCUMENTS文獻(xiàn)TheSellershallpresentthefollowingdocumentsa)-f)tothePayingBankfornegotiation/collectionortotheBuyerincaseofPaymentbyRemittance:賣(mài)方應(yīng)向付款行提交a)至f)項(xiàng)的文獻(xiàn)進(jìn)行議付/收款或者在匯付的條件下向買(mǎi)方提交1)至7)項(xiàng)的文獻(xiàn)：a)-FullsetofNegotiableCleanonBoardOceanBillsofLading(forseatransportation)全套的可轉(zhuǎn)讓的清潔已裝船提單(海運(yùn))-Combined/Multi-modalTransportDocument(foroverlandtransportation)markedFreighttoCollect/FreightPrepaidmadeouttoorderblankendorsednotifyingtheBuyer.空白昂首、空白背書(shū)、告知方為買(mǎi)方的聯(lián)運(yùn)/多式聯(lián)運(yùn)單據(jù)(內(nèi)陸運(yùn)輸)標(biāo)明運(yùn)費(fèi)到付/運(yùn)費(fèi)預(yù)付-CopyofAirwayBillmarkedFreighttoCollect/FreightprepaidandconsignedtotheBuyerattheportofdestinationnotifyingtheBuyer.收貨人和告知方均為買(mǎi)方的空運(yùn)單的副本標(biāo)明運(yùn)費(fèi)到付/運(yùn)費(fèi)預(yù)付b)FullsetofInsurancePolicy/Certificatesfor110percentoftheinvoicevalue.以110%的發(fā)票金額投保的全套保險(xiǎn)單/保險(xiǎn)憑證c)Invoiceintriplicate,indicatingcontractnumber,shippingmarkandthenameofvessels,etc.發(fā)票一式三份，標(biāo)明合同號(hào)、裝運(yùn)標(biāo)志和船名等d)PackingListintriplicatewithindicationofbothgrossandnetweights,measurementsandquantityofeachitempacked.裝箱單一式三份，標(biāo)明每件貨品的毛重、凈重、尺碼和數(shù)量e)CertificateofQualityandQuantity,eachinduplicate,issuedbythemanufacturers.制造商出具的質(zhì)量證書(shū)和數(shù)量證書(shū)，均為一式二份f)AtruecopyofthefaxtotheBuyeradvisingparticularsofshipmentwithin48hoursaftergoodsareloadedonboardasspecifiedinClause13hereof.根據(jù)本合同第[13]條的規(guī)定在貨品裝船后48小時(shí)之內(nèi)發(fā)送給買(mǎi)方的告知裝運(yùn)詳情的傳真的真實(shí)復(fù)印件TheSellershall,within5daysaftershipmentiseffected,sendbyairmailthreeextrasetsofcopiesoftheaforesaiddocuments(exceptitemf)withtwosetsdirectlytotheBuyerandonesetdirectlytotheTransportationCorporationattheportofdestination.賣(mài)方應(yīng)在貨品裝運(yùn)后5天內(nèi)另外航空郵寄三套上述單據(jù)(f項(xiàng)規(guī)定的單據(jù)除外〕的復(fù)印件，其中兩套直接寄給買(mǎi)方，另一套直接寄給目的港的運(yùn)輸公司。13.SHIPPINGADVICE裝運(yùn)告知TheSellershall,within48hoursaftertheshipmentiseffected,advisetheBuyerbyfaxofthecontractnumber,nameofcommodity,quantity,grossweight,invoicedvalue,nameofthecarryingvesselandthedateofsailing.賣(mài)方應(yīng)在貨品裝運(yùn)后48小時(shí)內(nèi)以傳真告知買(mǎi)方合同號(hào)、商品的名稱、數(shù)量、毛重、發(fā)票金額、裝運(yùn)的船名和開(kāi)航日期。14.DESPATCHANDDELIVERY發(fā)運(yùn)和交付IncasethegoodscannotbedespatchedtotheirdestinationatthedatescheduledthereforbyreasonsattributabletotheBuyerand/oroutsideSellersreasonablecontrol,theSellershallbeentitledtostorethegoodsconcernedattheBuyerexpenseandrisk.Insuchcasethewarehousereceipt(s)shallserveassubstitute(s)fortheshippingdocumentsinallrespectsandtheBuyerundertakestoreimbursewithinfourteendaysofourfirstdemandanyandalladditionalexpensessoincurred.如果由于買(mǎi)方的因素和/或超出賣(mài)方合理控制的因素造成貨品不能在預(yù)訂的日期發(fā)運(yùn)至其目的地，賣(mài)方應(yīng)有權(quán)將有關(guān)貨品進(jìn)行存儲(chǔ)，由買(mǎi)方承當(dāng)費(fèi)用和風(fēng)險(xiǎn)。在該等狀況下，倉(cāng)單應(yīng)在全部的方面替代裝運(yùn)單據(jù)，并且買(mǎi)方確保在[賣(mài)方]初次規(guī)定后14天內(nèi)償付賣(mài)方因此發(fā)生的全部和一切費(fèi)用。Anydelayinthefulfilmentoftheabove-mentionedconditionswillobligetheBuyertocompensatetheSellerfortheadditionalcostsresultingfromthesuspensionoftheexecutionoftheContract.IncasesuchdelaywouldexceedaperiodofthreemonthstheSellerisentitledtocanceltheContractwithoutanypenaltyorliabilitytowardstheBuyer.延遲推行上述條件將使買(mǎi)方有義務(wù)賠償賣(mài)方由于中斷本合同推行而發(fā)生的額外費(fèi)用。如果該等延遲超出3個(gè)月，賣(mài)方有權(quán)解除本合同，并且不應(yīng)受到任何處分或者對(duì)買(mǎi)方承當(dāng)任何責(zé)任。PhilipswillonlyberesponsibleforfreightandInsurancefromPMGtohospital,allchargeshappenedduringcustomstransferenceandclearanceatairportorseaportwillbebornbyI/ECorp.,i.e.terminalhandlingcharge,portservicecharge,storagecharge,dispatchcharge,containeryardcharge,demurragecharge,customsclearancecharge,customstransferencecharge,containerdetention,documentationcharge,inspectioncharge,etc.飛利浦醫(yī)療大系統(tǒng)產(chǎn)品的交貨方式為CIPHOSPITAL條款,即成本+運(yùn)費(fèi)+保險(xiǎn)到醫(yī)院.在此條款下,飛利浦只負(fù)責(zé)產(chǎn)品從工廠到醫(yī)院的運(yùn)費(fèi)和保險(xiǎn),其中涉及海運(yùn)及內(nèi)陸運(yùn)輸部分.清關(guān)和轉(zhuǎn)關(guān)過(guò)程中在空港或海港發(fā)生的費(fèi)用,涉及轉(zhuǎn)關(guān)手續(xù)費(fèi),報(bào)關(guān)費(fèi),報(bào)檢費(fèi),通道費(fèi),倉(cāng)儲(chǔ)費(fèi),換單費(fèi),掏箱費(fèi),轉(zhuǎn)站費(fèi),滯箱費(fèi),集裝箱修理費(fèi),洗箱費(fèi),押車(chē)費(fèi),港雜費(fèi)及分撥費(fèi)等都由外貿(mào)公司承當(dāng).15.GUARANTEEOFQUALITY質(zhì)量確保TheSellershallguaranteethattheCommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnew,unused,andcorrespondstoallrespectswiththequality,specificationsandperformancestipulatedinthisContract.賣(mài)方應(yīng)確保本合同項(xiàng)下的商品由最佳的材料制造、工藝一流、全新、未使用過(guò)，并且在質(zhì)量、規(guī)格和功效各方面符合本合同的商定。16.WARRANTY質(zhì)量確保ThewarrantyperiodoftheContractCommoditysuppliedbytheSellershallbetwelve(12)monthscountingfromthedateofHand-overoftheContractCommoditytotheEnduser;orfifteen(15)monthsfromthedateoflandingattheportofdestination,whichevercomesfirst.本合同項(xiàng)下賣(mài)方提供的商品的質(zhì)量確保期為12個(gè)月，從該等商品交付給最后顧客之日起算，或者為從該等商品達(dá)到目的港之日起的15個(gè)月，以先到期者為準(zhǔn)。Sellersobligationsunderthiswarrantyarelimited,atSellersoption,totherepairorthereplacementoftheCommodity(oraportionthereof),ortoarefundofaportionofthepricepaidbytheBuyer.賣(mài)方責(zé)任局限于,取其選擇，修改或更換商品(或其部分)或退還部分買(mǎi)方所付的價(jià)格。TheabovestatesSellerentireobligationandliability,andtheBuyerssoleremedyintheeventofabreachofCommoditywarranty.上術(shù)列出于商品不符合質(zhì)量狀況下賣(mài)方全部的責(zé)任以及買(mǎi)方的唯一補(bǔ)救。17.IMPORTDECLARATIONCERTIFICATE進(jìn)口報(bào)關(guān)單AccordingtothePRCcustomregulations,theimportdutyonservicepartsshouldbewaivedwithinthewarrantyperiodiftheequipmentwaslegallyimportedtoChina.TheBuyershallprovideacopyofthefollowingdocumenttotheSupplierwithinthestatedtimeinordertoobtainthiswaiver:根據(jù)中國(guó)海關(guān)的規(guī)定，如果設(shè)備是正當(dāng)進(jìn)口到中國(guó)的，在質(zhì)量確保期內(nèi)維修零部件應(yīng)免去進(jìn)口關(guān)稅的征收。買(mǎi)方應(yīng)在下述時(shí)間內(nèi)向[供貨商]提供以下文獻(xiàn)的副本以獲得該等免去：ImportDeclarationCertificate(within2weeksafterthecustomclearance);TaxExemptionCertificate;or進(jìn)口報(bào)關(guān)單(報(bào)關(guān)后2個(gè)星期之內(nèi))ReceiptofImportTaxoftheequipment(within2weeksafterthecustomclearance)and設(shè)備進(jìn)口關(guān)稅完稅證明(報(bào)關(guān)后2個(gè)星期之內(nèi))ReceiptofVAToftheequipment(within2weeksafterthecustomclearance)設(shè)備進(jìn)口增值稅完稅證明(報(bào)關(guān)后2個(gè)星期之內(nèi))ThefreeofchargereplacementofdefectivepartsduringthewarrantyperiodprovidedbytheSellershallbevoidiftheBuyerisunabletosupplytheaforesaiddocuments.AlltaxesonsparepartsleviedbytheChinaGovernmentshallbebornebytheBuyer.如果買(mǎi)方無(wú)法提供上述單據(jù)，賣(mài)方在質(zhì)量確保期間對(duì)有缺點(diǎn)的部件提供的免費(fèi)更換應(yīng)失效。中國(guó)政府對(duì)部件征收的全部稅賦應(yīng)由買(mǎi)方承當(dāng)。18.INSPECTIONANDCLAIMS檢查和索賠UnlessotherwisespecificallyagreedheretoinwritingbytheSeller,theSellershallinspectandtestproductstoitsspecificationspriortodeliverytotheBuyer.TheBuyermay,atitsownexpense,inspectandtesttheproductssuppliedhereunderuponarrivalattheBuyersfacility.除非賣(mài)方以書(shū)面方式作出特別相反商定，賣(mài)方應(yīng)在向買(mǎi)方交付產(chǎn)品之前根據(jù)規(guī)格檢查和測(cè)試產(chǎn)品。在貨品達(dá)到買(mǎi)方場(chǎng)合后，買(mǎi)方能夠自負(fù)費(fèi)用檢查和測(cè)試本合同項(xiàng)下提供的產(chǎn)品。Within90daysafterthearrivalofthegoodsatdestination,shouldthequality,specifications,orquantitybefoundnotinconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable,theBuyershall,onthestrengthoftheInspectionCertificateissuedbytheInspectionBureau,notifytheSellerpromptlyinwritingofanyclaimfordamagesorforcompensation.在貨品達(dá)到目的地后90天之內(nèi)，如果發(fā)現(xiàn)貨品的質(zhì)量、規(guī)格或數(shù)量與合同的規(guī)定不符，除非應(yīng)由保險(xiǎn)公司和船東承當(dāng)責(zé)任之外，買(mǎi)方應(yīng)憑檢查機(jī)構(gòu)出具的檢查證書(shū)立刻以書(shū)面方式將任何損害賠償或賠償金的規(guī)定告知賣(mài)方。18.ALIMITATIONOFLIABILITY有限法律責(zé)任Theliability,ifany,ofSellerandSellerrepresentativesarisingfromthisContractislimitedtoanamountnotexceedingthepriceoftheCommoditygivingrisetotheliability.賣(mài)方及買(mǎi)方代表在本合同下的責(zé)任(如有)不會(huì)超出有關(guān)商品的價(jià)格。18B.INDEMNIFICATION-IntellectualPropertyRightsInfringementclaims彌償侵犯知識(shí)產(chǎn)權(quán)權(quán)利的申索Incase(a)anon-appealablejudgment;or(b)theCommodityisbelievedbySellertoinfringesuchaclaim,Sellermay,atitsoption,(i)procuretherightfortheBuyertocontinuetousetheCommodity,(ii)replaceormodifytheCommoditytoavoidinfringement,or(iii)refundtothecustomerareasonableportionoftheCommoditypurchasepriceuponthereturnoftheoriginalCommodity.如果(a)有不可上訴的判決;或(b)賣(mài)方相信商品侵犯知識(shí)產(chǎn)權(quán)，賣(mài)方能夠，自行作出選擇，(i)為買(mǎi)方獲取權(quán)利繼續(xù)使用商品，(ii)替代或修改商品以避免侵權(quán)，或(iii)于退回商品時(shí)退還合理部分的商品價(jià)格。TheabovestatesSellerentireobligationandliability,andtheBuyerssoleremedyintheeventofaclaimofinfringement.上術(shù)列出于侵犯知識(shí)產(chǎn)權(quán)權(quán)利的申索狀況下賣(mài)方全部的責(zé)任以及買(mǎi)方的唯一補(bǔ)救。19.SETTLEMENTOFCLAIMS理賠IncaseoftheSellerisliableforthediscrepanciesandaclaimismadebytheBuyerwithintheperiodofclaimorqualityguaranteeperiodasstipulatedinClauses15to18ofthisContract,theSellershallsettletheclaimupontheagreementoftheBuyerinthefollowingways.如果賣(mài)方應(yīng)對(duì)貨品的不符承當(dāng)責(zé)任，并且買(mǎi)方已經(jīng)在第15條至18條規(guī)定的索賠期限或質(zhì)量確保期內(nèi)提出索賠，賣(mài)方應(yīng)根據(jù)其與買(mǎi)方達(dá)成的合同下列列方式向買(mǎi)方理賠：a)Anycomplaintsoferroneousdespatchand/orapparentdamagetothegoodssuppliedshallbenotifiedinwritinggivingthereasonfortherequesttoreturnthegoodsandthedateandnumberoftheSellersinvoice.IfreturnofthegoodsisagreeduponbytheSellerinwritingbymeansofareturnauthorisationnotice,thegoodsshallbeforwardedinaccordancewiththeSellersinstructions;allgoodsreturnedmustbepackedintheiroriginalpacking.對(duì)于提供的貨品的錯(cuò)誤發(fā)運(yùn)和/或顯而易見(jiàn)的損壞的投訴應(yīng)以書(shū)面方式告知規(guī)定退貨的理由以及賣(mài)方的發(fā)票日期和編號(hào)。如果賣(mài)方通過(guò)發(fā)出退貨許可告知的書(shū)面方式同意退貨，貨品應(yīng)根據(jù)賣(mài)方的批示發(fā)運(yùn)，并且包裝應(yīng)為其原始包裝。b)Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyer.根據(jù)質(zhì)量差的程度、損壞的程度和買(mǎi)方遭受的損失金額，減少貨品的價(jià)款。c)Replacethedefectivegoodswithnewoneswhichconformtothespecifications,qualityandperformancestipulatedinthisContract.用全新的符合本合同規(guī)定的規(guī)格、質(zhì)量和功效的貨品更換有缺點(diǎn)的貨品。NogoodsmaybereturnedunlesstheSellerhavepreviouslyagreedinwritingtosuchreturnandtheBuyerhasfullyobservedanyconditionstheSellerhaveprescribed.UndernocircumstanceswilltheSelleracceptthereturnofgoodsspeciallyprocuredfortheBuyer.除非賣(mài)方事先書(shū)面許可退貨并且買(mǎi)方恪守賣(mài)方制訂的任何條件，否則任何貨品不得退回。在任何狀況下，賣(mài)方均不接受對(duì)于買(mǎi)方專門(mén)采購(gòu)的貨品的退回。20.FORCEMAJEURE:不可抗力ShouldanythinghappenwhichpreventseitherPartyfromexecutingtheContractwhichcouldnotbecontrolled,avoidedandovercome,suchaswar,seriousfire,typhoon,earthquake,floodsandothercases,theconcernedPartyshallnotifytheotherPartybyfaxortelexwithintheshortestpossibletimeandsendbyregisteredairmailtotheotherPartyacertificateissuedbycompetentauthoritiesforconfirmationwithinfourteen(14)daysfollowingtheoccurrenceofthecaseofforcemajeure.如果發(fā)生任何不能控制、不能避免并且不能克服的事件防礙任何一方對(duì)本合同的推行，諸如戰(zhàn)爭(zhēng)、重大火災(zāi)、臺(tái)風(fēng)、地震、水災(zāi)和其它事件，受到影響的一方應(yīng)在盡量短的時(shí)間內(nèi)以傳真或電傳告知另一方，并且應(yīng)在該等不可抗力事件發(fā)生后14天內(nèi)以掛號(hào)航空的方式向另一方發(fā)出一份由主管機(jī)關(guān)出具的證明加以確認(rèn)。TheconcernedPartyshallnotberesponsibleforanydelayorfailureinperforminganyoralloftheobligationsduetotheeventofforcemajeure.However,theconcernedPartyshallinformtheotherPartybytelexorfaxtheterminationoreliminationofthecauseoftheforcemajeureassoonaspossible.受到影響的一方不應(yīng)對(duì)不可抗力事件造成的延遲或未推行任何或全部義務(wù)承當(dāng)責(zé)任。然而，受到影響的一方應(yīng)盡快以傳真或電傳將不可抗力事件的終止或消除告知另一方。ThePartiesshallproceedwiththeirobligationsimmediatelyafterthedatewhenthecaseofforcemajeurehasceasedortheeffectshavebeenremovedandthetermoftheContractshallbeextendedcorrespondingly.Shouldtheeffectsoftheforcemajeurementionedabovelastmorethanonehundredandtwenty(120)consecutivedays,bothPartiesshallsettlefurtherexecutionoftheContractthroughfriendlynegotiationsassoonaspossible.雙方應(yīng)在不可抗力事件終止或其影響被消除之日立刻開(kāi)始推行各自的義務(wù)，并且本合同的期限應(yīng)對(duì)應(yīng)地予以延長(zhǎng)。如果上述不可抗力的影響持續(xù)120個(gè)持續(xù)日，雙方應(yīng)通過(guò)和諧協(xié)商盡快解決本合同的進(jìn)一步推行。21.TERMINATIONOFCONTRACT合同終止TheSellermayterminatethisContractwithoutprejudicetotheSellersanyotherrightorremediesintheeventthat:在下述狀況下賣(mài)方能夠終止本合同，并且其享有的其它權(quán)利和法律救助不應(yīng)受到影響：1)TheBuyerfailstopaymoneyowingtotheSellerinstrictaccordancewiththetermssetforthhereoforanyotheragreemententeredintobetweentheBuyerandtheSeller;or買(mǎi)方未能?chē)?yán)格根據(jù)本合同或者買(mǎi)賣(mài)雙方訂立的其它合同中規(guī)定的條款支付其欠付賣(mài)方的款項(xiàng);或者2)TheBuyerbecomesinsolventorbeadjudgedbankruptorwhereapetitiontowindupbuyeristobeorhasbeenpresented;or買(mǎi)方資不抵債或者被鑒定破產(chǎn)或者規(guī)定買(mǎi)方清算的已經(jīng)或者將要提交;或者3)WheretheSellerhasagreedtosupplytheBuyerwithgoodsoncreditandtheBuyerhasexceededthatcreditlimitfixedbytheSeller;or如果賣(mài)方已經(jīng)同旨在賒銷的條件向買(mǎi)方提供貨品，買(mǎi)方已經(jīng)超出了賒銷期限;或者4)TheBuyerrefusestoacceptproductsdeliveredunderthetermshereunder.買(mǎi)方回絕接受根據(jù)本合同規(guī)定交付的產(chǎn)品。IftheBuyershallforanyreasonterminatethisContractinwholeorinpart,thenoticeofterminationmustbegiveninwritingtotheSeller.TheSellershallthereuponceaseworkandtheBuyershallpaytheSellerthepriceprovidedintheContractforallgoodswhichhavebeenmanufactured,modifiedororderedbytheSellerpriortotheterminationandwhichconformtotheprovisionsoftheContract.SuchgoodsshallbedeliveredtotheBuyer.無(wú)論何等因素如果買(mǎi)方終止本合同，無(wú)論全部還是部分，終止告知必須以書(shū)面方式發(fā)送給賣(mài)方。據(jù)此賣(mài)方應(yīng)停止工作并且買(mǎi)方應(yīng)向賣(mài)方支付在終止之前全部賣(mài)方已經(jīng)制造、修改或訂購(gòu)并且符合合同規(guī)定的貨品在本合同項(xiàng)下規(guī)定的價(jià)款。該等貨品應(yīng)交付給買(mǎi)方。22.ARBITRATION仲裁AnydisputeorclaimarisingfromtheexecutionoforinconnectionwiththisAgreement,
