ContractAgreementforImportofGoodsamongThreeParties

ThisContractAgreement(hereinafterreferredtoasthe"Agreement")isenteredintoasof[Date],byandamong[PartyA],[PartyB],and[PartyC],collectivelyreferredtoasthe"Parties".

1.ProductandQuantity

1.1PartyA(hereinafterreferredtoasthe"Seller")agreestosellanddelivertoPartyB(hereinafterreferredtoasthe"Buyer")[DescriptionofGoods](hereinafterreferredtoasthe"Products")inthequantityof[Quantity]asspecifiedintheattachedProductList.

1.2TheProductsshallconformtothespecifications,qualitystandards,andsamplesprovidedbyPartyAtoPartyB.

2.DeliveryandShipping

2.1TheProductsshallbedeliveredbyPartyAtothedesignatedportofPartyBonorbefore[DeliveryDate].

2.2Theshippingcosts,includinginsurance,freight,andhandlingcharges,shallbebornebyPartyB.

3.PaymentTerms

3.1PartyBshallmakepaymentfortheProductstoPartyAwithin[Number]daysafterthedateoftheinvoiceissuedbyPartyA.

3.2Thepaymentshallbemadein[Currency]bybanktransfertotheaccountspecifiedbyPartyA.

4.InspectionandQualityControl

4.1UponreceiptoftheProducts,PartyBshallhavetherighttoinspectandtesttheProductstoensurecompliancewiththeagreedspecificationsandqualitystandards.

4.2IftheProductsdonotmeettheagreedspecificationsandqualitystandards,PartyBshallnotifyPartyAinwritingwithin[Number]daysafterthereceiptoftheProducts,andPartyAshalltakenecessarycorrectiveactionsatitsownexpense.

5.Warranty

5.1PartyAwarrantsthattheProductsarefreefromanydefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.

5.2Duringthewarrantyperiod,PartyAshall,atitsownexpense,repairorreplaceanyProductsthatarefoundtobedefectiveundernormaluseandserviceconditions.

6.ForceMajeure

6.1NoneofthePartiesshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedPartypromptlynotifiestheotherPartiesoftheexistenceandnatureofsuchcause.

7.GoverningLawandDisputeResolution

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].Theplaceofarbitrationshallbe[ArbitrationPlace],andthelanguageofarbitrationshallbe[LanguageofArbitration].

8.Miscellaneous

8.1ThisAgreementmaynotbeassignedbyanyPartywithoutthepriorwrittenconsentoftheotherParties.

8.2ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

8.3AnyamendmentormodificationofthisAgreementoradditionalobligationassumedbyanyPartyinconnectionwiththisAgreementshallbebindingonlyifevidencedinwritingsignedbyeachParty.

INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasofthedatefirstabovewrittenbytheirdulyauthorizedrepresentatives.
