ContractIntroduction:

ThisContractisenteredintobetweenPartyAandPartyB,hereinaftercollectivelyreferredtoasthe"Parties,"inlightofthefollowingbackgroundandpreliminaryconditions,whichareinherentlyrelatedtotheentireContractandreflectiveofpracticalcircumstances.

ThePartiesfurtheracknowledgethatthisContractshallserveasacomprehensiveagreement,supersedingallpriorunderstandings,negotiations,andrepresentations,whetherwrittenororal,betweenthePartiesrespectingthesubjectmatterofthisContract.

ByexecutingthisContract,thePartiesherebyagreetobelegallyboundbythetermsandconditionssetforthherein,andanymodificationsoramendmentsheretoshallbemadeinwritingandsignedbybothParties.ThePartiesareawarethatthisContractconstitutesalegallyenforceabledocumentandthattheobligationscontnedhereinaretobeperformedingoodfthandtothebestofeachParty'sabilities.

ThisContractIntroductionisanintegralpartoftheoverallContractandshallnotbeconstruedseparatelyfromtheremnderofthedocument.ItistheParties'intentthatthisIntroduction,alongwithallsubsequentsections,beinterpretedinamannerthatadvancestheParties'commonobjectivesandprovidesclarityfortheirrespectiverightsandobligations.

第六條違約責(zé)任

IntheeventofabreachofthisContractbyeitherParty,thedefaultingPartyshallbeliableforthefollowingconsequences:

第七條不可抗力

"ForceMajeure"referstoanyunforeseeable,inevitable,andinsurmountableeventsbeyondthecontroloftheParties,whichpreventeitherPartyfromfulfillingitsobligationsunderthisContract.Sucheventsinclude,butarenotlimitedto,naturaldisasters,war,terroristattacks,laborstrikes,governmentactions,andothersimilareventsthatarebeyondthereasonablecontroloftheParties.

IfaForceMajeureeventoccurs,theaffectedPartyshallbeexcusedfromperformingitsobligationsunderthisContract,ortheperformanceofsuchobligationsshallbesuspendedforthedurationoftheForceMajeureevent,providedthat:

-TheaffectedPartypromptlynotifiestheotherPartyinwritingoftheoccurrenceoftheForceMajeureeventandprovidesreasonableevidencethereof.

-TheaffectedPartytakesallreasonablestepstomitigatetheeffectsoftheForceMajeureeventandtoresumeperformanceofitsobligationsassoonaspossible.

-TheForceMajeureeventisnotduetothenegligence,fault,orwillfulmisconductoftheaffectedParty.

ThePartiesagreethattheexcusedperformanceorsuspensionofobligationsduetoaForceMajeureeventshallnotbeconsideredabreachofthisContract.Furthermore,theaffectedPartyshallnotbeliableforanyindirect,consequential,orpunitivedamagesresultingfromitsinabilitytoperformordelayinperformanceduetoaForceMajeureevent.

第八條爭議解決

IntheeventofadisputearisingoutoforinconnectionwiththisContract,thePartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiations.Ifthedisputecannotberesolvedamicablywithin[Specifythenumberofdays]daysafterwrittennoticeofthedisputehasbeengivenbyonePartytotheother,thePartiesagreetothefollowingalternativedisputeresolutionprocedures:

1.Mediation:ThePartiesmayagreetosubmitthedisputetomediation.ThemediatorshallbemutuallyagreeduponbytheParties.IfthePartiescannotagreeonamediator,themediatorshallbeappointedby[Specifyanappropriatemediationserviceorindividual].ThecostsofthemediationshallbesharedequallybytheParties,unlessotherwiseagreed.

1.Notices:Allnotices,requests,demands,andothercommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifservedpersonallyonthePartytowhomnoticeistobegiven,oronthethirddayaftermlingifmledtothePartytowhomnoticeistobegiven,byfirstclassml,registeredorcertified,postageprepd,andproperlyaddressedasfollows:
