Article4:Management

4.2AlldecisionsregardingtheBusinessshallbemadebyamajorityvoteofthePartners.

Article5:DutiesofPartners

5.1EachPartnershalldevotetheirbesteffortstotheconductoftheBusinessandshallperformsuchdutiesasarenecessaryforthesuccessfuloperationofthePartnership.

5.2NoPartnershallengageinanyactivitythatisindirectcompetitionwiththeBusinesswithoutthepriorwrittenconsentoftheotherPartners.

Article6:AdmissionofNewPartners

6.1NonewPartnershallbeadmittedtothePartnershipwithouttheunanimousconsentoftheexistingPartners.

6.2AnynewPartneradmittedtothePartnershipshallbesubjecttothetermsandconditionsofthisAgreement.

Article7:WithdrawalandDiscontinuanceofaPartner

7.1APartnermaywithdrawfromthePartnershipupongiving__________days'writtennoticetotheotherPartners.

7.2UponthewithdrawalofaPartner,thePartnershipshallcontinuewiththeremainingPartnersunlessotherwiseagreeduponbythePartners.

Article8:Dissolution

Article9:Non-Solicitation

Article10:Confidentiality

Article15:Severability

15.1IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.
