副食品購銷合作協(xié)議合同編號：__________address：contacts：address：contacts：鑒于甲方為從事副食品生產(chǎn)、銷售的企業(yè)，乙方為從事副食品生產(chǎn)、銷售的企業(yè)，根據(jù)《中華人民共和國合同法》等相關(guān)法律法規(guī)的規(guī)定，雙方在平等、自愿、公平、誠實信用的原則基礎(chǔ)上，就甲方向乙方購買副食品的相關(guān)事宜達(dá)成如下協(xié)議：Article1：SubjectoftheContract1.1ThiscontractconcernsthepurchaseandsaleofnonstaplefoodproductsbetweenPartyAandPartyB.Article2：QuantityandQualityofGoods2.1PartyAagreestopurchasefromPartyBatotalof_______tonsofnonstaplefoodproducts,includingbutnotlimitedto_______（specifythetypesofnonstaplefoodproducts）,withdetailedspecifications,grades,andquantitiesassetforthintheattachedannex.2.2PartyBshallensurethatthegoodssuppliedunderthiscontractmeetthequalitystandardssetforthintherelevantlaws,regulations,andindustrystandardsofthePeople'sRepublicofChina.Thespecificqualitystandardsforthegoodsshallbeasstipulatedintheannexhereto.2.3PartyBshallprovidePartyAwiththerelevantinspectionandtestreportsforthegoodswithinatimelimitstipulatedPartyA.Article3：PriceandPaymentTerms3.1Thepurchasepriceofthegoodsshallbe_______yuanperton（or_______yuanperunit,asapplicable）.Thetotalpurchasepriceforthegoodsshallbe_______yuan（the"PurchasePrice"）.3.2PartyAshallmakepaymentforthegoodsinaccordancewiththepaymenttermssetforthinthiscontract.Thepaymenttermsmaybecash,banktransfer,orothermethodsagreeduponbothparties.3.3PartyBshallprovidePartyAwithvalidinvoicesandotherrelevantdocumentsrequiredapplicablelawsandregulationsforthepurchaseofthegoods.Article4：DeliveryofGoods4.1PartyBshalldeliverthegoodstothedesignateddeliverylocationofPartyAwithinthetimelimitandinthemannersetforthinthiscontract.4.2Thedeliverydateandtimeshallbeasagreeduponbothpartiesinwriting.PartyAshallhavetherighttorejectthedeliveryofgoodsthatdonotmeetthequalitystandardsorquantityspecifiedinthiscontract.4.3PartyBshallberesponsibleforthetransportationcostsandbearallrisksassociatedwiththetransportationofthegoodstothedesignateddeliverylocationofPartyA.Article5：InspectionandAcceptanceofGoods5.1PartyAshallhavetherighttoinspectandtestthegoodswithinareasonabletimeafterdeliverytoensurethattheymeetthequalitystandardsandspecificationssetforthinthiscontract.5.2Ifthegoodsfailtomeetthequalitystandardsorspecificationssetforthinthiscontract,PartyAshallhavetherighttorequestPartyBtoreplaceorrefundthenonconforminggoodsinaccordancewiththetermsofthiscontract.Article6：Warranty6.1PartyBwarrantsthatthegoodssuppliedunderthiscontractarefreefromanyliensandencumbrances,andthatPartyBhasgoodtothegoodsandtherighttosellthegoodstoPartyA.6.3PartyBwarrantsthatthegoodssuppliedunderthiscontractshallnotinfringeuponanythirdparty'sintellectualpropertyrightsorotherlegalrights.Article7：LiabilityforBreachofContract7.1Intheeventofabreachofthiscontracteitherparty,thenonbreachingpartyshallhavetherighttoclaimdamagesand/orterminatethiscontractinaccordancewiththetermsofthiscontract.7.2Thepartiesagreethattheliabilityforbreachofcontractshallbelimitedtothedirectdamagessufferedthenonbreachingparty,andshallnotincludeanyindirect,incidental,orconsequentialdamages.Article8：DisputeResolution8.1Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthroughfriendlynegotiationbetweentheparties.8.2Ifthedisputescannotberesolvedthroughnegotiation,eitherpartymaysubmitthedisputestothepeople'scourtwithjurisdictionovertheplaceofperformanceofthiscontract.Article9：Miscellaneous9.1Thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements一、附件列表：1.副食品詳細(xì)規(guī)格、等級及數(shù)量清單2.質(zhì)量標(biāo)準(zhǔn)及相關(guān)法規(guī)、行業(yè)標(biāo)準(zhǔn)文件3.檢驗報告4.付款憑證5.運輸單據(jù)6.非符合性貨物更換或退款申請二、違約行為及認(rèn)定：1.乙方未按合同約定時間、數(shù)量、質(zhì)量交付貨物2.乙方提供的貨物不符合國家法律法規(guī)、行業(yè)標(biāo)準(zhǔn)或合同約定的質(zhì)量標(biāo)準(zhǔn)3.乙方未提供合法的發(fā)票及其他相關(guān)法定文件4.乙方未按約定時間、方式交付貨物5.乙方未履行合同約定的保證義務(wù)6.甲方未按約定時間、方式支付貨款7.甲方未按約定接受貨物三、法律名詞及解釋：1.副食品：指除糧食以外的食品，包括肉類、蔬菜、水果、調(diào)料等。2.質(zhì)量標(biāo)準(zhǔn)：指國家法律法規(guī)、行業(yè)標(biāo)準(zhǔn)或合同約定的關(guān)于貨物質(zhì)量的要求。3.違約行為：指當(dāng)事人不履行合同義務(wù)或者履行合同義務(wù)不符合約定的行為。4.違約責(zé)任：指當(dāng)事人因違約行為應(yīng)當(dāng)承擔(dān)的民事責(zé)任。5.檢驗報告：指對貨物進(jìn)行檢驗、測試后所出具的書面報告。6.保證義務(wù)：指當(dāng)事人對貨物質(zhì)量、權(quán)利等作出的承諾。四、執(zhí)行中遇到的問題及解決辦法：1.貨物質(zhì)量問題：如發(fā)現(xiàn)貨物不符合質(zhì)量標(biāo)準(zhǔn)，甲方有權(quán)拒絕接收并要求乙方更換或退款。2.貨物數(shù)量問題：如乙方交付的貨物數(shù)量不足，甲方有權(quán)要求乙方補足數(shù)量或按合同約定賠償。3.貨物交付時間問題：如乙方延遲交付貨物，甲方有權(quán)要求乙方支付延遲交付的違約金。4.貨物交付方式問題：如乙方未按約定方式交付貨物
