d.Technicalsupportandtraining;

e.Anyotherservicesmutuallyagreeduponbytheparties.

2.TermofContract

ThisContractshallcommenceon[DateofCommencement]andterminateon[DateofTermination],unlessotherwiseextendedorterminatedbymutualagreementoftheparties.

3.FeesandPayment

TheConsultantshallbeentitledtoreceivefeesfortheservicesprovidedunderthisContract,asfollows:

4.Confidentiality

5.IntellectualProperty

AllintellectualpropertyrightsinandtotheservicesprovidedunderthisContractshallbeownedbytheConsultant,exceptforanyintellectualpropertyrightsownedbytheClientpriortotheexecutionofthisContract.

6.LimitationofLiability

TheConsultantshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceornon-performanceofthisContract.

7.GoverningLawandDisputeResolution
