4.Confidentiality

ThepartiesagreetomaintaintheconfidentialityoftheTechnologyandanyotherproprietaryinformationdisclosedtothembytheotherparty.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

5.RepresentationsandWarranties

PartyArepresentsandwarrantsthat:

a.IthasfulllegaltitleandownershipoftheTechnology;

b.TheTechnologydoesnotinfringeonanythird-partyintellectualpropertyrights;

c.TheTechnologyisfreefromanyliens,encumbrances,orotherrestrictions.

6.Indemnification

PartyAshallindemnifyandholdharmlessPartyBagainstanyandallclaims,actions,demands,liabilities,costs,andexpensesarisingoutoforinconnectionwiththeTechnology.

7.TermandTermination

ThisAgreementshallbeeffectiveupontheexecutionanddeliveryofthisAgreementbybothparties.Itshallremaininfullforceandeffectuntilterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatPartyBshallhavetherighttoterminatethisAgreementimmediatelyupontheoccurrenceofanybreachbyPartyAofanyofitsobligationsunderthisAgreement.

8.GoverningLawandJurisdiction
